INDEMNITY BOND

This Indenture of Indemnity Bond is made and executed on this 8th

day of December ,2023 by 1. MR. AZIZ ABDUL SELOT and

2.MRS.KULSUM AZIZ SELOT , Both are Adults, Indian Inhabitants

residing at Room No.301, Plot No.89, L T Nagar Road No. 5, Goregaon

(West) Mumbai-400104 in favour of The Topiwala Co-Opearative Housing

Society Limited having address at Topiwala Compound , Goregaon (West)

Mumbai-400062 (hereinafter referred to as the said Society).

Whereas the Commercial Shop Premises bearing Shop No.6, Ground

Floor , The Topiwala Co-Operative Housing Society Limited having address at

B/2/35, Topiwala Compound , Goregaon (West) Mumbai-400062 area

admeasuring 565 sq ft carpet situated situated at Village-Pahadi Goregaon

West , Taluka - Borivali in the Registration and sub- Registration District of

Mumbai Suburban (hereinafter referred to as the said Shop Premises) stands in

our name along with Mr.Hanif Abdul Selot and Mrs.Zarina Hanif Selot vide Sale

Deed dated 27/04/2004 registered before the Joint Sub Registrar Borivali vide

Document No.BDR-2-3650-2004.

Whereas we say that we are the bonafide members of The Topiwala Co-

Operative Housing Society Limited , a Society registered under the MCS Act

having Registration No.BOM/HSG/2000/89 dt 6/03/1989 holding 25 % shares

each (total 50%) vide Share Certificate bearing No.20 having 5 distinctive Shares

of Rs.50/- each having Nos from 96 to 100 (both inclusive)( hereinafter referred

to as the said Shares.)

WHEREAS we desire to transfer our 50 % (I.e. 25 % from each) Shares,

Right, Title and interest with respect to the said Shop Premises to MR.FAROOK

ABDUL SELOT ., in accordance with the provisions of Law.

AND WHEREAS with a view to safeguard the interest of the said Society

against any contingent claims by any person, we hereby execute this Indemnity

Bond in favour of the said Society.

NOW THIS INDEMNITY WITNESSES AS FOLLOWS:

1. In consideration of transfer of 50 % (I.e. 25 % from each) Shares, Right,

Title and interest with respect to the said Shop Premises and in pursuance

of the said Society having agreed to transfer the 50% Shares in the said

Shop Premises to the name of MR.FAROOK ABDUL SELOT, We/our,

family members, heirs, executors, administrators shall at all the times

hereinafter remain liable for and shall fully and effectually indemnify and

keep indemnified the said Society, its assignees against all loss,

damages, costs, charges, claims, penalties or any other action

whatsoever which may be put to or reasonably incur or suffer by reason of

transfer of our 50 % shares, right, title and interest of the said Shop

Premises by the said Society.

2. We Hereby Indemnify The Said Society And Undertake To Keep The Said

Society Harmless.

3. We hereby further indemnify the said Society that in case any person

succeeds in imposing any penalty on the said Society or any other

dues,We shall make good any loss that may be sustained by the said

Society by transferring our 50 % shares, right, title and interest of the said

Shop to the name of MR.FAROOK ABDUL SELOT .

4. We hereby indemnify and keep Indemnified the said Society and its office

- bearers against any claim, demand, suit or other legal proceedings by

any other person/s claiming either lawfully and /or equitably, and shall see

that the said society and its office bearers are not put to losses.We further

declare and undertake to bear all expenses, costs, charges in respect of

any such claim, demand, suit and /or legal proceedings which may be filed

by any person/s either lawfully and/or equitably claiming through us.

5. We are fully aware of the fact that the Society admits MR.FAROOK

ABDUL SELOT as its member in our place only on the basis of the

indemnity and undertaking furnished by us .
