BUSINESS CONSULTANCY AGREEMENT

BETWEEN
EASYPLAN LIMITED
(No. 4/5 Hospital Road, Ikom Town, Cross River

(Hereinafter referred to as the “Consultant”)
AND
ANASTASIA ERDOO UKORNYI
(No. 11 Mku By pass, Genyi Yandev, Gboko, Benue
State)
(Hereinafter referred to as the “Client”)

THIS BUSINESS CONSULTANCY AGREEMENT is made this
________ day of ___________, 2024.

BETWEEN
EASYPLAN LIMITED of No. 4/5 Hospital Road, Ikom Town, Cross
River Stae, Nigeria (Hereinafter referred to as the “Consultant”)
which expression shall where the context so admits includes her Heirs,
Legal Representatives, Trustees and assigns (on one part).

AND

Anastasia Erdoo Ukornyi of No. 11 Mku By pass, Genyi Yandev,

Gboko, Benue State. (Hereinafter referred to as the “Client”) which
expression shall where the context so admits includes all her Heirs, Legal
Representatives and assigns (of the other part).

WHEREAS:
1. The Consultant is a registered for-profit entity subject to the laws of
the Federal Republic of Nigeria. Its establishment and/or operation
and establishment is in accordance with Nigerian laws as a profit
making body.
2. The Client is an Assistant Lecturer at Federal Polytechnic, Ado -
Ekiti and Nigerian citizen of No. 11 Mku By pass, Genyi Yandev,
Gboko, Benue State.
3. The Parties have agreed to establish a collaborative business
relationship whereby the services of the consultant has been
employed as a consultancy firm and for the purpose of this
agreement.
4. The Parties have agreed to fully cooperate and act as outlined in
this legal instrument (i.e agreement), and to avail of each other’s
duties and commitments as this legal instrument entails.
5. The participation of the Consultant in achieving the purpose of this
agreement is in accordance with the principles of generally
accepted standard business practices and implementation same as
the client.
 6. Both parties to this agreement will be fully involved in carrying out
their respective commitments and duties in this agreement along
with the assumption of full responsibility and accountability for the
effective use of resources and the delivery of the results and
outputs as set forth in this agreement.
7. Funds shall be made available by the client in the amount stated in
fee structure and for the purpose of the services to be rendered by
the Consultant as stated in this agreement.

IT IS HEREBY AGREED BY PARTIES AS FOLLOWS:

1. Fee Structure: The total amount of the grant is 5,000 US Dollars
(Please note that this amount is subject to review and fixed by the
the Grantors). The distribution of the final grant amount and
corresponding fee structure is as follows:
i. The Consultant: 40%
ii. The Client: 60%
2. Services: The Consultant hereby agrees to provide the following
consultancy services to the Client;
i. Registration of business with the Corporate Affairs
Commission where applicable.
ii. Providing professional consultancy services to effectively
secure the grant.
iii. Allocating resources for the grant process, including:
a. Business Plan
b. Elevator Pitch
c. Business Model
d. Financial Model
e. Milestone Planning
iv. Facilitating an online training session where the need arise.
v. Creation of corporate business account where applicable.
3. Client’s Commitment/Duties: The Client commits to;
i. Having a registered business or company in Nigeria.
ii. Actively participating on Whatsapp and attending all required
online sessions.
iii. Fulfilling all terms of this agreement, including the payment
of the prescribed 40% to the Consultant.
 4. Payment Terms: The Consultant shall receive her fee within [1
week] after the successful disbursement of the grant to the Client.
The grant shall be paid into the corporate business account of the
client which the consultant shall also be a signatory to.
5. Termination: This Agreement shall commence on the start date
first above written and shall continue until the grant is secured or
terminated by mutual agreement. Either party may terminate this
Agreement with written notice if the other party breaches any
material term of the Agreement.
6. Arbitration: The Parties shall use their best efforts to settle
amicably any dispute, controversy or claim arising out of this
Agreement or the breach, invalidity or termination thereof. Where
the Parties wish to seek such an amicable settlement through
conciliation, the conciliation shall take place in accordance with
arbitration laws in Nigeria.
7. Definitions: For the purpose of this Agreement, the following
definitions, listed in alphabetical order, shall apply:
i. Agreement means the business consultancy agreement entered
into by both parties.
ii. Parties means the EasyPlan Limited (the consultant ) and the
client herein referred to.
iii. Consultant means EasyPlan Limited for the purpose of this
agreement.
iv. Client means the beneficiary of the grant and other party to the
agreement aside EasyPlan Limited herein named.
v. Legal Instrument means the agreement entered into by both
parties.
vi. Grant means the money to be received by the client and the
subject matter of this agreement.
vii. Grantors means the institution to disburse the grant which the
client will be a beneficiary of.

IN WITNESS whereof the parties have executed this Agreement the

day and year first above written.
