Memorandum of Understanding (MoU) BETWEEN Purnaa Enterprises Pvt. Ltd.

AND

Kist Land Secondary School

1. Parties: This Memorandum of Understanding (hereinafter referred to as “MoU”) is made

and entered into by and between the Purnaa Enterprises Pvt Ltd., (hereinafter referred to
as ‘PURNAA’), whose address is Lalitpur 18, Bhainsepati, Lalitpur, email: and the Kist
Land Secondary School (hereinafter referred to as ‘SCHOOL’), whose address is
Chunikhel, Lalitpur, email: kistland1997@gmail.com

2. Purpose:

The purpose of this MOU is to establish the terms and conditions under which PURNAA will run
its education support program to the children of staffs that are interested to enroll in this
scheme.

3. Terms of MoU

a) This MoU is effective from the day …….and date last signed and executed by the duly
authorized representatives of the parties to this MoU and shall remain in full force and
effect until and unless terminated by each parties.
b) This MoU may be terminated, without any cause, by either party within three (3) months
prior notice, delivered by hand or by registered mail or courier to the address listed above.
4. Responsibilities of PURNAA

a) PURNAA will arrange a bus service facility for kids joining the school for pick up and
drop off from and to their location.
b) 70% of the total monthly cost (Fees) per child will be covered by PURNAA that includes
details as per ANNEX I.

5. Responsibilities of the SCHOOL

 a) The school will provide education, care, and support during regular school hours.
b) The school will arrange a tutor and/or caregiver to provide extra care and tutoring
support to those children who stay until 6:00 PM i.e. after the regular school hours.
c) The school will arrange a nanny or supervisor to accompany children to and from
the school bus stop.
d) The school aligns with PURNAA's workdays, and will remain close during
Sundays.
e) The school will charge fees of students on a monthly basis which will be as per the
Appendix I. i.e. PURNAA will support 70% of total school cost per child on
monthly basis.
f) The school will charge 30% of the total school cost per month will be individually
covered by the parents.

6. Fees Payment:

a) Purnaa will bear responsibility of monthly 70% of total cost per child with each
classes and rest 30% of total monthly cost is to be managed by parents of child
which school will take responsibility to manage.
b) Mode of payment will be based on total monthly education support will be made
only after receiving school bill (total 70% expenditure)

7. General Provisions

7.1 Effect of this MOU. This MOU is intended to be legally binding on the Parties as an
agreement in accordance with its terms.

7.2 Term period. This MOU will be valid for 1 full year term, from the date of its
commencement.

7.3 Agreement of Collaboration. The Parties agree to use diligent efforts to cooperate and
negotiate in good faith to achieve the vision and objectives of this project. This MOU
establishes the collaborative relationship between the Parties.

7.4 Exclusivity/Non-Compete. The Parties agree to work exclusively together on the project, and
not to engage in any activities that directly compete with the project during the term of this
MOU; this non-compete shall continue for a period of 90 days following termination of the
MOU. Additional parties may participate in the project only upon mutual written agreement
of the Parties.

7.5 Confidentiality. Each Party agrees to keep this MOU and the terms of this MOU confidential,
and not to disclose this MOU or its terms and conditions without the written agreement of the
other Party. Notwithstanding the foregoing, each Party may disclose this MOU and its terms
and conditions (i) to its officers, employees, professional advisers or agents, its affiliates
(owned 51% or more by a Party)(“Affiliates”), and the officers, employees or agents of an
Affiliate who have a need to know the Confidential Information; or (ii) to the extent required
by law, so long as the party gives the other party reasonable advance notice and opportunity
to object to the requirement to disclose such information or obtain an appropriate order to
protect its confidential information from disclosure.

7.6 Term and Termination. This MOU commences on signature by both Parties (“Term”). Either
Party may terminate this MOU by 90-days notice in writing to the other Party.

7.7 Remedies Cumulative. The rights and remedies provided in this MOU are in addition to other
rights and remedies given by law independently of this MOU.

7.8 Variation and Waiver. A provision of this MOU or a right created under it, may not be
waived or varied except in writing, signed by the party or parties to be bound.

7.9 Severability. If the whole of any part of a provision of this MOU is void, unenforceable or
illegal in a jurisdiction it is severed for that jurisdiction. The remainder of this MOU has full
force and effect and the validity or enforceability of that provision in any other jurisdiction is
not affected. This clause has no effect if the severance alters the basic nature of this MOU or
is contrary to public policy.

7.10 Governing Law, Jurisdiction and Dispute Resolution. This MOU is governed by the
applicable law of Nepal.

7.11 Assignment. This MOU, nor any rights or obligations hereunder, may not be assigned to
any third party without the prior written consent of the other Party.

7.12 Counterparts. This MOU may be executed in counterparts and all counterparts when taken
together are to be taken to constitute one instrument.

8. Signatures: In witness whereof, the parties to this MoU through their duly authorized
representatives have executed this MoU on the days and dates set out below, and certify that
they have read, understood, and agreed to the terms and conditions of this MoU as set forth
herein.

The effective date of this MoU is the date of the signature last affixed to this page.
