Fiscal 2022 consolidated revenues reached EUR 21.1 billion, up 21% year-on-year, driven by organic growth of
17%, a net contribution from acquisitions and disposals of 1% and a strong positive currency impact of 6%.
Cash held by the company at the end of fiscal 2022 decreased to EUR 3.2 billion. Cash provided by operations
was EUR 1.0 billion while cash used for investing and financing activities were EUR 386 million and EUR 1.1
billion, respectively. Main uses of cash were for acquisitions of property and dividends paid.
Sodexo's strategic priorities are: boost US growth; accelerate the food model transformation; manage its
portfolio more actively; and enhance the effectiveness of its organization.
The Bellon family had been luxury ship hospitality specialists since the turn of the century, 60 years before
Pierre Bellon founded Sodexho in 1966. By 1971 Bellon had his first contract outside France to provide
foodservice to a Brussels hospital. Sodexho continued to expand its services into the late 1970s, entering
remote site management in Africa and the Middle East in 1975 and starting its service vouchers segment in
Belgium and Germany in 1978.
Sodexho jumped the pond in 1980, expanding its businesses into North and South America. The company went
public on the Paris Bourse exchange in 1983. Two years later it bought Seiler, a Boston vending machine
company-turned-restaurateur. Sodexho then bought San Francisco's Food Dimensions in 1987. After beefing up
its American operations with four other US acquisitions, the company merged Food Dimensions and Seiler in
1989. Sodexho's US river cruise company, Spirit Cruises -- an echo of the Bellon family's original calling -- was
also included in the merger. The merged US companies were renamed Sodexho USA in 1993.
The 1990s proved an era of growth and acquisitions for Sodexho. The company expanded into Japan, Africa,
Russia, and five Eastern European countries in 1993. The company acquired a 20% stake in Corrections
Corporation of America the following year and virtually doubled its size with the acquisition of the UK's Gardner
Merchant in 1995. The largest catering company in that region, Gardner Merchant had holdings that spanned
Australia, Asia, northern Europe, the UK, and the US -- generally markets where Sodexho did not have a strong
Fortos.
Gardner Merchant's US business was officially merged with Sodexho USA in 1996 to make it the #4
foodservice company in the US. Also that year Sodexho acquired Brazilian service voucher company Cardapio.
After a year of legal wrangling, Sodexho also lost a fight for control of Accor's Eurest France to rival caterer
Compass Group and sold off its minority interest. The next year Sodexho acquired 49% of Universal Ogden
Services, renamed Universal Services, an American remote site manager. To signify its efforts to maintain the
individuality of the companies it acquires, Sodexho changed its name to Sodexho Alliance in 1997.
Marriott International merged its foodservice branch with Sodexho's North American foodservice operations in
1998. With a 48% stake, Sodexho Alliance became the largest shareholder; former Marriott International
stockholders took the rest, with the Marriott family controlling 9%. Before the merger, Sodexho USA was less
than one-fourth the size of Marriott International's foodservice division. Sodexho acquired GR Servicios
Hoteleros in 1999, thereby becoming the largest caterer in Spain. The following year it agreed to merge its
remote site management operations with Universal Services and rename it Universal Sodexho (later Sodexo
Remote Sites).
In 2001 its initial $900 million bid to buy the 52% of Sodexho Marriott Services it didn't already own was
rebuffed by its subsidiary's shareholders. Sodexho Alliance made a better offer (about $1.1 billion) and finally
reached an agreement to purchase the rest of Sodexho Marriott Services. The deal was completed later that
year and Sodexho Marriott Services changed its name to Sodexho, Inc. Also that year the company agreed to
pay some $470 million for French rival Sogeres and US-based food management firm Wood Dining.

Biography
Mrs. Sophie Bellon serves as Chairman of the Board, Chief Executive Officer of the Company. Sophie joined
Sodexos finance team in 1994. In that capacity, she contributed to the successful integration of Gardner
Merchant in the United Kingdom and Marriott Management Services in the United States, two strategic
acquisitions that consolidated Sodexos international scope and contributed to twice doubling the Groups
revenues. Following these acquisitions, Sophie became Head of Operational Management Control in 2001 to
improve and streamline financial performance monitoring of the various subsidiaries. She was appointed Group
Client Relations Director in 2005 and contributed to the significant increase in the client retention rate. In 2008,
Sophie became Chief Executive Officer of the Corporate Services business unit for Sodexo France. In 2010, she
also became Head of Facilities Management activities in France. In 2013, Sophie took overall responsibility for
Sodexos Research, Development and Innovation strategy. That same year, she was appointed Vice
Chairwoman of Sodexos Board of Directors, of which she has been a member since 1989.

Biography
Mr. Luc Jean-Francois Messier serves as Lead Independent Director of the Company. He began his career in
engineering and project management at Pomerleau. He joined the Bouygues group in 1993 as an engineer,
project manager in Hong Kong and in South Africa and was later appointed Chief Executive Officer of the
Bouygues subsidiary handling construction work in Hong Kong.In 2003, he joined Technip as Chief Operating
Officer and was then named President and Chief Executive Officer of Technip Offshore Inc. before being
appointed President and Chief Executive Officer of Technip USA.Between 2007 and 2015, he served as Senior
Vice President for ConocoPhillips, where he was responsible for projects, aviation and procurement.Since 2015,
he has been President of Reus Technologies LLC (on a part time basis), a technology development company

Wine Holdings LLC (part time), a company that owns a vineyard in Carmel, California.

Europe (based in Belgium) and the Nordic countries (based in Sweden) prior to being appointed country head
of Portugal.After 16 years at Procter & Gamble, he joined Eurodisney in 2004 as Vice President of Marketing

Mr. Marc Rolland serves as Group Chief Financial Officer, Member of the Executive Committee of the Company.
He joined Sodexo in 1997, Marc held several positions and gained detailed insights into all Company
businesses.Marc joined Sodexo in 1997 as Finance Director for Africa, within the Energy and Resources activity.
In 2000, he was promoted Finance Director of what was named at the time Universal Sodexo for Africa, Europe
and Eurasia and then Finance Director for the Corporate Services activity in the UK in 2004.Marc joined Sodexo
Benefits and Rewards Services as CFO in 2004 adding in 2007 the Finance supervision of Personal and Home
Services and the South America On-site Services activities. He also became CFO Continental Europe for On-
site Services in 2009.In 2012, Marc was appointed President, Benefits and Rewards Services for Asia, and
successfully developed emerging markets in Asia.Marc started his professional career in 1990 at Bull, where he
held several positions in Finance in India, South Africa and France. He later became a financial controller for
Eastern Europe at General Electric Medical Systems.Marc holds a post-graduate degree in Finance from the

Biography
Mr. Marc Plumart serves as CEO, Healthcare & Seniors, On-site Services, Member of the Executive Committee
of the Company. He joined Sodexo in 1992 and has held positions in a majority of Sodexos business segments.
From 2003 to 2006, he was responsible for Sodexos Education business in France before heading up
Healthcare in France from 2006 to 2014. Marc was appointed CEO of Sodexo in France in 2014, where he was
responsible for all of Sodexos business lines, including 40,000 employees serving at more than 4,000 client
sites. In 2016, he was named CEO of Seniors Worldwide, which serves the marketplace for seniors and people
with disabilities in 24 countries.Marc was appointed CEO of Healthcare Worldwide in 2017. Sodexo Healthcare
operates in 15 countries with more than 75,000 employees dedicated to delivering quality of life services that
help patients recover in a safe and caring environment. Marc continues to represent the Seniors segment in the
Executive Committee. In 2021, Marc received the Transformative CEO Award for Leadership in Healthcare from
The CEO Forum. He has a Master of Science in Agronomy from the Institut Sup?rieur dAgriculture in France. He
also holds a Masters Degree in food science and consumer marketing from University College Dublin.Marc is
French and lives in the United States. He speaks French, English and Spanish.
