MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Memorandum of Agreement executed and entered into this _________day of

______________________, 2010, at the Municipality of _______________, Bulacan,
Philippine by and between:

SAN RAFAEL WATER DISTRICT, a government-owned and controlled

corporation, duly organized and existing under and by virtue of P.D. 198 as amended
with office address at Barangay Lico, San Rafael, Bulacan, herein represented by its
General Manager, ENGR. NUMERIANO M. CASTAÑEDA JR. , Filipino, of legal
age, married hereinafter referred to as the SAN RAFAEL WATER DISTRICT;

and

ANGAT WATER DISTRICT, likewise a government-owned and controlled

corporation, duly organized and existing under and by virtue of P.D. 198 as amended
with office address at Angat Bulacan, herein represented by its General Manager,
ENGR. ARTURO TORRES , Filipino, of legal age, married hereinafter referred to as
the ANGAT WATER DISTRICT;

WITNESSETH, That:

WHEREAS, the SAN RAFAEL WATER DISTRICT Pulo expansion project

going to Boundary of Pulo, San Rafael, Bulacan- Binagbag, Angat, Bulacan was
accomplished and already operational;

WHEREAS, the SAN RAFAEL WATER DISTRICT is now capable to support

water service of Pulo concessionaires;

WHEREAS, the ANGAT WATER DISTRICT agreed to turnover the Pulo

concessionaires (Purok Jasmin) to SAN RAFAEL WATER DISTRICT upon
completion of all the conditions set by ANGAT WATER DISTRICT;

NOW THEREFORE, for and in consideration of the foregoing and the mutual
covenants set forth hereunder, SAN RAFAEL WATER DISTRICT and ANGAT
WATER DISTRICT mutually enter into this Memorandum of Agreement under the
following terms and conditions, to wit:

1. That immediately upon signing hereof, SAN RAFAEL WATER

DISTRICT shall pay to ANGAT WATER DISTRICT the sum of ONE
HUNDRED TWENTY THOUSAND PESOS ( P 120,000.00 ),
Philippine Currency, as payment for installation of pipelines/ construction
cost of facilities along boundary of Pulo-Binagbag, Angat Bulacan.

2. That, upon receipt of the said amount by the ANGAT WATER DISTRICT
on or before March 15, 2010 they will notify Purok Jasmin
concessionaires of the date and time of the cut-off (evening of
March 31, 2010 ) of their water service supplied by ANGAT WATER
DISTRICT;

3. That, if the Purok Jasmin concessionaires has late payments/ arrears to

ANGAT WATER DISTRICT, the SAN RAFAEL WATER
DISTRICT will collect all the necessary payments to be remitted to
ANGAT WATER DISTRICT;

4. That, the ANGAT WATER DISTRICT will provide the SAN RAFAEL
WATER DISTRICT the list of Purok Jasmin concessionaires containing
the necessary in connected informations of each account name and the
particular amount to be paid.

5. That, the SAN RAFAEL WATER DISTRICT agreed to issue temporary

receipt to concessionaires of Purok Jasmin upon payment of their arrears.

6. That, ANGAT WATER DISTRICT shall issue official receipt to Purok

Jasmin concessionaires upon remittance of late payments by SAN
RAFAEL WATER DISTRICT.;

7. That, this Memorandum of Agreement shall take effect upon signing of both
parties.

IN WITNESS WHEREOF, we have hereunto signed this document this
