the minutes of the deed. ------------------------------
-As a form of acknowledgment/agreement regarding the
legal actions carried out and stated in this agreement
and can be used as evidence in the future.--------------
LEASE AGREEMENT

thirtieth of May, one thousand nine hundred eighty-

-In this case acting based on a Power of Attorney dated
26-11-2020 (twenty-sixth of November two thousand and
twenty) signed on a valid stamp, attached to this
Agreement, hereinafter referred to as THE FIRST PARTY----

2. Mr. ELBERT MARLISSA , born in Sukabumi, on the


sixteenth of October, one thousand nine hundred and
ninety three (10-16-1993), Indonesian citizen, self-
employed, resides at Griya Alam Pecatu Cluster
Sahadewa 1 No. 4 Br. Kauh Pecatu, Pecatu
Kel/Village, South Kuta District, Badung Regency,
Resident Identity Card Holder Number:
3272011610930921.----------------------------------

-In this case, acting based on oneself without the


consent of anyone else, hereinafter referred to as THE
SECOND PARTY.------------------------------------------

The Parties explain in advance:--------------------------

1. That the FIRST PARTY has the most full rights--------


and the legal owner of a plot of land with Freehold
Rights Number 2954/Ex. Renon as described in
Situation Drawing Number 4375/1996 Dated 23-3-1996
(twenty-third of March, one thousand nine hundred and
ninety-six ), covering an area of 470 M2 (four
hundred and seventy square meters), registered in the
name of I MADE PUGEG. which is fully leased where the
land is located on Jl. Tukad Citarum Lc. 1, and
henceforth referred to as LAND . --------------------

That the FIRST PARTY will lease the above-mentioned LAND


to the SECOND PARTY and the SECOND PARTY has truly
expressed its agreement to rent the LAND from the FIRST
PARTY.---------------------------------------------------

That the parties explain, that the FIRST PARTY with------

This is rented to the SECOND PARTY , which hereby--------

renting LAND from the FIRST PARTY , signed by both


parties with sufficient material and attached to this
agreement.-----------------------------------------------

Furthermore, the parties explained that the lease--------

LAND is held and accepted with the terms and conditions


stipulated in 13 (thirteen) articles, as follows:--------

------------- Article 1 – TERM OF RENTAL-----------------

-This lease is entered into and accepted for a period of


20 years (twenty years), starting from (01-06-2022) the
first of June two thousand and twenty two and ending on
(01-06-2042) the first of June year two thousand and
forty-two.-----------------------------------------------

----------------- ARTICLE 2 – RENTAL PRICES--------------

LAND rental price is set at Rp. 17,500,000, (seventeen


million five hundred thousand rupiah) per one (1) year,
and Rp. 350,000,000,- (three hundred and fifty million
rupiah ) for the entire rental period with the following
payment method: ---------------------------------------
1) The Second Party Provides a Down Payment (DP) of Rp.
175,000,000,- (one hundred and seventy five million--
rupiah) paid on 27-01-2022 (twenty-seventh of January
of the year two thousand and twenty-two),-----
simultaneously with the signing of this Letter of
Agreement. ------------------------------------------
2) The remaining amount is Rp. 175,000,000,- (one
hundred and seventy five million rupiah) paid by the
Second Party to the First Party as repayment of this
agreement, namely on 27-01-2023 (twenty-seventh of
December of the year two thousand and twenty-three),
this money will be given to the PARTY SECOND to the
FIRST PARTY as a sign of payment of the entire rental
amount in question.----------------------------------

THE FIRST PARTY will provide proof of receipt separately


to the SECOND PARTY .------------------------------------

FIRST PARTY during this rental period at all not allowed


to take any additional rent from the SECOND PARTY by
stating pretexts or reasons whatever.--------------------

------------- ARTICLE 3 – HANDY OF LAND------------------

-At the time of this agreement, the FIRST PARTY submits--

LAND to SECOND PARTY .-----------------------------------

THE SECOND PARTY accepts the delivery of LAND in


accordance with actual conditions on the day of
delivery.------------------------------------------------

Handover of LAND from the FIRST PARTY to the SECOND


PARTY stated in a Minutes of Handover.-------------------

-------------- Article 4 – LAND USE----------------------

-THE SECOND PARTY has the full right to use the LAND
leased under this agreement for use as a place of
business on the SECOND PARTY's own responsibility and by
observing and complying with all applicable legal
regulations.---------------------------------------------

THE SECOND PARTY will not use the LAND for purposes
other than those agreed in this agreement, unless
written permission has been obtained from the PARTY.
FIRST .--------------------------------------------------

------------- Article 5 – RENTAL EXTENSION---------------

-If the rental agreement according to this agreement is


about to end and the SECOND PARTY intends to extend this
agreement, the SECOND PARTY is required to notify the
FIRST PARTY in writing regarding this intention at least
6 (six) months before the end of the lease to determine
the conditions regarding the extension of the lease, and
with provisions for an increase in the rental price
adjusted to the market price at a later date. And if
there is an option to sell the land by the FIRST PARTY ,
then the priority for bidding is given to the PARTY
SECOND .-----------------------------------------------
-If at the time this agreement ends and the SECOND PARTY
wants to extend the Lease, then everything that has been
built on it and built by the SECOND PARTY may not be
taken in any form or for any reason and becomes the
right of the FIRST PARTY.-------------------------------

-------------- Article 6 – TRANSFER OF RENTAL------------

-During the validity period of this agreement, the


SECOND PARTY does not allowed to sublet part or the
entire LAND leased to a THIRD PARTY , unless written
permission is obtained from the FIRST PARTY as stated in
a LAND lease transfer agreement .------------------------

-- Article 7 – LAND MAINTENANCE, FEES AND LEVIES---------


-THE SECOND PARTY is obliged to maintain the LAND it

rents as well as possible at the SECOND PARTY's own

costs or maintenance costs.------------------------------

THE FIRST PARTY will take action-------------------------

prevention to maintain safety in the environment---------

FIRST PARTY's business area , but not THE FIRST PARTY

responsible for the actions of THIRD PARTIES-------------

which can cause losses to the SECOND PARTY .-------------

-All kinds of fees and money charges related to business


activities on LAND are subject to the following
provisions:----------------------------------------------

-During the rental period, the SECOND PARTY is not


charged to pay Land and Building Tax ( PBB ).---------

-dues and levies from before until the time the signing
of this agreement is still the obligation and
responsibility of the PARTY FIRST.-----------------------

-After signing this agreement and so on becomes the


obligation and responsibility of the SECOND PARTY .------

-Acts or actions that violate the law carried out by the


SECOND PARTY is fully responsible THE SECOND PARTY .-----

------------ Article 8 – OBLIGATIONS OF HEIRS------------

-This agreement does not end because of either party-----

dies, but will continue to decline hereditary and must


be obeyed by the heirs or recipient of the rights of
each party.----------------------------------------------

-------- Article 9 – VIOLATIONS OR FRAUD-----------------


-If one of the two parties does cheating or violating
and disobeying this agreement, then the following
regulations apply following:-----------------------------

-If from the FIRST PARTY and/or there are internal

problems from the FIRST PARTY that harm the SECOND PARTY

then the FIRST PARTY will provide compensation by

returning the rental money in full, refunding the

construction money in full and will provide a new place

or land as compensation for the losses experienced

SECOND PARTY regarding internal problems of the FIRST

PARTY .------------------------------------------------

-Whether the SECOND PARTY commits a violation or not-----

comply with this agreement, the FIRST PARTY has the


right to request that this agreement be cancelled.-------

-Whether the FIRST PARTY commits a violation or not------

comply with this agreement, the FIRST PARTY is obliged---

provide or pay compensation to the SECOND PARTY .--------

-The amount of compensation is determined by 3 (three)---

arbitrators consisting of:-------------------------------

-An arbitrator appointed by the FIRST PARTY ,------

-An arbitrator appointed by THE SECOND PARTY , and-

-An arbitrator appointed from the FIRST PARTY------

and SECOND PARTY .---------------------------------

-If the decision of the arbitrators is not satisfactory


to both parties, each party agrees to bring and submit
the problem to Denpasar District Court Registrar's
Office for appoint 1 (one) or 2 (two) new arbitrators----
complement the existing arbitrators.---------------------

-- Article 10 – TERMINATION OF THE AGREEMENT BY THE


FIRST PARTY----------------------------------------------

- THE FIRST PARTY has the right to terminate the rental


relationship rent under this agreement without notice----

first to the SECOND PARTY in matters following:----------

-If the SECOND PARTY fails to pay the rental price, fees-

maintenance, and/or other outstanding bills during the


rental period.-------------------------------------------

--- Article 11 – TERMINATION OF THE AGREEMENT BY THE


SECOND PARTY---------------------------------------------

- THE SECOND PARTY has the right to terminate the rental


relationship rent under this agreement before its
expiration rental period with the following conditions---

- THE SECOND PARTY shall notify in writing the matter----

the wish is to the FIRST PARTY , at least----------------

at least a month before this agreement was terminated.


PARTY FIRST will provide an answer in writing to THE
SECOND PARTY regarding the request accompanied by with
notification of rights and obligations others that must
be fulfilled by both parties.----------------------------

- THE SECOND PARTY has no right to demand a refund-------

rent and maintenance costs that have been received by


the PARTY FIRST.-----------------------------------------

--------- Article 12 – DISPUTE SETTLEMENT----------------

- Matters that have not been stated in this agreement


will discussed and resolved amicably through
deliberation to reach consensus by both parties party.---
-If there is a dispute and you can't resolved amicably
or by deliberation consensus, both parties agree to
resolve it legally and for both parties have agreed to
choose a common residence and remains at the Registrar's
Office of the Denpasar District Court.-------------------

------------------ Article 13 – CLOSING------------------

-This land rental agreement is made in 2 (two) copies


and signed by both parties in Denpasar on Thursday, 27-
01-2022 (twenty-seventh of January, two thousand and
twenty-two) where each party is in a condition
consciously and without any coercion or pressure from
any party.-----------------------------------------------
