DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ASSIGNMENT was made and entered this __________ 202_

Philippines, hereinafter referred to as the ASSIGNOR;

ASSIGNEE.

WITNESSETH:

WHEREAS, the ASSIGNOR is the owner of ____________ shares

(“Shares”, for brevity) with a par value of ______ PESO (P___.00) in
________________ (“_________”, for brevity), a corporation duly organized
and existing under the laws of the Philippines, with business address at
________________________, Philippines. Said Shares of stocks are standing
in the name of the ASSIGNOR in the records of said Corporation, including but not
limited to all money, dividends and benefits thereunto appertaining, and for which a
Certificate of Stock has been issued therefor;

WHEREAS, the ASSIGNOR is willing to assign, and the ASSIGNEE is

willing to accept the ASSIGNOR’s ALL shares as above indicated by way of this
instrument;

NOW THEREFORE, for valuable consideration, the ASSIGNOR does hereby

assigns, sells, cedes, transfers and conveys in a manner that is absolute and
irrevocable the Shares unto the ASSIGNEE, free from all liens and encumbrances.

Any and all expenses incidental to the conveyance and registration of the
transfer from the name of the ASSIGNOR to the name of the ASSIGNEE, such as
documentary stamp tax, transfer fees, registration expenses and the like shall be the
sole and exclusive account of the ASSIGNEE, except for the capital gains tax, if any,
which shall be for the sole account of the ASSIGNOR.
