C. The Vendor has represented to the Vendee that the Scheduled Property is free
of all encumbrances and further that the Scheduled Property will be conveyed
to the Purchaser as such, with clear and marketable title, free from all
encumbrances claims, demands, notice of any nature whatsoever from
anyone.
D. The VENDOR being in need of funds to meet its business commitments have
decided to sell the SCHEDULE PROPERTY and the PURCHASER has agreed to
purchase the same.
E. The SELLER agreed to sell, convey and transfer the SCHEDULE PROPERTY to the
PURCHASER for a total consideration of Rs. 8500000/-(Rupees Eighty Five
Lakh Only) and the PURCHASER herein agreed to purchase the same for the
aforesaidconsideration.

NOW THEREFORE THIS SALE DEED WITNESSES AND IN CONSIDERATION OF THE PREMISES,
MUTUAL PROMISES, COVENANTS AND WARRANTIES SET FORTH HEREIN, IT IS MUTUALLY
AGREED AND DECLARED BY AND BETWEEN THE PARTIES HERETO AS UNDER:

Absolute Sale and Conveyance of the Scheduled Property:
In consideration of a sum of INR Rs. 8500000/-(Rupees Eighty Five Lakh Only)
("Sale Consideration") paid by the Purchaser to the Vendor in the manner
hereinafter set forth and the covenants contained herein, the Vendor doth
hereby sell, grant, convey, transfer and assign forever the Scheduled Property
BY WAY OF ABSOLUTE SALE to the Purchaser, together with all appurtenances,
estate, right, title, interest, property, claims and demands whatsoever thereto
belonging to the Scheduled Property, free from all encumbrances,
attachments, acquisition, charges and any other claims whatsoever, and TO
HAVE AND TO HOLD the Scheduled Property hereby conveyed unto the
Purchaser absolutely and forever.
2 CONSIDERATION
2.1. The total Sale Consideration of INR Rs. 8500000/-(Rupees Eighty Five Lakh
Only) has been paid by the Purchaser to the Vendor, as detailed hereunder:

Infrastructure 2.2. The Vendor hereby acknowledges the receipt of the full and final Sale
Consideration as hereinabove mentioned and doth hereby acquit, release and
discharge the Purchaser in respect of payment of the same.
Kingswood 2.3. The Vendor hereby confirms, admits and acknowledges the adequacy,
sufficiency and receipt of the Total Consideration from the Purchaser. In
consideration thereof, the Vendor hereby grants to Purchaser all the estate,
right, title, interest,claim, anddemand whatsoever of the Vendor into or upon
For the Subject Property and every part thereof in Law and equity to enter upon
and to have, hold, own and possess the same free and clear of all
Encumbrances and to the use of Purchaser, absolutely and forever together

with title deeds, writings, and other evidences of title and Purchaser will
hereafter peacefully and quietly hold, possess and enjoy the Subject Property
without any claim or demand whatsoever from the Vendor or any person
claiming through, under or against the Vendor.
3 Delivery of Possession:
3.1. The Vendor has on this day delivered quite peaceful vacant physical possession
of the Scheduled Property to the Purchaser and the Purchaser acknowledges
having taken delivery of possession of the Scheduled Property. The Purchaser
shall be entitled to peacefully and quietly enter into, possess, retain, hold, use
and enjoy the Scheduled Property as the Purchaser's own and absolute
property, without any let, hindrance, interruption, claim or demand by or from
the Vendor or any other person claiming under or in trust for the Vendor.
3.2. The Vendor further confirms and acknowledges that subsequent to the
execution of this Sale Deed, the Vendor no longer possesses or holds any right,
title, interest and ownership rights in respect of the Scheduled Property.
4 Title Documents:
The Vendee(s) has inspected and verified the title documents of the farm land
and after satisfying himself/herself/themselves about the title of the scheduled
land in all respect has entered into the transition for purchase of scheduled
land from the Vendor. Now, this deed for absolute sale is being executed in
respect to the Scheduled Property.

Authorised The Vendor hereby declares and covenants that the land revenue and public

up to the date of execution and registration of this Sale Deed.
6 VENDOR'S REPRESENTATIONS
The Vendor represents as follows:

implementation of this Sale Deed.
6.3. That there are no actions, suits, proceedings, or
investigations
threatened against the Vendor or initiated by the Vendor at Law orpending
or
in equity
before any court or before any other judicial, quasi-judicial or other
authority,
the outcome of which may result in the breach of or
constitute a default on
the part of the Vendor under this Deed of Absolute Sale or
which individually
or in the aggregate may result in any material adverse effect on the Scheduled
Property, or any impairment of the Vendor's ability to perform its obligations
and duties under this Deed of Absolute Sale;
6.4. That all taxes (including property taxes), charges, rents, fees, demands, claims
and all other dues payable, if any to the relevant Governmental Authority in
relation to the Scheduled Property have been paid in full until the date of
execution of this Deed of Absolute Sale.
7 PURCHASER/VENDEE'S COVENANTS
7.1. Vendor has no objection for the mutation of rights (as recorded in the revenue
records in respect of the Scheduled Property) in favour of the Purchaser. The
Vendor will provide any and all assistance as may be required by the Purchaser
for registration of this Deed of Absolute Sale, and applying for and getting
Purchaser's name mutated in the records of the concerned Governmental
Authority as the absolute, lawful, beneficial and sole owner in respect of the
Scheduled Property, free from any Encumbrances, in the land records of the
relevant Governmental Authority
7.2. Vendee has agreed to use the said land only for the purpose of farmhouse/
residential/organic farming and shall not use the said land for any other
purpose/activity viz. commercial, Industrial,Warehousing etc.
7.3. The Vendee has agreed to pay the maintenance amount in respect of the said
land to the designated maintenance agency appointed by the Vendor and shall
abode by the its rules and regulations being made from time to time by the
designated maintenance agency.

7.4. The Vendee has agreed not cause any undue nuisance to the owners/
occupants/ neighbors in the total land.
7.5. The Vendee has agreed not to partition/divide in any manner whatsoever,
and/or re-sell or create any interest inthe said land in smaller portions, unless
each land parcel is not less than 1031 sq. yards.
8 MISECELLANEOUS
8.1. The stamp duty and the registration fees for this Sale Deed shall be borne by
the Purchaser.

8.2. That no common part of the said property will be used by the Vendee or
owners of the said property for keeping/chaining pets, dogs, birds or for
blocked
storage of cycles, motor cycles etc. nor the common passage shall be
in any manner.
8.3. That the proportionate common maintenance charges will be paid by all the
Owners of the said property in proportion of the area occupied by them.
8.4. That the Vendee shall use the said share of the said property for authorized
purpose only. Goods of hazardous or combustible nature or which are so
heavy so as to affect any portion of the property or any part thereof, shall in
no case be stored.
8.5. That the portion of said property shall be kept properly repaired and in good
condition by the Vendee and the Vendee shall not do or allow to do anything
which may endanger or affect the other portion of the said property or hinder
the property and responsible use of such portions by the owners of such
portions.
8.6. That the Vendee shall abide by all the laws, bye-laws, rules and regulations of
the local bodies or any other concerned authorities.
8.7. That this transaction has taken place at Delhi As such, Delhi Courts shall have
exclusive jurisdiction to entertain any dispute arising out of the or in any way
touching or concerning this Deed.
