The Vendor expresses a desire to establish a business partnership with Mediacom Limited and demonstrates
acceptance of the stipulations outlined within the Code of Conduct as stated in this Vendor Enlistment Form

Code of Conduct
1. Integrity and Ethics:

• The Vendor is committed to upholding the utmost ethical and professional standards in all interactions.

• Upholding the highest level of integrity and ethical conduct is paramount for the Vendor.

• The Vendor will implement and adhere to suitable procedures to prevent the offering of any form of
unlawful gratification, such as bribes or kickbacks, whether in monetary or non-monetary form, during any
engagements with Mediacom Limited. Any instances of such illicit gratification will be regarded as a
serious breach of this Code of Conduct. Mediacom Limited retains the right to take necessary actions as
deemed appropriate given the circumstances.

2. Safeguarding Intellectual Property Rights:

Responsibilities of the Vendor:

• The Vendor is required to adhere to the guidelines and instructions provided by Mediacom Limited for
the usage of trademarks and trade names. Usage of Mediacom Limited's trademarks, trade names, and
other Intellectual Property is strictly prohibited without obtaining prior written consent from Mediacom
Limited.

• The Vendor is prohibited from replicating, either in entirety or in significant portions, any of Mediacom
Limited's Intellectual Property. This includes but not limited to copyrighted materials, whether in physical
copies, prints, videos, or electronic formats. Such actions are in violation of applicable laws and the
guidelines set forth in Mediacom Limited's Manual.

• The range of Mediacom Limited's intellectual property incorporates patents, trademarks, designs,
logos, brand names, service marks, trade names, symbols, slogans, copyrights, and information, whether
registered or capable of being registered. Any documents containing trade secrets that are accessible to
the Vendor must be treated as confidential under the provisions of this Code of Conduct. The Vendor is
expressly prohibited from sharing such documents with third parties without obtaining prior written
permission from Mediacom Limited.

 3. Compliance with Laws:
The vendor hereby confirms that it will strictly comply with The Companies Act 1994, Income Tax Act
2023, Value Added Tax and Supplementary Duty Act 2012 & all other related prevailing laws of
Bangladesh. Invoices to Mediacom Limited should include MUSHAK 6.3 where applicable.

4. Gift Provision Guidelines:

Under this policy, the Vendor is strictly prohibited from presenting gifts, whether in a direct or indirect
manner, to the staff members or delegates of Mediacom Limited.

5. Declaration of Immediate Family Members/Relatives:

I hereby affirm that none of my relatives, including my father, mother, brother, sister, son, or daughter,
are employed at Mediacom Limited.
