LEAVE & LICENSE AGREEMENT

This Leave & License Agreement ("Agreement") is executed between Owner AND Licensee on 2023-11-06T21:02:51.000+05:30.

Owner and Licensee are together referred to as "Parties" and individually as "Party".

A. Owner is entitled to License the Residential Property described below for use as a residence to licensee on leave and license basis.
B. Licensee intends to take the Property on leave and license from Owner for residential purposes and Owner has agreed to provide the same.
C. Owner has authorised Nestaway Technologies Pvt. Ltd. as its Agent to sign and administer this leave and license agreement and further to do all
necessary acts on his/their behalf to meet their obligations under this Agreement.

NOW, THIS AGREEMENT CONTAINS THE CONDITIONS OF LICENSE GRANTED TO LICENSEE

1. LICENSE FEES: The License Fees for a month shall be paid by Licensee in advance on or before the Due Date. Late payment charges shall be
levied in case of delay in payment of License Fee beyond the Due Date.
2. REFUNDABLE SECURITY DEPOSIT: The Agent shall collect and manage the Security Deposit on behalf of the Owner. The Security Deposit shall
not carry any interest and shall be refunded to the Licensee at the time of actual handover of Property from Licensee to Owner on expiry or
termination of this agreement. The Security Deposit shall be refunded to Licensee after deducting any unpaid License fees / Utility Charges and any
other applicable charges for damages within 3-4 business days once the owner refunds the security deposit to the Agent. The Agent shall take all
reasonable steps as it deems fit for the best efforts for collection of security deposit from the owner and refunding it back to the licensee. Agent
shall not be liable to refund the security deposit to the licensee, if the owner delays or refuses the payment of security deposit at the time of Move-
out. The Agent shall assist the licensee for refering any such dispute of owner regarding incorrect / non-receipt of Security deposit to arbitration
and cost of such arbitration process shall be borne by the licensee.
3. LIMITED LICENSE: Licensee agrees and understands that he/she is granted a limited license to use the Property only for residential purposes
subject to timely payment of license fee and other charges. Owner and / or Agent shall be entitled to enforce a lock-out to the Property by using
digital or other physical locks if License Fees or other charges are not paid. The lock out will be removed only on clearance of payments.
4. TERMINATION WITHOUT CAUSE: Subject to any lock in, either Party may terminate this Agreement without cause by an advance written notice
of 45 days. If Licensee, moves out before expiry of lock in (if applicable), Early Termination Charges are payable by Licensee.
5. TERMINATION FOR CAUSE: Owner is entitled to immediately terminate this Agreement in case License Fee/Utility charge is not paid within 15
days of due date mentioned or in case of any illegal activity; non-completion/negative police verification; drugs; prostitution; damage to Property or
amenities; non-cooperation with RWA in maintaining Property; nuisance/ unruly conduct/ disturbing peace by Licensee etc. The Licensee's non-
adherence of the House Rules & Guest Hosting Policy as set out on the website of the Agent. Termination is in addition to other remedies available
to Owner. Further If the Owner off-boards the property from the Agent's Platform, Licensor and / or the Agent is entitled to terminate this
agreement by giving 10 Days Notice Period to the Licensee. Termination is in addition to other remedies available to the Owner. The Licensor and /
or the Agent has the full authority to make deductions up to the full amount of the Security Deposit if any dues remains unpaid.
6. POSSESSION: That immediately at the expiration or termination or cancellation or non-renewal of this agreement the Licensee shall vacate the
Licensed premises without delay with all his goods and belongings. In the event of the Licensee failing and / or neglecting to remove himself and /
or his articles from the said premises on expiry or sooner determination of this Agreement, the Licensor and / or the Agent shall be entitled to take
the possession of the property & shall not be liable for any of the licensees belongings, and / or alternatively the Licensor shall be entitled to
recover damages at the rate of double the daily amount of license fees per day, without recourse to the Court of Law.
7. MAINTENANCE & INSPECTION OF PROPERTY: Licensee shall be responsible for maintaining the furnishings, fixtures, fittings and furniture and
minor day to day repairs including common areas. The Owner and/or Agent on behalf of the owner shall be entitled to claim compensation against
any damage caused by the Licensee. That the Licensee shall permit the Owner and/or his representatives and agents at all reasonable times to
enter upon the property or any portion therefore for the inspection and claim investigation of the property or to leave notice of defects to be
repaired if any.
8. RENEWAL: This Agreement is valid for the duration of the Term only. If agreeable to Parties, a renewal agreement shall be executed after expiry
of the Term on mutually agreed terms including any License Fee increment. In the event of a renewal agreement served upon the licensee and the
same is not signed/executed by the licensee within 7 days of receipt of the same while continuing to possess the property, the same shall be
considered as acceptance of new terms and conditions of renewal agreement.
9. NOTICES: Any notice may be served through email/ whatsapp or any other electronic medium or through a physical letter delivered by
registered post to the registered addresses or to the Property. For delivery through email/whatsapp, a delivery receipt will be considered as proof
of delivery. Any notice received by the licensee and not responded to within the stipulated time period shall be considered accepted.
10. ENTIRE AGREEMENT: This Leave and License agreement along with its annexures and the terms of use mentioned on the Agent's Website
(https://www.nestaway.com/help-center) form the entire and final and binding Agreement between the Parties hereto with respect to the subject
matter hereof and supersede all prior agreements and understandings of the parties, oral and written, with respect of the subject matter hereof.
No modification, amendment or waiver of any provisions of this Agreement will be effective unless made in writing with mutual consent.
11. SEVERABILITY: If any term of this Agreement is held to be illegal, invalid or unenforceable, in whole or in part, other than such terms, the
remaining terms shall not be affected.
12. GOVERNING LAW & JURISDICTION: This Agreement shall be governed by and enforced as per the Laws in India and for the purpose of
enforcement; the place of jurisdiction will be the city in which the Property is located.
13. STAMP DUTY: Payment of stamp duty or any deficiency in stamp duty on this agreement shall be the responsibility of the Licensee. 14.
UTILITY CHARGES:The Licensee shall pay all utility costs after move-in based on actual usage and rates and as per below policy:
a) Electricity: The Licensee shall pay all electricity costs (including common area electricity charges and electricity charges for lift, water motor
and/or any other common resources etc.). The Owner may install devices to measure the consumption of electricity by the Tenant and the readings
of such devices shall be final.
b) Society/Building maintenance: The society/building maintenance charges are to be directly paid by the Licensee to the society and the
payment receipts are to be shared with the Agent.
c) Water: If water charges are not included in the maintenance charges and a separate bill gets generated then the licensees will be charged
separately based on consumption. In case of non-availability of water from the primary sources for any reason, the Licensee shall be liable to pay
for the water sourced through an alternate source like water tankers etc. The Owner may install devices to measure the consumption by the
Licensee and the measurement by such devices shall be final.
d) Garbage Collection: If garbage collection charges are not included in the maintenance charges and a separate bill gets generated then the
Licensee will be charged (if applicable).
15. CORRECTIONS & AMENDMENTS: Nestaway reserves the right to, within 10 days of the date of this agreement, correct any errors or
omissions or lapses, which do not accurately reflect the terms and conditions agreed between the parties. At the discretion of Nestaway such
corrections may be by way of amendments or regeneration of agreements. Such amendment and regeneration shall be considered as the final
binding document.
16. CO-LICENSEES: Co-Licensee are the flatmates of the Licensee who have agreed to be added as Co-Licensee to the Agreement. Their names
are added by the Licensee and approved by Co-Licensee themselves. Co-Licensee must also follow the terms of the rental agreement. If a rental
agreement is canceled by Licensee or Nestaway, the cancellation/termination is applicable to Co-Licensee as well. We may require additional
documents for police verification.
17. PRIVACY & COMMUNICATIONS: Licensee agrees that he/she may be contacted via email and/or text messaging by the Agent/owner on the
contact details provided by them, for reminders; to obtain feedback; to provide general information about Agent services and offers and any other
purposes ancillary to this leave and license. The Licensee also further agrees that his/her profile shall be listed or shared by the Agent with
RentKarma (https://rentkarma.in). RentKarma is an application for house owners and tenants to review each other and is a product of Agent i.e
Nestaway Technologies Pvt Ltd.
18. DISPUTE RESOLUTION:
a) In the event of any dispute arising out of or in connection with the Agreement, the Parties shall, at first instance, attempt to amicably resolve
the same through settlement discussions (recorded by way of email or telephonic conversations);
b) If Parties are unable to resolve their disputes including any question regarding its existence, validity or termination, it shall be referred and
resolved by online arbitration by a sole arbitrator appointed under the institutional rules of the Centre For Alternate Dispute Resolution Excellence,
Bengaluru (The CADRE https://cadreodr.com), as amended from time to time, which rules are deemed to be incorporated by reference herein or by
any an arbitral institution(s) identified by the Agent. CADRE is an independent arbitration institution which provides online arbitration services.
Either party may approach The CADRE for appointment of an arbitrator in relation to any disputes and differences arising from or in connection to
this contract by writing an email to reachus@thecadre.in with a request to appoint an arbitrator and copying the email to the other party. The
arbitration shall be conducted in accordance with the rules of the arbitral institution to whom the case is referred, which rules are deemed to be
incorporated by reference in this clause. Either party is entitled to approach the identified arbitral institution(s) for reference of the dispute and
appointment of an arbitrator. The seat of arbitration shall be the place where the arbitrator appointed by the arbitral institution is located. If for
any reason the arbitral institution refuses or is unable to act, then the arbitrator shall be appointed by an application made by either party to a
court of competent jurisdiction.
c) The law governing this arbitration agreement and this agreement shall be the laws of India. The competent courts within the local limits of
where the Property is situated shall have exclusive jurisdiction over this Agreement. This arbitration agreement shall survive any cancellation or
termination of this Agreement.

Bengaluru, Karnataka, India , hereinafter referred to as Scheduled Premises pursuant to the leave and license Agreement dated 2023-11-06
executed between me and Sujan Biswas (Owner of Schedule Premises).
I hereby grant full power and authority, to the Owner and / or Nestaway Technologies Private Limited or any of his/her authorized
agents/representatives, to disclose directly or indirectly to any credit bureaus, from time to time at their own discretion any data in relation to the
payment (including any delay in payment) of the License Fee or any other payment due to Owner or to any of its Authorized Representative or to
any third party which is owed due to the result of the Licensee residing at the Schedule Premises to any credit bureau (existing or future) without
any notice to me. Any such action shall be deemed ratified and approved by me.
I am aware that the Owner and / or Nestaway Technologies Private Limited any of his/her Authorized Representatives, may at their own discretion,
record specific conversations, in cases of grievance related conversation or recovery of pending License Fee amount related conversations or any
other conversation, that the parties may deem fit without explicitly informing me about the same.
