GENERAL POWER OF ATTORNEY

KNOW YE ALL MEN BY THESE PRESENTS THAT, I

Dr. S. GOPALAN [AADHAR: 790240226940]-[PAN No.: AAGPG9866N], Hindu,


aged 88 years, S/o. Late. Subramanian, currently residing at E-68, Narela Road, Jindal
Global City, Sector – 35, Sonipat, Haryana – 131 001, and having permanent residence at
Heaven Apartment No. 5, 3/19, Temple Avenue, Sri Nagar Colony, Saidapet, Chennai –
600 015;

do hereby APPOINT MY Daughter

Mrs. SAUMYA UMA [AADHAR: 376782588342]-[PAN: AAQPU4992H], Hindu,


aged 53 years, D/o. S. Gopalan, residing at E-68, Narela Road, Jindal Global City, Sector
– 35, Sonipat, Haryana – 131 001, as my lawfully constituted POWER OF
ATTORNEY AGENT.

WHEREAS my wife, Smt. Uma Gopalan had purchased the property being a residential
flat bearing D6 in first floor (Southern unit of Mahadevan Apartments) bearing Door No.
172, Old No. 305, T.T.K. Road, Alwarpet, Chennai – 600 018 more fully described in the
‘Schedule of Property’ hereunder (hereinafter referred to as “schedule property” for the
sake of brevity), from and out of her own funds from one Mr. R. Chadramohan, by way of
a Sale Deed dated 25/06/1990, registered as Document No. 454 of 1990 on the file of
S.R.O., Joint Sub Registrar-I, Chennai Central, and;

WHEREAS subsequently, my wife, Smt. Uma Gopalan died intestate on 04/04/2012,


leaving behind myself, my 2 daughters namely, Mrs. Usha Narayanaswami and Mrs.
Saumya Uma and 1 son namely, Mr. Venkatasubramanian Gopalan as her only class – I
legal heirs to succeed to her estate, including the schedule property, each of us becoming
entitled to a ¼ share and interest in the Schedule property and;

WHEREAS subsequently my children namely, Mrs. Usha Narayanaswami, Mrs. Saumya


Uma and, Mr. Venkatasubramanian Gopalan, duly settled their share/s in the schedule
property in my favour by way of a Settlement Deed dated 30/08/2012, registered as
Document No. 415 of 2012 on the file of S.R.O., Joint Sub Registrar-I, Chennai Central,
and;

WHEREAS I became entitled to the schedule property and I have been I am entitled to
the entire schedule property absolutely and have been in equal, joint and absolute
possession of the schedule property ever since, paying all statutory taxes, public charges,
other levies, etc. and enjoying the same free from encumbrances and litigation, and;

WHEREAS we are now contemplating to sell the schedule property to prospective buyers
for a fair market price, and;

WHEREAS, however, I am ordinarily residing in Haryana and it is not possible for me to


go to Chennai, India to identify prospective buyers, initiate or be part of the sale process,
look after the required formalities and sign the necessary paperwork, and

WITH THAT END AND VIEW,

I do hereby appoint my daughter, Mrs. Saumya Uma, as my lawfully constituted Power of


Attorney Agent, empowering her to do the following vis-à-vis my share in the schedule
property, on my behalf:

1. Generally, to take care, look after, manage and maintain the schedule property,
on my behalf also.

2. To identify prospective buyer/s for the schedule property, to negotiate for sale,
to fix the buyer/s, to fix the sale consideration, to receive my share in the
advance, to enter into agreement/s of sale if necessary, to receive my share in
balance sale consideration, to execute the necessary sale deed/s thereof on my
behalf also, to present the documents for registration before the competent Sub
– Registrar, to admit execution on my behalf and to sign other forms necessary
for completion of the registration process and sale of the schedule property, on
my behalf also.

3. To sign necessary papers for effecting mutation of records with Revenue,


Municipal and other authorities concerned, with respect to the schedule
property in connection with the sale, on my behalf also, if necessary.

4. To issue and receive correspondences to / from Revenue, Municipal, Metro


Water, Electricity Board, Postal Department, Government (State and Central) or
other concerned authorities in connection with the schedule property, if
required.

5. To sign Patta transfer form(s), TANGEDCO name transfer form(s) and other
papers that may be necessary and incidental, with respect to my share in the
schedule property, so as to complete the proposed sale of the schedule property,
on my behalf.

6. To deliver possession of my share in the schedule property also to the


prospective buyer/s, on my behalf.

7. To execute any other documents like Rectification Deed, Ratification Deed,


Cancellation Deed, Indemnity Bond, Reconstitution Deed, etc. with respect to
the schedule property and its sale, in case required, on my behalf also.

8. To receive registered letters, parcels, money orders, summons, couriers,


Telegrams, V.P.Ps. etc., addressed to me.

9. To appoint advocates, institute or defend cases, sign Vakalats, Petitions,


Applications, Plaints, Affidavits, Statements, Memos, etc., on my behalf in case
of any dispute in connection with my share in the schedule property and to
represent me before the Court, either Civil or Criminal and also give evidence
on my behalf and to conduct the cases till a quietus is given and a logical
conclusion is arrived at.

10. To file Execution Petition if necessary and to accompany the Court Bailiff to
identify the property and if need be prefer police complaint in case of any
threats of intimidations.

11. If necessary, file appeals, revisions etc. or defend any appeals or revisions and
also, if necessary, to compromise or compound cases and in that connection to
sign compromise memo on my behalf.

12. And generally, to do such further or other acts, deed and things, lawfully, which
my Power Agent may deem fit and proper in my best interest and for the
fulfilment of the aforesaid objects.

13. I agree and undertake to ratify and confirm whatever acts, deeds and things my
Power Agent may lawfully do in my interests, by virtue of the powers hereby
given.

14. My Power Agent shall maintain a true and proper account on my behalf.

15. This Power of Attorney shall be in force till the aforesaid objects are fully
completed.

16. I have not received any consideration for execution of this Power of Attorney.

SCHEDULE OF PROPERTY

A residential flat bearing Door No. D-6 and having a plinth area of 1400 sq.ft or
thereabouts in 1st floor (Southern unit of Mahadevan Apartments) at Door No. 172, Old
Door No. 305, T.T.K. Road, Alwarpet, Chennai – 600 018 together with an undivided
1/20 share in total extant of land measuring 6515 sq. ft., comprised in R.S No. 1592/26
being bounded on the
North by : R.S. No. 1592/5;
South by : 12 feet common pathway;
East by : R.S No. 1592/5; and
West by : R.S No. 1592/26;

lying in Block No. 32, Mylapore (I) Village, Mylapore Taluk, Chennai District and
situate within the Registration Sub-District of Joint (I) and Registration District of
Chennai Central.
