♣ Trong nhiều năm qua, cao su Châu Á nhập khẩu đã chiếm thị phần đáng kể trên thị
trường Nhật Bản
♣ Sản lượng cao su xuất khẩu vào Nhật Bản có chút biến động năm 2018 -2019 từ
713,535 tấn lên 734,078 tấn; năm 2019- 2020 giảm mạnh, năm 2019 từ 734,078 tấn đến
năm 2020 giảm còn 560,084 tấn, giảm 173,994 tấn; sản lượng năm 2020 đến 2022 tăng
mạnh, tăng 208,981 tấn; đến 2023 giảm còn 612,517 tấn
♣ Gía trị cao su xuất khẩu vào Nhật Bản có chút biến động nhẹ, năm 2018-2019 từ
1,109,386 nghìn USD lên 1,125,287 nghìn USD; năm 2019- 2020 giảm mạnh, giảm
284,557 nghìn USD; năm 2020- 2022 tăng mạnh, từ 840,730 nghìn USD tăng lên
1,472,282 nghìn USD, tăng 631,552 nghìn USD; đến 2023 giảm mạnh còn 960,362 tấn.
♣ Nhật Bản là thị trường tiêu thụ cao su tự nhiên lớn thứ ba trên thế giới (sau Mỹ và EU)
với các chủng loại được tiêu thụ chủ yếu là RSS 3 và TSR 20. đây là một thị trường tiềm
năng và có ảnh hưởng rất lớn tới thị trường cao su thế giới.
♣ Nhật Bản nhập khẩu các loại cao su tự nhiên chủ yếu từ các cao su tiểu điền sản xuất từ
Thái Lan, Indonesia và Malaysia.

Nhận xét:
♣ Indonesia tiếp tục là nước dẫn đầu về giá trị xuất khẩu cao su, giá trị xuất khẩu cao su
từ Indonesia có biến động nhẹ năm 2018 -2019, tăng 31.482 nghìn USD; từ 2019- 2020
giảm mạnh, giảm 190,269 nghìn USD; năm 2020-2022 có giá trị xuất khẩu tăng mạnh,
tăng 416,537 nghìn USD
♣ Nước đứng thứ hai về giá trị xuất khẩu cao su là Thái Lan, giá trị xuất khẩu cao su của
Thái Lan có xu hướng giảm vào năm 2019-2020, giảm 91.42 nghìn USD; có xu hướng
tăng 2020-2022, từ 257,077 nghìn USD lên 462,460 nghìn USD, tăng 205.383 nghìn
USD trong hai năm; năm 2023 giảm còn 337,548 nghìn USD
♣ Việt Nam đứng thứ ba về giá trị xuất khẩu cao su vào Nhật Bản, giai đoạn 2018-2020
giảm mạnh, từ 19,118 nghìn USD giảm còn 15,234 nghìn USD; giai đoạn 2020-2022
tăng, từ 15,234 nghìn USD tăng lên 19,922 nghìn USD, tăng 4.688 nghìn USD, sang
2023 giảm còn 16, 672 nghìn USD
♣ Theo sau 3 nước đứng đầu về giá trị xuất khẩu cao su là các nước Cambodia, Sri
Lanka. Cambodia giảm trong giai đoạn 2018-2020, tăng giai đoạn 2020-2023; Sri Lanka
giai đoạn 2018-2020 giảm giá trị xuất khẩu, giai đoạn 2020-2022 giá trị xuất khẩu tăng;
năm 2023 giảm mạnh.
♣ Thị phần cao su xuất khẩu của Việt nam tại Nhật Bản chỉ đạt khoảng 1,4% với kim
ngạch khá khiêm tốn, khoảng 30 triệu USD/năm. VN chưa xuất khẩu nhiều chủng loại
cao su sang Nhật Bản, chủ yếu là cao su khối SVR 3L. Trong khi đó, Nhật Bản chủ yếu
nhập khẩu cao su ly tâm (RSS 3 và TSR 20) để sản xuất lốp ôtô thì VN lại xuất khẩu sang
Nhật rất ít so với Thái Lan, Inđônêsia và Malaysia. Thị trường cao su Nhật Bản là tiềm
năng đối với các doanh nghiệp Việt Nam.
♣ Xuất khẩu cao su của Việt Nam sang Nhật Bản chịu cạnh tranh từ nhiều thị trường, đặc
biệt là từ và Thái Lan trong đó thị phần cao su của Thái Lan liên tục tăng so với cùng kỳ
các năm.
♣ Giá nhiên liệu và nhu cầu chung về năng lượng tại Nhật Bản dự kiến sẽ giảm và làm
giảm áp lực đối với giá cả, đặc biệt là chi phí vận tải. Đây là tín hiệu lạc quan cho việc
xuất khẩu cao su của Việt Nam sang Nhật Bản trong thời gian tới.

Nhận xét:
♣ Nhìn chung sản lượng và giá trị xuất khẩu cao su của Việt Nam sang Nhật Bản có
nhiều biến động trong giai đoạn 2018-2023.
♣ Năm 2018, sản lượng chiếm 1,6% và giá trị xuất khẩu chiếm 1,7% so với năm 2019
giảm sản lượng còn 1,5% và giá trị xuất khẩu 1,5%; giảm 1% sản lượng và 1,2% giá trị
xuất khẩu.
♣ Năm 2020, sản lượng caao nhất trong 5 năm; giá trị xuất khẩu cao nhất vào năm 2022.
♣ Do ảnh hưởng của dịch bệnh covid nặng nề, trong 3 năm 2019, 2020, 2021 xuất khẩu
của Việt Nam sang Nhật Bản có nhiều biến động, nhưng nhìn chung không giảm nhiều.
♣ Năm 2022, sản lượng chiếm 1,3% và giá trị xuất khẩu chiếm 1,3 % giảm so với giai
đoạn 2018 – 2021.
♣ Năm 2023, sản lượng tặng lên 1,6% và giá trị xuất khẩu chiếm 1,7% tăng mạnh so với
năm 2022
» Cao su Việt Nam dược ưa chuộng: SVR 3L, RSS3, SVR 20…tại thị trường Nhật Bản.
Để mở rộng thị phần tại Nhật Bản, ngoài việc nâng cao chất lượng sản phẩm, Việt Nam
cần đa dạng hóa các hình thức xúc tiến thương mại.

♫ Sản lượng Micro và giá đỡ micro nhập khẩu vào Việt Nam có biến động nhẹ, năm
2018-2019 tăng 1,822 tấn; giai đoạn 2019-2022 giảm sản lượng từ 32,642 tấn giảm còn
27,437 tấn vào năm 2022, giảm 5,205 tấn trong 3 năm.
♫ Gía trị Micro và giá đỡ micro nhập khẩu vào Việt Nam giai đoạn 2018-2020 tăng nhẹ,
từ 1,081,182 tấn tăng lên 1,245,925 tấn; giai đoạn 2020-2022 giảm nhẹ từ 1,245,925 tấn
giảm còn 1,160,188 tấn vào năm 2022.
♫ Điểm cộng đầu tiên cho micro không dây Trung Quốc đó là thiết kế cực kỳ hiện đại,
đẹp mắt với các tone màu nhã nhặn, phù hợp với nhiều không gian. Chất liệu được lựa
chọn thường là hợp kim không gỉ sơn tĩnh điện vừa đẹp vừa bền, vỏ ngoài chắc chắn bảo
vệ tốt cho các linh kiện bên trong. Các mẫu micro nội địa Trung thậm chí chất lượng còn

♫ Giai đoạn 2018-2022, Việt Nam chủ yếu nhập khẩu Micro và giá đỡ micro của Trung
Quốc, Hàn Quốc, Indonesia, Nhật Bản, Malaysia.
♫ Trung Quốc đi đầu trong xuất khẩu Micro và giá đỡ micro vào Việt Nam. Sản lượng
xuất khẩu của Trung Quốc vào Việt Nam có biến động qua các năm. Giai đoạn 2018-
2020 từ 24,208 tấn giảm còn 22,464 tấn, giảm 1,744 tấn; giai đoạn 2020-2021 tăng nhẹ từ
22,464 tấn lên 24,050 tấn, tăng 1,586 tấn; đến năm 2022 sản lượng giảm nhẹ còn 23,663
tấn.

♫ Với vị trí thứ 3 trong bảng tổng hợp, một vị trí khá cao, sản lượng mà Indonesia xuất
khẩu vào Việt Nam còn biến động. Từ 2018-20221 sản lượng nhập khẩu micro và giá đỡ
micro vào Việt Nam tăng mạnh, từ 1,162 tấn tăng lên 688 tấn; năm 2021-2022, sản lượng
nhập khẩu lại giảm mạnh từ 688 tấn xuống còn 492 tấn, giảm 196 tấn.
♫ Theo sau là hai nước Nhật Bản và Malaysia; nhìn chung sản lượng Nhật Bản xuất khẩu
vào Việt Nam vẫn còn nhiều biến động, sản lượng Malaysia xuất khẩu vào Việt Nam
giảm mạnh, giai đoạn 2018-2022 từ 677 tấn xuống còn 334 tấn.
♫ Theo dữ liệu của Tổng cục Hải quan, trong năm 2022, Trung Quốc là thị trường xuất
khẩu lớn nhất của Việt Nam, với kim ngạch nhập khẩu đạt 119,3 tỷ USD. Máy móc, thiết
bị, dụng cụ, phụ tùng khác là nhóm mặt hàng Việt Nam nhập khẩu nhiều nhất, với kim
ngạch nhập khẩu đạt 24,2 tỷ USD: trong đó có micro và gia đỡ micro.

♫ Trung Quốc tiếp tục dẫn đầu giá trị xuất khẩu Micro và giá đỡ micro vào thị trường
Việt Nam, giá trị xuất khẩu vào Việt Nam tăng, giai đoạn 2018-2022, giá trị xuất khẩu từ
801,460 nghìn USD tăng lên 960,059 nghìn USD.
♫ Nước đứng thứ 2 về giá trị xuất khẩu Micro và giá đỡ micro vào Việt Nam là Hàn
Quốc, giá trị xuất khẩu vào Việt Nam giảm mạnh, năm 2018 là 106,438 nghìn USD giảm
mạnh còn 40,057 nghìn USD vào năm 2022.
♫ Malaysia đứng thứ 3 về giá trị xuất khẩu vào Việt Nam, giai đoạn 2018- 2020 tăng
mạnh, năm 2018 từ 33,180 nghìn USD tăng lên 39,802 nghìn USD, tăng 6,622 nghìn
USD; giai đoạn 2020-2021 từ 39,802 nghìn USD giảm còn 31,882 nghìn USD, giảm 7,92
nghìn USD; đến năm 2022 tăng mạnh lên 39,115 nghìn USD, tăng 7,233 nghìn USD
trong 1 năm.
♫ Theo sau 3 nước đứng đầu về giá trị xuất khẩu Micro và giá đỡ micro vào Việt Nam là
các nước Nhật Bản và Indonesia.
♫ Nhật Bản tăng mạnh giai đoạn 2018-2020, từ 19,639 nghìn USD lên 119,448 nghìn
USD, tăng 99,809 nghìn USD; giảm mạnh từ 2020-2022 từ 119,448 nghìn USD xuống
còn 25,052 nghìn USD, giảm 94,396 nghìn USD.
♫ Gía trị xuất khẩu của Indonesia vào Việt Nam còn nhiều biến động. Giai đoạn 2018-
2019 tăng 3,772 nghìn USD; giai đoạn 2020-2022 giảm mạnh từ 39,445 nghìn USD
xuống còn 19,653 nghìn USD, giảm 19,792 nghìn USD trong hai năm.

♫ Nhìn chung sản lượng và giá trị xuất khẩu Micro và giá đỡ micro vào Việt Nam giảm
trong năm 2022.
♫ Năm 2022, sản lượng xuất khẩu của Trung Quốc cao nhất trong năm nước đứng đầu,
chiếm 86,2%; sản lượng của Malaysia thấp nhất, chiếm 1,21%
♫ Năm 2022, gía trị xuất khẩu của Trung Quốc cũng cao nhất trong năm nước, chiếm
82,7%; Indonesia chiếm giá trị nhập khẩu thấp nhất, chiếm 1,69%.
♫ Micro không dây bắt sóng xa. Các dòng micro không dây có khả năng bắt sóng khá xa,
chúng có thể hoạt động được trong phạm vi bán kính lên tới 200 – 300m thoải mái dùng
tại các hội trường, sân khấu hay sự kiện lớn. Dải tần hoạt động rộng giúp dễ dàng setup
kênh mà không lo trùng sóng.

TOTAL MOUNT: 16.650 USD. CIF HAIPHONG, VIETNAM (Incoterms 2020). (In
Words: Sixteen thousand six hundred fifty US dollars.)
2.2 Inspection of the Goods
Payment for the Goods delivered hereunder shall not constitute acceptance there of.
Buyer shall have the right to inspect such Goods and to reject any or all of said Goods
which are judged to be defective or not in conformance with this Order. Goods so
rejected and Goods supplied in excess of quantities called for herein may, at the
discretion of Buyer, be returned to the Seller at Seller's expense.
ARTICLE 3: QUANLITY: Export standard.
- Stainless steel material, Inner layer SUS#304,0.35mm, outside fresh PP, matte surface.
- Function: 1.8L seamless electric kettle, application for hotels, households
- Features: 360 degree rotating base, cordless, easy to clean
ARTICLE 4: PACKING
4.1. Package: Close with an object
4.2. Products shall be securely and properly packed for shipment, storage, and stocking in
appropriate, clearly labeled, shipping containers and according to accepted commercial
practice, without extra charge for packing materials, cases, or other types of containers.
All containers and packaging shall become and remain Buyer's property
ARTICLE 5: DELIVERY
5.1. Applicable International Chamber of Commerce (hereinafter: ICC) CIF Incoterms
2020 (by reference to the most recent version of the Incoterms at date of conclusion of
the contract).
5.2. Place of delivery
5.2.1. Partial shipment: allowed
5.2.2. Port of loading: Guangdong port, China
5.2.3. Port of discharge: Hai Phong port, Vietnam
5.2.4. Delivery time: 21/6/2024 ( lastest delivery time 26/06/2024)
5.2.5. Carrier: Orient Overseas Container Line Ltd ( OOCL Logistics, China. Adress
HongKong, China).
5.3. After shipment, within 24 hours, the Seller shall telex advising the Buyer of
commodity, contract number, quantity, weight, invoice value, name of carrying vessel,
loading port, number of Bill of Lading, date of shipment.
5.4.Delivery: Responsibility for product delivery remains with the Seller until the
product is properly delivered and signed for. The Seller shall securely and properly pack
all shipments in accordance with accepted commercial practices. Upon delivery, all
packaging and containers shall become the property of the State, unless otherwise stated.
Delivered goods that do not conform to the specifications or are not in good condition
upon receipt shall be replaced promptly by the Seller.
5.5. If the seller fails to deliver the goods compared to the contract, but there is still a
deadline for delivery, the seller can still deliver the missing part within the
remaining time.
5.6. If the seller delivers the excess goods, the buyer can accept the excess goods at a
different price as agreed by the two parties.
5.7. Buyer has the right to inspect the Goods when they arrive at the port
ARTICLE 6: PAYMENT TERMS
6.1. Means of payment: Payment by Letter of Credit (L/C) and Telegraphic Transfer
(TT), and allow partial shipments and trans-shipment.
6.2. Details of Seller's bank account:

6.2. Time for payment [specify the time]:
1st payment date: 18th June, 2024
2nd payment date: 21th June, 2024
3rd payment date: 21th September, 2024
The Parties may choose a payment arrangement among the possibilities set out below, in
which case they should specify the arrangement chosen and provide the corresponding
details:
The Buyer must arrange for an irrevocable documentary credit in favor of the Seller to be
issued by a reputable bank, subject to the Uniform Customs and Practice for
Documentary Credits published by the International Chamber of Commerce (ICC). The
issue must be notified at least 14 days before the agreed date for delivery, or before the
beginning of the agreed delivery period specified at Article 5 of this contract, as
appropriate, unless the Parties agree otherwise as specified hereafter.
-Date on which the Letter of Credit and Telegraphic Transfer must be notified to the
Seller: May 5th, 2023
-The credit shall expire 14 days after the end of the period or date of delivery specified in
Article 5 of this contract
-The Letter of Credit and Telegraphic Transfer have to be confirmed by the Seller
6.3. Payment time:
- First time: ($1.11) Pay 20% of the order value by T/T as a deposit on the goods when
the contract is signed.
- Second time: ($3.33) Pay 60% by L/C when receiving goods.
- Third time: ($1.11) Pay 20% by L/C after three months from the date of receipt.
The Buyer must pay 100% of goods to the Seller's account
ARTICLE 7: DOCUMENTS
7.1. The Seller shall make available to the Buyer (or shall present to the bank specified by
the Buyer) the following documents (tick corresponding boxes and indicate, as
appropriate, the number of copies to be provided):
-Commercial invoice (3 copy)
-Bill of lading.(3 copy)
-Packing list (3 copy)
-Insurance copy document (1 copy)
-Certificate of origin (1 copy)
-Certificate of quanlity (1 copy)
7.2. In addition , the Seller shall make available to the Buyer the documents indicated in
the ICC Incoterms the Parties have selected under Article 5 of this contract.
ARTICLE 8: Non-performance of the Buyer's obligation to pay the price at the
agreed time.
8.1. If the Buyer fails to pay the price at the agreed time. The seller gives 14 days for the
buyer to perform payment on the additional. If the Buyer fails to pay the price at the
expiration of the additional period, the Seller may declare this contract avoided in
accordance with Article 9 of this contract.
8.2. If the Buyer fails to pay the price at the agreed time, the Seller shall, in any event, be
entitled, without limiting any other rights it may have, to charge interest on the
outstanding amount (both before and after any judgment) at the rate of 2% per annum.
ARTICLE 9:Non-performance of the Seller's obligation to deliver the Goods at the
agreed time
9.1. If the Seller fails to deliver the Goods at the agreed time, the Buyer shall fix to the
Seller an additional period of time 10 days for the performance of delivery. If the Seller
fails to deliver the Goods at the expiration of the additional period, the Buyer may declare
this contract avoided in accordance with Article 9 of this contract.
9.2. If the Seller is in delay in delivery of any goods as provided in this contract, the
Buyer is entitled to claim liquidated damages equal to 0.6% of the price of those goods
for each complete day of delay as from the agreed date of delivery or the last day of the
agreed delivery period, as specified in Article 2 of this contract, provided the Buyer
notifies the Seller of the delay.
ARTICLE 10: LACK OF CONFORMITY
10.1. The Buyer shall examine rhe Goods of cause them to be examined within as short a
period as is prcticable in the circumstances.The Buyer shall notify the Seller of any lack
of conformity of the Goods, specifying the nature of the lack of conformity, within 1
month after the Buyer has discovered or ought to have discovered the lack of conformity.
In any event, the Buyer loses the right to rely on a lack of conformity if he fails to notify
the Seller thereof at the latest within a period of 1 month from the date on which the
Goods were actually handed over to the Buyer.
10.2. Where the Buyer has given due notice of non-conformity to the Seller, the Buyer
may at his option
10.2.1.Require the Seller to deliver any missing quantity of the Goods, without any
additional expense to the Buyer;
10.2.2.Require the Seller to replace the Goods with conforming Goods, without any
additional expense to the Buyer.
10.2.3.Require the Seller to repair the Goods, without any additional expense to the
Buyer;
10.2.4. Reduce the price in the same proportion as the value that the Goods actually
delivered had at the time of the delivery bears to the value that conforming goods would
have had at that time. The Buyer may not reduce the price if the Seller replaces the Goods
with conforming goods or repairs the Goods in accordance with paragraphs 10.2.2 and
10.2.3 of this Article or if the Buyer refuses to accept such performance by the Seller;
10.2.5.Declare this contract avoided in accordance with Article 9 of this contract. The
Buyer shall in any event be entitled to claim damages.
ARTICLE 11. TRANSFER OF PROPERTY
11.1 The seller must ensure:
1. The buyer's title to the sold goods is not disputed by a third party:
2. Such goods must be legal; 3. The delivery of the goods is legal.
11.2 The seller mustn't sell goods within the scope of intellectual property rights. The
seller is responsible in the event of a dispute regarding intellectual property rights in the
goods sold.
11.3 If not otherwise provided by law or otherwise agreed by the parties, ownership is
transferred from the seller to the buyer from the time the goods are transferred.
11.4 Retention of title. The Seller must deliver to the Buyer the Goods specified in
Article 1 of this contract free from any right or claim of a third person. The property in
the Goods shall not pass to the Buyer until the Seller has received payment in full of the
price of the Goods. Until property in the Goods passes to the Buyer, the Buyer shall keep
the Goods separate from those of the Buyer and third parties and properly stored,
protected and insured and identified as the Seller's property.
ARTICLE 12. AVOIDANCE OF CONTRACT
ARTICLE 12. AVOIDANCE OF CONTRACT
12.1 There is a breach of contract where a party fails to perform any of its obligations
under this contract, including defective, partial, or late performance.
12.2 There is a fundamental breach of contract where:
12.2.1 Strict compliance with the obligation which has not been performed is of the
essence under this contract.
12.2.2 The non-performance substantially deprives the aggrieved party of what it was
reasonably entitled to expect under this contract. The Parties additionally agree that the
following is to be considered as a fundamental breach of contract: late payment, late
delivery, and nonconformity.
12.3 In a case of a breach of contract according to paragraph 12.1 of Article 12, the
aggrieved party shall, by notice to the other party, fix an additional period of time of 10
days for performance. During the additional period of time, the aggrieved party may
withhold performance of its own reciprocal obligations and may claim damages, but may
not declare this contract avoided. If the other party fails to perform its obligation within
the additional period of time, the aggrieved party may declare this contract avoided.
12.4 In case of a fundamental breach of contract according to paragraph 12.2 of Article
12, the aggrieved party may declare this contract avoided without fixing an additional
period of time for performance to the other party
12.5 A declaration of avoidance of this contract is effective only if made by notice to the
other party.
ARTICLE 13: FORCE MAJEURE - EXCUSE FOR NON-PERFORMANCE
13.1 "Force majeure" means war, emergency, accident, fire, earthquake, flood, storm,
industrial strike, or other impediments that the affected party proves was beyond its
control and that it could not reasonably be expected to have taken the impediment into
account at the time of the conclusion of this contract or to have avoided or overcome it or
its consequences.
13.2 A party affected by force majeure shall not be deemed to be in breach of this
contract, or otherwise be liable to the other, by reason of any delay in performance, or the
non-performance, of any of its obligations under this contract to the extent that the delay
or non-performance is due to any force majeure of which it has notified the other party in
accordance with Article 13.3. The time for performance of that obligation shall be
extended accordingly, subject to Article 13.4.
13.3 If any force majeure occurs in relation to either party which affects or is likely to
affect the performance of any of its obligations under this contract, it shall notify the
other party within a reasonable time as to the nature and extent of the circumstances in
question and their effect on its ability to perform.
13.4 If the performance by either party of any of its obligations under this contract is
prevented or delayed by force majeure for a continuous period in excess of three months,
the Parties shall negotiate in good faith, and use their best endeavors to agree upon such
amendments to this contract or alternative arrangements as may. be fair and reasonable
with a view to alleviating its effects, but if they do not agree upon such amendments or
arrangements within a further period of 30 days, the other party shall be entitlted to
terminate this contract by giving writen notice to the Party affected by the force majeure.
ARTICLE 14: CLAIM
The Seller as the ability for processing the inspection of goods before shipment and to
bear all expenses occured.
In the case of loss or damage after goods landed at port of arrival by the Buyer shall be
made claim for quantity and quality within three month after the goods at HAIPHONG
Port, and shall be confirmed in writting together with survey report of the goods
inspection office of the VINACONTROL. The survey report of VINACONTROL should
be regards as final.
Whenever such claim is to be proved as of the seller's responsibility. The seller shall
settle without delay.
ARTICLE 15: WARRANTY
15.1: The seller has the obligation and responsibility to provide a warranty against the
purchased item for a period of 5 years, called the warranty period, if the warranty is
agreed upon by the parties or is legally binding.
The warranty period is counted from the time when the buyer has the obligation and
responsibility to receive the item.
15.2: During the warranty period, if the buyer discovers a defect in the purchased or sold
object, he/she has the right to request the seller to replace it without paying, reduce the
price, exchange the defective object for another object or return the object and get a
refund.
ARTICLE 16. Entire agreement
16.1 This contract sets out the entire agreement between the Parties. Neither party has
entered into this contract in reliance upon any representation, warranty, or undertaking of
the other party that is not expressly set out or referred to in this contract. This Article
shall not exclude any liability for fraudulent misrepresentation. This contract supersedes
any previous agreement or understanding relating to its subject matter.
16.2 This contract may not be varied except by an agreement of the Parties in writing
(which may include email).
ARTICLE 17. Notice
17.1 Any notice under this contract shall be in writing (which may include email) and is
considered to be proposed and received when having signature from the receiving Party
(Receiver or Receiving representative) in case sending directly by EMS; or when having
email confirmation from the receiver in case sending by email.
17.2 Any amendment to any provision of this Contract must be in writing, signed by the
authorized representative of the Parties, and be deemed to be an integral part of the
Contract.
ARTICLE 18: PENALTY
18.1 Compensation for damage means the breaching party's compensation for the damage
caused by the breach of contract to the aggrieved party.
18.2 Compensation value includes the value of actual, direct loss and benefits that should
have been suffered by the party with an interest in violation caused by the party in breach
of the contract.
Dispute resolution procedure Any dispute, controversy, or claim arising out of or relating
to this contract, including its conclusion, interpretation, performance, breach, termination,
or invalidity, shall be finally settled under the rules of the United Nations Commission
On International Trade Law (UNCITRAL) by a Sole Arbitrator appointed in accordance
with the said rules. The place of arbitration shall be China. The language of the
arbitration
shall be English.
ARTICLE 19. Applicable law and guiding principles
19.1 Questions relating to this contract that are not settled by the provisions contained in
the contract itself shall be governed by the United Nations Convention on Contracts for
the International Sale of Goods (Vienna Sales Convention of 1980, hereafter referred to
as CISG). Questions not covered by the CISG shall be governed by the UNIDROIT
Principles of International Commercial Contracts (hereafter referred to as UNIDROIT
Principles), and to the extent that such questions are not covered by the UNIDROIT
Principles, by reference to "The applicable national law of the country where the Buyer
has his place of business"
19.2 This contract shall be performed in a spirit of good faith and fair dealing
ARTICLE 20: ARBITRATION
20.1: All disputes or differences arising out of or in connection with the present Contract,
including the one connected with the validity of the present Contract or any part thereof,
shall be settled by bilateral discussions.
20.2: Any dispute, disagreement of question arising out of or relating to this Contract or
relating to construction or performance (except as to any matter the decision or
determination whereof is provided for by these conditions), which cannot be settled
amicably, shall within sixty (60) days or such longer period as may be mutually agreed
upon, from the date on which either party informs the other in writing by a notice that
such dispute, disagreement or question exists, will be referred to the Arbitration Tribunal
consisting of three arbitrators.
20.3: Within sixty (60 days of the receipt of the said Notice, one arbitrator shall be
nominated in writing by SELLER and one arbitrator shall be nominated by BUYER.
20.4: The third arbitrator, who shall not be a citizen or domicile or of the country either
of the parties or of any other country unacceptable to any of the parties shall be
nominated of the parties within (90) days of the receipt of the notice mentioned above,
failing which the third arbitrator may be nominated by the President of International
Chamber of Commerce, Paris, at request of either party but the said nomination would be
after consultation with both the parties and shall preclude any citizen or domicile of any
country as mentioned. The arbitrator nominated under this Clause shall not be regarded
nor act as an umpire.
20.5: The Arbitration Tribunal shall have its seat at its own place mutually agreed to
between the parties.
20.6: The decision of the majority of the arbitrator shall be final and binding on the
parties to this contract.
20.7: Each party shall bear its own cost of preparing and presenting its case. The cost of
Arbitration including the fees and expenses of the third arbitrator shall be shared equally
by the Seller and the Buyer, unless otherwise awarded by the Arbitration Tribunal.
20.8: In the event of a vacancy caused in the office of the arbitrators, the party which
nominated such arbitrator shall be entitled to nominate another in his place and the
arbitration proceedings shall continue from the stage they were left by the retiring
arbitrator.
20.9: In the event of one of the parties failing to nominate its arbitrator within 60 days as
above or if any of the parties does not nominate another arbitrator within 60 days of the
place of arbitrator failing vacant, then the other party shall be entitled after due notice of
at least 30 days to request the President of International Chamber of Commerce, Paris to
nominate another arbitrator as above.
20.10: If the place of the third arbitrator falls vacant, his substitute shall be nominated
according to the provisions herein above stipulated.
20.11: The parties shall continue to perform their respective obligations under this
contract during the pendency of the arbitration proceedings except in so far as such
obligations are the subject matter of the said arbitration proceedings.
ARTICLE 21: GENERAL TERMS
Any amendments or alterations of the terms of this contract must be mutually agreed
previously and made in writting. This contract comes into effect from signing date, any
amendment and additional clause to these conditions shall be valid only if made in
written from duly signed by both sides. Signatures

by its representative , as since 25st June, 2024
