DEED OF SALE OR ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This Deed is made and executed by and between:

RAY MENDOZA, SR., of legal age, Filipino, with residence

address at No. 18 Francel Homes, BF Executive Almanza, Las Piñas
City, hereinafter known as the “TRANSFEROR”;

- and -

RENATO C. DE GUZMAN, of legal age, Filipino, married, with

residence address at 344 M.H. del Pilar Street, Pinagbuhatan, Pasig
City, Metro Manila, hereinafter known as the “TRANSFEREE”.

WITNESSETH: That --

WHEREAS, the Transferor is the lawful owner of a certain parcel of land

containing an area of THREE HECTARES (3.0 has.) more or less, located at Sitio
Taguite, Mabayo, Morong, Bataan, with the following technical description
(lines, bearings, distances):

“1-2, N 25o W, 103 m.; 2-3, S 80o W, 100 m.; 3-4, N 62o W, 100 m.; 4-5,
N 40o W, 78 m.; 5-6, S 78o E, 156 m.; 6-7, S 40o E, 60 m.; 7-8, N 79o E,
208 m.; 8-9, S 02o E, 125 m.; 9-1, S 80o W, 117 m.”;

WHEREAS, the Transferor offers to SELL, TRANSFER, and ASSIGN a

portion of his rights, claims and interest of the above-mentioned parcel of land,
or to the extent of TWO HECTARES (2.0 has.) and the Transferee accepts the
same;

NOW, THEREFORE, for and in consideration of the foregoing, the

Transferor hereby sells, transfers and assigns, in absolute and irrevocable
manner all his rights and interest and claims in the above-mentioned parcel of
land unto the Transferee, his heirs, successors-in-interest and assigns.

IN WITNESS WHEREOF, we have hereunto set our hands this ___ day of
