Re: Letter of the CEO of the Company to the Board regarding press releases purportedly
issued by Continental Towers’ subsidiaries
Dear Members of the Board,
In my capacity as CEO of Continental Towers LatAm Holdings Limited (“Continental Towers”

or the “Company”), I am writing to bring to the Board’s attention a series of press releases
purportedly issued by subsidiaries of the Company which were published in different media outlets
(some copies of which are attached to this letter as Annexes A-B). As explained below, these press
releases appear to be improper and unauthorized, and are causing significant harm and damage to
the Company and its independent management team. I urge the Board to take immediate action to
address this important matter.
The press releases, which claim to have been issued by Continental Towers El Salvador Ltda. De
C.V., Continental Towers de Panamá S. de R.L., and Collocation Technologies de Panamá S. de
R.L., are consistent with the pattern of defamatory, false and inaccurate statements that have been
made in the past against me and other members of the independent Management Team of the
Company (the “Management Team”) by Mr. Jorge Hernández, and/or through his agents and
related entities. In this specific case, using their control over the Company´s administration and
representatives through its SG&A contract.
In this case, the press releases seek to communicate the false statement that the different
subsidiaries of the Company are “completely separated” from “past employees and individuals
facing arrest warrants”, referring to different members of the Management Team, including and
naming myself. Some of the press releases also include statements by Ms. Antonieta Granillo, who
falsely presents herself as General Manager of Continental Towers El Salvador, to the effect that
I have been removed from my position with Continental Towers since October 2021.
As a preliminary matter, I note that the subsidiaries of the Company are not allowed, under the
Shareholders’ Agreement, to “hire or fire” any of the members of the Management Team, 1 let
alone publish a press release without the required approval. The subsidiaries of the Company are
also not permitted to represent the formal position of the Company, especially when by doing so
they are, as in this case, misrepresenting facts and spreading outright falsehoods. I urge to the
Board to determine if this press releases have been paid with Company´s funds under Juan
Francisco Quisquinay´s custody and control.
In this regard, it is striking that the press releases were published between February 20 and
February 21, 2024, immediately following decisions by Judge Kaplan of the United States District

Court for the Southern District of New York (the “SDNY”) in which he (i) confirmed the Second
Partial Final Award (the “SPFA”) issued in the AAA Arbitration hearing the dispute between the
Company’s shareholders (the “AAA Arbitration”), and (ii) granted the Anti-Suit Injunction
requested by Peppertree and AMLQ to terminate the commercial proceedings initiated in British
Virgin Islands against the Company and me (the “Anti-Suit Injunction”). As the Board is aware,
in confirming the SPFA, the SDNY has fully recognized the account of harassment and malicious
judicial persecution by Mr. Hernández and the A Shareholder against myself and the other
Members of the Management Team, as set forth in the SPFA. Moreover, in confirming the SPFA
and granting the Anti-Suit Injunction, Judge Kaplan also recognized my position as CEO of the
Company. Indeed, as the Anti-Suit Injunction noted, the SPFA has “definitively resolved” that I
am the CEO of the Company.
On the basis of the above, it is clear that the press releases constitute a reckless escalation of the
defamatory actions against the Company and its independent Management Team, and I believe
they are being promoted by Mr. Hernández and his agents, with the aim of continuing to harass
the Management Team and to devalue the Company. I urge the Board to investigate and take
immediate action to address the issuance of these improper and harmful press releases.
It seems like this is a continued campaign that only affects the sale process of the Company, now
confirmed by Judge Kaplan and the Second Circuit of Appealing Court. The only remaining path
to block the sale of the Company, seems to be reducing the value of Continental Towers to levels
in which a healthy bidding process could not be achievable. I also urge the Shareholders to review
the legal consequences of the individuals that are been used for perverse purposes that could bring
them several legal consequences in their origin countries and in the United States of America.
These actions continue to require the members of the Management Team to adopt security
measures and to fully reserve their rights and those rights of the Company. In particular, the
members of the Management Team reserve their right to adopt any necessary protective actions
against the individuals ultimately responsible for the attacks against them, including as it may be
necessary, pursuing the current investigation process including among others the Federal Bureau
of Investigation all available claims in the United States or other jurisdictions.
The members of the independent Management Team stand ready to cooperate on these issues with
the Board and any relevant authorities. I continue to reserve all my rights against all relevant
parties, and those rights of the Company, including the right to share this information with any
relevant outlet media.

Guatemalan couple investigated for business crimes committed in several countries

Honduran authorities are investigating a Guatemalan couple following allegations that

they are involved in various business crimes, including the unauthorized holding of the
management and legal representation of Continental Towers Honduras, S.A.
The couple are Jorge Alberto Gaitán Castro and Saraí Alicia Hernández Pineda, who are
also accused of revealing industrial or commercial secrets, damaging data and computer
systems, fraudulent administration, falsification of accounts, financial information and
identity theft, all of which are forbidden under the Criminal Code.
Representatives of Continental Towers Honduras, S.A., a company that operates in El
Salvador, Honduras, Guatemala, Costa Rica, Panama, Colombia and Peru, stated that the
accused are involved in ongoing investigations in several countries for their involvement
in the irregular sale of companies for their benefit.
According to the complaint filed with the Public Prosecutor’s Office, the accused were in
charge of attending to the negotiations and previous dealings with the telephone operators
in the different business opportunities that were presented to them.

Una pareja de guatemaltecos es investigada por las autoridades de Honduras, tras denuncias
que los involucran a varios delitos empresariales como ostentar la dirección y representación
legal de Continental Towers Honduras, S.A.
Se trata de: Jorge Alberto Gaitán Castro y Saraí Alicia Hernández Pineda, quienes, además, son
acusados de revelación de secretos industriales o comerciales, daños a datos y sistemas
informáticos, administración fraudulenta, falsedad de cuentas, información financiera y
usurpación de la personalidad de otros; todos tipificados bajo el Código Penal.
Los representantes de la empresa Continental Towers Honduras, S.A., una empresa que opera
en El Salvador, Honduras, Guatemala, Costa Rica, Panamá, Colombia y Perú, manifestaron que
los denunciados están involucrados en investigaciones vigentes en varios países por encaminar
la venta irregular de empresas a su favor.
Según la denuncia presentada ante el Ministerio Público, los acusados se encargaban de

atender las negociaciones y acercamientos previos con los operadores de telefonía en las
diferentes oportunidades de negocios que se les presentaron.

Representatives of COLLOCATION TECHNOLOGIES EL SALVADOR, LTDA DE

C.V. filed a criminal complaint against Óscar Ortiz and Roberto d’Aubuisson before El
Salvador Public Prosecutor’s Office for alleged corruption.
The company, which provides a network of telecommunication towers, signed an
agreement with the Municipality of Santa Tecla in 2010, when Óscar Ortiz was the
mayor and Jorge Gaitán Paredes, from Guatemala, was the general manager of the
company.
Under Roberto d’Aubuisson’s tenure as mayor, there was a change in the agreements
related to the location of telephone towers in the municipality. These changes were
motivated by the Court of Auditors’ questionings. Instead of maintaining the existing
agreements, the Municipality decided to lease the properties where the towers were
located, which were already 10 at the time. For each site, a payment of $300 was
agreed.
In 2017, while finalizing those agreements, d’Aubuisson called Juan Valiente. During
the call, they decided to cancel the signing of the agreements, announcing that the leases
would be formalized behind closed doors. The result was that only six out of the ten
slots originally planned would be leased. In addition, all previous agreements were
terminated.
This decision was taken without considering the already made 1.2 million investment in
the agreements signed with the municipality. The disregard for COLLOCATION
TECHNOLOGIES EL SALVADOR, LTDA DE C.V. and its representatives is
notorious as the mayor authorized another company to build a telecommunications
tower.
As a result, those involved would face serious charges, including illicit negotiations,
arbitrary acts and bribery.

Representantes de COLLOCATION TECHNOLOGIES EL SALVADOR,

LTDA DE C.V. presentaron ante la Fiscalía General de la República
(FGR) una denuncia penal en contra de Óscar Ortiz y Roberto
d’Aubuisson por posibles actos de corrupción.
Los servicios de la empresa, que pone a disposición una red de
torres de telecomunicación, fueron firmados en convenio con la
alcaldía de Santa Tecla en 2010, cuando fungía como alcalde 9
Óscar Ortiz y como gerente general de la empresa Jorge Gaitán
Paredes, de nacionalidad guatemalteca.
Bajo la administración de Roberto d’Aubuisson en la alcaldía se

produjo un cambio en los convenios relacionados con la
ubicación de las torres telefónicas de la comuna. Estos cambios
fueron motivados por cuestionamientos emitidos por la Corte de
Cuentas (CC). En lugar de mantener los convenios existentes, la
municipalidad optó por arrendar sus inmuebles donde se
encontraban las torres, que ya sumaban 10 en ese momento. Por
cada sitio, se acordó un pago de $300.
En 2017, durante el proceso de impresión de los contratos, Juan
Valiente recibió una llamada de d’Aubuisson. En dicha llamada, se
decidió dejar sin efecto la firma de los documentos, anunciando
que los arrendamientos se formalizarían a puerta cerrada. La
conclusión fue que ya no se arrendarían los 10 espacios
originalmente previstos, sino únicamente 6. Además, todos los
convenios anteriores quedaron sin efecto.
Esta decisión se tomó sin tener en cuenta la inversión previa de

$1.2 millones en los convenios suscritos con la comuna tecleña.
La omisión de considerar a COLLOCATION TECHNOLOGIES EL
SALVADOR, LTDA DE C.V. y sus representantes es notoria,
mientras que el alcalde autorizó a otra empresa la construcción
de una infraestructura de torres de telecomunicación.
Por ello, los implicados enfrentarían cargos graves, incluyendo
negociaciones ilícitas, actos arbitrarios y cohecho activo.


The Secretary General of the political party Frente Farabundo Martí para la Liberación
Nacional (FMLN), Oscar Ortiz, has been linked to a mafia organization in Santa Tecla.
Ortiz faces a complaint filed against him before the Public Prosecutor’s Office for alleged
corruption when he was the municipality’s mayor.
Ortiz did not comply with the agreements signed with COLLOCATION
TECHNOLOGIES EL SALVADOR, LTDA DE C.V. for the installation of
telecommunication towers. At that time, Jorge Leonel Gaitán Paredes was linked to this
company. His son, Jorge Alberto Gaitán Castro, has several pending complaints, and is
closely linked to this case.
Gaitán reported that the Municipality decided to terminate all agreements. In addition, the
permits for the installation of the towers were revoked, despite the fact that the company
had already invested $1.2 million for the installation of towers.
If found guilty, the people involved could face a conviction for arbitrary acts, bribery and
illicit negotiations.

El secretario general del FMLN, Oscar Ortiz, ha sido vinculado a una estructura mafiosa en
Santa Tecla. Ante esto, Ortiz ha sido denunciado ante la Fiscalía, por actos de corrupción
cuando fungió como alcalde del municipio.
Ortiz no cumplió con los convenios firmados con los representantes COLLOCATION
TECHNOLOGIES EL SALVADOR, LTDA DE C.V. sobre la colocación de antenas telefónicas. En ese
momento, Jorge Leonel Gaitán Paredes estaba vinculado con dicha empresa. Por su parte, su
hijo, Jorge Alberto Gaitán Castro, tiene varios casos abiertos, y está estrechamente relacionado
al caso.
Gaitán informó, en nombre de la alcaldía tecleña, que todos los convenios quedaban sin
efecto. Además, se revocaron los permisos para la instalación de las antenas, pese a que la
empresa ya había invertido $1.2 millones para la instalación de torres de señal telefónica.
De ser declarados culpables, los involucrados recibirían condenas por actos arbitrarios,

A partir de una demanda realizada en la Fiscalía General de la República de El Salvador (FGR),

el Ministerio Público de Guatemala ordenó una audiencia de declaración en contra de los
miembros de una banda de guatemaltecos y salvadoreños, liderada por Jorge Gaitán Paredes y
su hijo, Jorge Alberto Gaitán Castro por la apropiación de más de 1.2 millones de dólares.
La empresa que interpuso la demanda brinda servicio de soluciones integrales a

infraestructura de telecomunicaciones a entidades de Centroamérica, y según las
investigaciones, los Gaitán aprovecharon sus cargos para sustraer el dinero en concepto de
viáticos, emisión de cheques y transacciones a cuentas personales, desbancando las arcas de la
institución a la que representaban.
En una sede de El Salvador, la banda de los Gaitán tuvieron el apoyo de Carol Echeverría, una
ejecutiva aficionada a plataformas digitales, quien era la autora intelectual para coordinar el

Nacional (FMLN), Oscar Ortiz, remains on the sidelines of the political sphere after being
linked to a mafia organization in Santa Tecla, in connection with illicit negotiations in the
installation of telephone towers during his term as mayor.
The accusations include non-compliance with agreements with COLLOCATION
TECHNOLOGIES EL SALVADOR, LTDA DE C.V., generating a political crisis.
Following the Municipality’s revocation of permits, the already-invested $1.2 million
remains in question.

Being all this a family violence issue, a personal legal matter, completely
Independent of his relationship to by Peppertree Capital Management,
Inc., I am aware that lawyers retained and hired by the company (Carrillo
Law and Ana Alejos) are the ones advising him. Furthermore, he has
asked me to consult Lawyer Callejas, which t did, to advise me on how to
proceed in different mattes. Recently, he has stated that under the advice
of Lawyer Alejos (who is supposed to be an international advocate for
women's rights), he couldn't speak to me, ignoring me, causing further
psychological trauma, and degrading me even more.
I believe that these acts may constitute compliance breaches; Peppertree

Capital Management, Inc. paying for lawyers that represent him and
advise him in family matters, that could potentially lead to legal
repercussions.
I am addressing this matter, bringing it up to you, as the compliance

officer, in the hope that appropriate action will be taken to fully investigate
the financing of Mr. Gaitan's legal representation, rectify the situation and
to stop all funding of his legal advice regarding family matters, and any
legal advice of Carrillo Law and Ana i�lejos, due to their unethical actions.

I know that my life is in danger, due to constant threats and actions of

Mr. Gaitan and the background of the attorneys advising him. For

I am writing on a very serious matter. It appears that Goldman Sachs through its subsidiary
AMLQ has been funding Jorge Gaitan Castro to force his position of CEO of Continental
Towers.
A company where Goldman Sachs through its subsidiary AMLQ has an investment. Jorge
Gaitan Castro has serious criminal investigations in El Salvador, Guatemala and Honduras.
Goldman Sachs through its subsidiary AMLQ has funneled millions of dollars in his defense
trying to squash all evidence of his wrongdoing in order to further their narrative in an arbitration
case. They have hidden information from arbitration panel and from a federal Judge. They
refuse to correct the records and are poised to force Jorge Gaitan Castro as CEO of the
company so he can act as a proxy on they behalf. Millions of dollars have been funneled to
questionable law firm like Carrillo asociados and Ana Lucia Alejos Botran in Guatemala.
We encourage you to do a full investigation on this law firms. There is enough information in
the internet about this law firms funded directly and indirectly by AMLQ. The problem is that
now Jorge Gaitan Castro has been accused of domestic violence against his wife in a court of
Femicide of First Instance for Crimes of Femicide and other forms of Violence against woman
and Sexual Violence.
Please read the attached documents. Apparently, he has used money that AMLQ has given
Jorge Gaitan Castro as Salary and legal expenses on behalf of the company for his personal

I'm very grateful that Continental Towers LATAM Holdings Ltd., took the
time to respond to my letters and empathized with my situation.
In relation to your questions, I emphasis that every statement I have

made is backed by a document. I answer your questions as follows:
Yes, Ropes and Graves has paid Jorge Gaitan, who included this income
in his budget, like the one I have attached a picture of this letter. I also
attached the picture of a document, signed by Jorge Gaitan and his
"friend" Carol Echeverria where it states they are the representatives of
TANDEM INFRASTRUCTURE, a company that by now it should be formed
and should be generating an income for the couple.
As I fear for my life, I know that other people are aware that Jorge Gaitan
and his pack of partners in crime are dangerous that have no limit to their
debauchery. Proof of it, is the way they refer about other people, how
they share their malicious intents to harm those who once gave them a
job, that were colleagues at work and friends. Who investigates someone
who gave you work (Sequor Law)? Who dreams about torturing,
sadistically, dismembering and killing a former boss? Why do other pack
members laugh? Who files for working visas with his lover while his family

is not included? They do! Gaitan, Carol and Juan Ignacio Berger. And who
enables them? Well ... Now I'm clear that it's not the A Shareholders.
I uncovered a very dangerous plan drafted by Gaitan, where he wants to

harm me personally and others including Continental Towers, its
executives, family members of executives and shareholders. As you
should know by now, he is capable of everything if Peppertree and Ropes
and Graves pays. He's trying to take my children away through
sponsorship visa, sponsored by Ropes and Gray, Peppertree and Adam
Schachter. Evidence attached. I can see now his intent to kidnap or take
away my daughters to another country with money paid by all of you. I
have been a victim of his crimes and you all have created an unstoppable
monster, becoming his enablers.
He never told me of his plans, and I am sure Carol Echeverria didn't tell
her husband about her plans to leave Guatemala.
There is a picture with a lawyer, who is aware of this extramarital

relationship, whose name I don't know, but you will recognize in the
picture attached to this letter. There are several pictures attached, of my
husband and his lover (Carol Echeverria) on a constant travel vacation,
paid by you, leaving his wife and children for long periods of time. There
was never a threat to his life, there was never any danger in Guatemala,
I see that now.
Together with my legal team we have seen evidence of more than 4.3 MM
dollars given to him directly or indirectly through Schachter and
Dechamps. The numbers keep piling up and we are sure the total could
reach up to 6mm. These are monumental amounts of money and some
of it should cover my alimony and should not be used against me. This is
an absurd amount of money to defend someone that is supposed to be
an "innocent" man. He is a criminal and he is willing to hurt people to get
what he wants (while acting as a victim).
You need to stop this immediately and stop a criminal from getting away
with his wrong deeds.
