MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding is made and entered into on this 23/03/2024 by

KHIDKITOD MARKETING located at 425,7th Crossroad,1st Block, Jayanagar, Bangalore

And

Lokesh Agarwal providing Graphics designing Services, both of whom are collectively
Known as Parties.

Whereas First part and second party desire to enter an agreement in which they will work
together to various aims and objectives.

And Whereas First and second Parties desirous to Enter Into an MOU Between them,
setting out the working arrangements that each of the two agree are necessary to
complete the objectives.

1. Purpose and Scope: The purpose of this MOU is to provide a framework, the scope of
work , terms and conditions and responsibilities of both the involved parties regarding
Work. The Obligations of the parties will End on 31/12/2024.
a. The Main objective of project
i. Graphical Needs of KHIDKITOD Marketing
2. The Parties Obligations: The Parties desire and wish that this document will not create
any form or manner of a formal agreement, but rather an agreement between two
parties to work together in such a manner that would promote a genuine atmosphere
of collaboration in support of an effective partnership and leadership meant to
maintain, safeguard and sustain sound and optimal financial, managerial and
administrative commitment with regards to all matters related to project
3. Cooperation: The parties represent that they have unique specialized expertise that
they will draw upon to meet the objectives of The Project.

The first party will use the following Unique experience and expertise to further the
objectives of this project:
a. Client Acquisition
b. Client Relation Management
The Second Party will use the following Unique experience and expertise to further the
objectives of this project:
a. Graphics Design

4. Responsibilities : The first party shall undertake the following activities under this
MOU:
a. Give detailed Briefs about Projects
b. Give Timeline about the Projects
c. communication about the updates
The second party shall shall undertake the following activities under this MOU:
a. Work completion in given timeframe
b. Communication about the Updates

5. Resources :
The First Party Agrees to provide following resources in respect to project:
a. Canva Subscription
b. Cost of Producing Graphics
The Second Party Agrees to provide following resources in respect to project:
a. Graphic work
6. Communication Strategy:
All the communications between parties should be clear and from on of the following
channels:
a. Email
b. WhatsApp
c. Discord
7. Dispute resolution: The parties to this MOU agree that if any dispute arises due to any
aspects of this agreement, including but not limited to, any matters, disputes or claims,
the parties shall confer good faith and resolve the dispute.

8. Terminations: The parties if due to any disputes decide to terminate this MOU, all the
provided resources and pending work and payments should be completed. No New
Works will be assigned and the MOU will be terminated in 15 days of Application.
