Minutes of Partners’ Meeting of M/s Jeewan Enterprises, A

duly Regd. Partnership Firm under Indian partnership act,


1932, (the “Partnership”),held on 25/12/2018 at Regd. Office,
15/480 Civil Lines, Raipur

Present at the Meeting were:-

All Partners of the Partnership being present in person, any requirement


to give notice of the Meeting was unanimously waived.

The copy of proposal to lease/transfer the property of firm bearing


Khasra Number: 31 and 34 at Village Tatibandh to Shri Anupam
Kedia was circulated among all the existing aforementioned
partners of the partnership.
After due consideration, deliberation and discussion IT WAS
UNANIMOUSLY RESOLVED THAT:

1. That, partnership shall execute the lease or any other


instrument in favor of Shri ANupam Kedia of the wholly
owned and possessed property bearing Khasra Number: 31
and 34 at Village Tatibandh for obtaining the dealership of
Bharat Petroleum Corporation Ltd and establishment of Retail
outlet on his name.

2. It is further resolved that Partnership firm/Authorised partner


shall not honour any past, current and future liability of any
nature from the aforementioned property of the partnership.

3. That, the partnership shall provide lease of thirty years to shri


Anupam Kedia on mutually agreed terms.

4. That, It is further resolved that partnership shall giving


minimum notice of six months to Shri Anupam Kedia before
transferring the aforementioned property and make suitable
arrangement for attornment to protect his right.

5. That, partnership shall not transfer the aforementioned land


before taking noc from Shri Anupam Kedia.

6. That, all the existing aforementioned partners shall in


accordance with the instant resolution circulated to the
partners present in this meeting shall execute
agreement/instruments for the purpose of transferring land to
Shri Anupam Kedia for obtaining the dealership of retail outlet
from B.P.C.L.
7. That, it is further resolved that any dispute which may arise
between the partnership or Shri Anupam Kedia till the
continuance of lease shall be decided by the arbitration of
Territory Manager of B.P.C.L, Raipur.

There being no further business all the Partners declared the


Meeting closed.
