MEMBER BANKING RESOLUTION

The following resolution of the Members of ___________________________, LLC
(“Company”) is adopted on this date ____________________, pursuant to the adopted and binding
Operating Agreement of the Company.

RESOLUTIONS

1. The following institution is selected as a depository for the Company, and the Company is
authorized to deposit funds with and draw checks on the depository, utilizing checking,
savings, and other financial accounts to be opened with the depository in the name of the
Company.

agreements with the above-named depository to create accounts for the Company, and are
authorized to endorse in the name of the Company and to receive payments of all checks,

3. The authority granted by this resolution shall remain in full force and effect until revoked
and written notice of such revocation is provided to and received by the depository. The
Company shall indemnify and defend the above-named depository from any losses suffered
by acting in accordance with this resolution. Any signer of this resolution shall be
authorized to deliver to the depository an executed copy of this resolution.

4. By affirmative votes noted as signatures below, a majority vote in interest of LLC Units
approves the form and content of this resolution, to be effective immediately.
