RECORDING AGREEMENT

This recording agreement (the "Agreement") is entered into on [Date], This Agreement is made
between [Record Label Name], herein referred to as "Label," and the undersigned artists: [Artist
1 Name], herein referred to as "Artist 1," and [Artist 2 Name], also functioning as a producer,
herein referred to as "Artist 2 and Producer."

Recitals
WHEREAS, [Record Label Name] ("Label") is a recognized entity in the music industry, engaged
in the business of scouting, nurturing, recording, producing, and promoting musical artists; and

WHEREAS, [Artist 1 Name] ("Artist 1") and [Artist 2 Name], hereinafter also functioning as a
producer ("Artist 2 and Producer"), (collectively referred to as "Artists") are talented in the
creation, recording, and performance of music; and

WHEREAS, the Label is desirous of contracting the services of the Artists to record and perform
music under the terms and conditions set forth herein; and the Artists are eager to provide such
services pursuant to the stipulations of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth
below, and other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the parties agree as follows:

1. Term of Agreement
The term of this Agreement shall commence upon the date of the last signature affixed hereto
and shall extend until the completion of six (6) studio albums by the Artists, unless sooner
terminated according to the terms provided herein. Any termination prior to the fulfillment of
these conditions shall require written notice to all parties involved.

2. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of
Louisiana, United States, pertaining to Artist 1, and the laws of Eastern Cape, South Africa,
applicable to Artist 2 and Producer. Any and all legal proceedings or actions arising out of or
relating to this Agreement shall be instituted and prosecuted solely within the judicial systems
of the aforementioned jurisdictions.
3. Label's Obligations
The Label shall be obligated to undertake numerous responsibilities including, but not limited
to: promoting the Artists through diverse marketing channels; providing professional guidance
and production resources necessary for the development of high-quality music recordings;
facilitating studio time and access to competent production personnel; managing the approval
processes for album releases; overseeing the distribution and marketing efforts for the Artists’
works; and maintaining and enhancing the business relationship between the Artists and the
Label.

4. Artists' Obligations
The Artists shall: diligently engage in the writing and recording of music that conforms to the
quality standards and brand image of the Label; promote their music and associated personal
brand via live performances, media appearances, and interactions on social media platforms;
participate in the production of music videos and make required public appearances for
promotional purposes; and uphold a positive representation of the Label in both public and
private spheres, strictly adhering to the Label's regulations and the terms of this Agreement.

5. Confidentiality
All materials produced, including recordings and communications made in relation to this
Agreement, are to be considered confidential. Such confidential information shall not be
disclosed to any third parties without the prior written consent of all parties, except as required
by applicable law.

6. Dispute Resolution
Should disputes arise from or in connection with this Agreement, the parties shall initially
attempt to resolve such disputes through mutual consultation and mediation. If these efforts
are unsuccessful, the parties retain the right to seek legal redress in the designated jurisdiction
as provided for in this Agreement.

7. Copyright and Ownership

The Label shall retain exclusive ownership rights over all works produced under the auspices of
this Agreement, encompassing, but not limited to, the rights of reproduction, distribution, and
public display in any and all media formats, existing or yet to be developed.
8. Financial Terms and Royalties
8.1. Revenue Split: All net receipts, gross profits, and other financial metrics will be split equally
between Artist Number One and Artist Number Two, with a distribution of 50% each. It should
be noted that Artist Number Two functions both as an artist and a producer.

8.2. Advances: Any advances will be issued based on agreed terms and are subject to
recoupment. These advances will be recovered through streams, live performances, personal
appearances, and any other income generated by the artists. All incoming funds will be received
by the label initially to cover any outstanding costs.

8.3. Recoupment: The artists will receive their respective shares only after all advances and
associated costs have been fully recouped by the label.

8.4. Royalty Treatment: Royalties from foreign earnings will be treated in the same manner as
domestic (American) royalties.

8.5. Contract Duration: The terms of royalty obligations will persist for the entire duration of the
contract between the artists and the label.

9. Audit Rights
The Artists shall retain the right to conduct audits on the financial records pertinent to their
royalty payments. Such audits shall be carried out under the supervision of a certified legal
professional to ensure transparency and fairness in financial dealings.

10. Termination and Renewal

Upon termination of this Agreement, whether after fulfilling the album requirement or through
earlier termination by the Label, the parties may enter into negotiations to draft new terms and
conditions reflective of the current market conditions and the performance of the Artists.
