Repayment Agreement

This Agreement is entered into by NFI Interactive Logistics, LLC a subsidiary of NFI Industries Inc. (“NFI”),
which is headquartered in Camden, NJ, and ____________
Demetrius Huggins(“Candidate”) on this ____________

$5995.00 (“the Payment”)

NFI has agreed to pay the training costs for Candidate in the amount of ____________
associated with a CDL training program with 160 Driving Academy (“Training Program”). In exchange for
the Payment, NFI and Candidate agree to the following:

1. Repayment.

a. Candidate agrees that Candidate will work to successfully to complete the Training Program
and will commence employment with NFI within 2 weeks of Candidate’s completion of the
Training Program. Thereafter, Candidate will remain employed by NFI for a minimum of
____.
One YearIf Candidate does not finish the training program, does not commence employment

with NFI within 2 weeks of Candidate’s completion of the Training Program, and/or
terminates employment with NFI prior to _______, Candidate will reimburse NFI for 100% of

the Payment (hereafter “Reimbursement Amount”)

b. To the extent permitted by law, if Candidate is responsible for repaying NFI the
Reimbursement Amount under Section 1(a) of this Agreement, then Candidate hereby
authorizes NFI to deduct the Reimbursement Amount from Employee’s final paycheck,
including, but not limited to, from any accrued but unused paid time off (PTO) pay included
in Employee’s final paycheck.

c. To the extent Candidate commences employment with NFI, Candidate’s final paycheck is
not large enough to fully pay the Reimbursement Amount, or deduction from Candidate’s
final paycheck is not possible, Candidate agrees to pay any remaining amount of the
Reimbursement Amount in equal monthly installments from Candidate’s date of
termination until six months from the termination date, with the first installment due on the
last business day of the next month following Candidate’s date of termination.

d. If Candidate never commences employment with NFI, Candidate agrees to pay the
Reimbursement Amount in equal monthly installments from the date Candidate ceases
participation in the Training Program until six months from the end of Candidate’s
participation, with the first installment due on the last business day of the month following
the end of Candidate’s participation in the Training Program.
2. Default. If Candidate fails to timely make any of these installment payments, NFI may demand
immediate payment of any remaining portion of the Reimbursement Amount.

3. Costs. In the event that it is necessary for NFI to enforce this Agreement, Candidate agrees to pay
all attorneys’ fees, court costs, and other reasonable costs of collection.

4. Choice of Law and Venue. This Agreement shall be governed by and construed in accordance with
the laws of the State of New Jersey and any action filed which in any way relates to this Agreement
shall be venued in the New Jersey Superior Court, County of Camden. All discovery of any sort
which is taken as a result of litigation relating to this Agreement shall take place in the State of New
Jersey.

5. Entire Agreement. This is the entire and only agreement between NFI and Candidate relating to the
Payment and shall not be modified in any way except in a writing executed by both parties.
