Contract Construction Adaptive
Adaptive Trading P.L.C a company incorporated under the laws of Ethiopia and
having place of business on Addis Ababa Sub city Kirkos Woreda 02 and House
No. 465/406 kebele --- Tel:,09 11 38 89 50 hereinafter called the “SUPPLIER”,
represented for the purposes of this Contract by its duly authorized signatory
Mr. Biniyam Negusie, position General Manager.
(Herein after called “the Spare Parts”), and the SUPPLIER has agreed to such
engagement upon and subject to the terms and conditions appearing below in
this Contract.

ARTICLE “1’’
SCOPE OF THE WORKS
1.1. The supplier provides the described items above as per the proforma
Invoice provided by the Purchaser on April 3, 2024 with ref.
No.TW/GM/3/4/24/1.
1.2. The Purchase request, the Performa invoice, renewed license and any
supporting documents provided with the Performa invoice will be part of
this contract agreement.
ARTICLE “2’’
DUTIES AND RESPONSIBILITIES OF THE SUPPLIER
2.1 The SUPPLIER shall provide the item as per the specification stated on
the Performa Invoice submitted by THE SUPPLIER.
2.2 The quality and quantity of the spare parts shall be as per specification
given by the supplier.
2.3 Get the spare parts given by professional person who has the required
skill, experience, and education.
2.6 Give receipt for any payment that will be effected by the Purchaser.
ARTICLE “3’’.
FUNCTIONS AND RESPONSIBILITIES OF THE PURCHASER
The PURCHASER shall
3.1 The PURCHASER will appoint a representative and shall inspect spare
parts.
3.2 The PURCHASER reserves the right to reject any items if he considers
those to be inferior quality to the specification provided on the Proforma
Invoice.
3.3 The PURCHASER has the right to either request replacement of the
spare parts which are believed to be inferior to the specification
provided or void the contract as a whole.
ARTICLE ‘‘5’’
TOTAL CONTRACT VALUE
Total value of the contract is ETB 106,536.00 (One Hundred Six Thousand
Five Hundred Thirty Six only) including 15% VAT.

ARTICLE ‘‘6’’
DISPUTE SETTLEMENTS
The parties to this contact will try their best to solve any disputes arising out of
this contract amicably. But if disputes cannot be resolved mutual discussion,
the aggrieved party may take the case to the appropriate court in Ethiopia.
ARTICLE ‘‘7’’
SCOPE OF LEGALITY
This contract which is made between those parties will be compulsory on them
in the eyes of Ethiopian Law.
