4. Parties

4.1 VENDOR

647034082147) son of SRI Sunil Kumar, by faith- Hindu, by

occupation – Service, by nationality – Indian, residing at 107,

PRATAPGARGH, P.O. Santoshpur, Kolkata-700075, P.S.-

Garfa.

(VENDOR includes legal heirs and/or legal representatives

and/or executors and/or administrators and/or successors-in-

interest and/or assigns).

4.2.1 SMT. MUNMUN DAS (PAN: BIXPD8299L/ Aadhaar:

624923580218), daughter of Suresh Chandra Roy, by faith-

Hindu, by occupation – Private Tutor, by nationality – Indian,

residing at 101/6, GARFA MAIN ROAD, Kolkata- 700075, P.S.

– Survey Park

(PURCHASER includes legal heirs and/or legal representatives

and/or executors and/or administrators and/or successors-in-

interest and/or assigns).

NOW THIS CONVEYANCE WITNESSES AS FOLLOWS:

5. Subject Matter of this Deed of Conveyance:

5.1 Said Flat: ALL THAT flat No. 1B on the first floor situated on

the North - East side of the G+ III Storied Building (Said

Building), comprising of 1(one) Bed Room, 1(one) Drawing

Cum Dining Room, 1 (one) Kitchen, 1(one) Bath and Privy and

1(one) Verandah, marble flooring, without lift facility, having

its area measuring about 495 Sq. Ft. super build up area

(Carpet area 346.5 sq. ft.) more or less described in Schedule

B below (Description of flat), lying and situated at Municipal

Premises No. 63/1, Pratapgarh Colony, P.S. Kasba, Kolkata-

700075, within K.M.C. Ward No. 104, described in the

Schedule A below (Said Premises).

5.2 Land Share: Undivided, proportionate, impartible share in

land contained in the Said Premises, attributable and

appurtenant to the Said Flat.

5.3 Share In Common Portions: Undivided, proportionate,

impartible share and/or interest in the common areas,

amenities and facilities of the Said Building (Share In

Common Portions), the said common areas, amenities and

facilities being described in the Schedule C below (collectively

Common Portions).

5.4 Other Rights: All other rights appurtenant to the Said Flat

and Car Parking.

5.5 Said Flat And Appurtenances: The subject matter of this

Agreement for Sale are 5.1, 5.2, 5.3, and 5.4 above, which are

collectively described in Schedule B below (collectively Said

Flat And Appurtenances).

6. Back Ground and History of the Property

6.1 Erstwhile Owners: Kali Kinkar Dutta, Bhabani Dutta, Aloke

Dutta, Ayan Dutta, Mita Banik, Manas Ghosh son of Sri Sunil

Kumar Ghosh (collectively Erstwhile Owners) were the

erstwhile owners of the Said Premises.

6.2 Chain of Transfer by Erstwhile Owners: (1) by an Indenture

the Government of West Bengal decided to rehabilitate, one

Kali Kinkar Dutta son of Late Debendra Nath Dutta, deceased

father of the then owners, who were in peaceful possession of

ALL THAT piece and parcel of land measuring about 4 (four)

Cottahs more or less lying and/or situated in Mouza Garfa,

J.L. No. 19, R.S. No. 2, E/P No. 28, S.P. No. 47, comprised in

C.S. Dag Nos. 254(P) and 255(P), under P.S. Kasba in the

District of 24-Parganas by constructing a residential building

on the same as refugee migrated from East Pakistan, (2) AND

subsequently the Government of West Bengal decided to

rehabilitate the said refugees migrated from East Pakistan in

their respective plots of land by virtue of a registered Deed of

Gift, in favour of all the migrants from East Pakistan including

the said Kali Kinkar Dutta, by virtue of a Deed of Gift executed

on 29.04.1991, the Government of West Bengal allotted the

aforesaid landed property in favour of the said Kali Kinkar

Dutta which was registered in the office of the District Sub-

Registrar at Alipore on 29.04.1999 and was recorded in Book

No. I, Volume No. 15. Pages from 229 to 232 being No. 1108,

for the year 1991. The said Kali Kinkar Dutta, mutated his

name in the records of the then Calcutta Municipal

Corporation, by paying taxes in respect of the aforesaid

property being Municipal Premises No. 63/1, Pratapgarh, P.S.

Kasba, Kolkata - 700075 within the limit of the Kolkata,

Municipal Corporation Ward No. 104, Br. No. XII being

Assessee No. 31-104-33-0172-3. (3) AND while in peaceful

possession of the same, the said Kali Kinkar Dutta had

constructed a Two Storied building on the said landed property

keeping some portion vacant on the eastern side of the

property and while in peaceful possession of the same, the said

Kali Kinkar Dutta died intestate on 15.08.2000, leaving behind

him, his wife Bhabani Dutta, his two sons, namely (1) Sri

Aloke Dutta and (2) Sri Ayan Dutta and one married daughter

namely Smt. Mita Banik (nee Dutta) as his legal

heirs/successors who inherited all his movable and immovable

properties including the aforesaid landed property. His wife,

Bhabani Dutta died intestate on 07.02.2002. After their

demise, (1) Sri Aloke Dutta and (2) Sri Ayan Dutta and one

married daughter namely Smt. Mita Banik (nee Dutta)

inherited the aforesaid property, comprised of a bastu plot of

land measuring about 4 Cottah more or less, lying and/or

situated in Mouza Garfa, J.L. No. 19, R.S. No. 2 in E/P. No.

28, S/P No. 47 in C.S. Plot No. 254 (P) and 255(P) under P.S.

Kasba, in the District of South 24- parganas and a partly two

storied building constructed thereon approximately 1 Cottah

12 Chittaks and 25 sq.ft. area of land out of the total landed

area of 4 Cottahs more or less along with a vacant portion on

the Eastern side of the said property measuring about 2

Cottahs 3 Chittaks and 20 sq.ft. in equal shares, (4) AND

subsequently Smt. Mita Banik (nee Dutta) executed a Deed of

Gift in favour of her two other co-sharers (brothers), being

registered Deed of Gift, executed on 17.04.2003 and which was

registered in the office of the D.S.R. – III at Alipore and was

recorded in Book No. 1. Volume No.15, pages from 5259 to

5277, Being No. 04712 for the year 2003, (5) AND after

execution of the said Deed of Gift (1) Sri Aloke Dutta and (2)

Sri Ayan Dutta have become the joint owners of the aforesaid

property and mutated their names in the records of the

Kolkata Municipal Corporation in respect of the aforesaid

property by paying necessary taxes and other impositions from

time to time. The said premises is now known as Municipal

Premises No. 63/1, Pratapgarh (Postal address being 28,

Pratapgarh), P.O. Garfa, Kolkata 700075 under P.S. Kasba,

having Assessee No. 31-104-33-0172-3 within the limits of

Kolkata Municipal Corporation Ward No. 104, Br. XII, (6) AND

Sri Aloke Dutta and Sri Ayan Dutta, being the lawful owners of

the aforesaid property, have executed a Deed of Gift on

22.02.2008, in favour of their respective wives SMT. KRISHNA

DUTTA & SMT. SAMPA DUTTA, jointly in respect of the vacant

portion of the aforesaid premises, measuring about 2 Cottahs

3 Chittacks 20 sq.ft. more or less being part of Municipal

Premises No. 63, Pratapgarh, P.S. Kasba, Kolkata - 700075,

within the limits of the Kolkata Municipal Corporation, Ward

No. 104, Br. No. XII which was registered in the office of the

D.S.R. - III at Alipore andiwas recorded in Book No. I, Volume

No. 15, pages from 229 to 232, Being No. 1108 for the year

2008, (7) AND THEREAFTER being the lawful Joint Owners of

the landed property, measuring about 2 Cottahs 3 Chittacks

20 sq.ft. more or less lying and/or situated in Mouza Garfa,

J.L. No. 19, R.S. No. 2, E/P No. 28, S.P. No. 47, comprised in

C.S. Dag Nos. 254 (P) and 255(P) under P.S. Kasba being part

of Municipal Premises No. 63. Pratapgarh P.S. Kasba. Kolkata

700075, within the limits of the Kolkata Municipal Corporation

Ward No. 104, Br. XII, said Smt. Krishna Dutta and Smt.

Sampa Dutta, had mutated their names in the records of the

Kolkata Municipal Corporation in respect of the aforesaid

property by paying necessary taxes and other imposition. The

said premises then know as Municipal Premises No. 63/1,

Pratapgarh P.S. Kasba, Kolkata - 700075 within the limits of

the Kolkata Municipal Corporation Ward No. 104, Br. No. XII,

having Assessee No. 31-104-33-0172-3, (8) AND both the (the

then) owners had mutually decided to construct a new partly

G+Three and partly Three storied residential building

consisting of several residential flats in different floors and Car

Parking Spaces on the ground floor of the said premises for

their own residence as well as to sell the surplus of flats or

residential units to the interested Buyers/Purchasers at a

reasonable consideration after obtaining a sanctioned Building

Plan from the Kolkata Municipal Corporation on the total

landed properties of 2 Cottahs, 3 Chittaks 20 sq.ft. more or

less in the said premises, (9) AND the owners herein due to

their lack of technical knowledge, experience and expertise in

the field of construction, as well as financial difficulties, they

will look for a most reliable, experienced and a sound

Developer for the purpose of development and construction of

the new partly G+ Three and partly Three storied building at

premises No. 63/1, Pratapgarh, P.O. Garfa, Kolkata - 700075

Br, No. XII within the limits of the Kolkata Municipal

Corporation, Ward No. 104. Assessee No. 31- 104-33-0172-3

under P.S. Kasba, (10) AND THEREAFTER by virtue of a

registered Power of Attorney 17 April, 2009 Smt. Krishna Dutta

and Smt. Shampa Dutta, the owners conveyed power to do

execute register, endorse, make and construct Deed of

Conveyance to Sri Rajat Paul, AND the said registered Power of

Attorney was registered in the office of DSR-III 24-Parganas

(South) entire in Book No. IV, C.D. Volume No. 1, Pages No.

1232 to 1241 being No. 00233 for the year 2009, (11) AND the

owners therein and the Developer also executed a Joint

Venture Agreement and in in terms of the said joint venture

agreement the Kolkata Municipal Corporation duly sanctioned

the Building permit No. 212/XII/08-09 dated 23.08.2008.

Accordingly, the Developer herein has commenced the

construction of the proposed partly G+Ill and partly straight

Three storied building at the aforesaid premises, being

Municipal Premises, No. 63/1, Pratapgarh, P.O. Garfa, Kolkata

700075, under P.S. Kasba and the said building is now

construction as per the sanctioned Building Plan, (12) AND

during the construction of the said building, the VENDOR

herein with a view to purchase the flat, being No. 1-B, on the

First Floor, North East side, measuring about 495 sq.ft. more

or less, super built up Area, in the said G+Ill storeyed building

has negotiated with the Developer and purchased the said Flat

against mutually agreed consideration.

7. Title of VENDORS

7.1 Ownership of the VENDORS: By virtue of registered Deed of

Sale no. 190103657 registered in the Office of ARA-I Kolkata,

for the year 2010, the VENDOR acquired the property (the

Said Flat) as mentioned in clause 5 hereinabove collectively

and described in the Schedule B below.

8 Conclusion of Agreement For Sale: The VENDOR and the

PURCHASER entered into an Agreement For Sale dated 15th

day of January 2024 wherein the Vendor agreed to sell the said

property and the purchasers agreed to purchase the same in

consideration and terms and condition as stated therein.

9 Transfer Hereby Made: The Vendor hereby sell, convey and

transfer to and unto the Purchaser absolutely and forever, free

from all encumbrances of any and every nature whatsoever,

the Said Flat morefully described in the Schedules below.

10. Consideration

10.1 Total Consideration: The aforesaid transfer of the Said Flat is

being made in consideration of a sum of Rs 17,50,000/-

(Rupees Seventeen Lakhs Fifty Thousand) paid by the

Purchaser to the Vendor receipt of which the Vendor hereby,

admits and acknowledges.

11 Terms of Transfer

11.1 Salient Terms: The transfer of the Said Flat being affected by

this Conveyance is:

11.1.1Sale: A sale within the meaning of the Transfer of Property

Act, 1882.

11.1.2Absolute: absolute, irreversible and forever.

11.1.3Free from Encumbrances: free from all encumbrances of any

and every nature whatsoever including but not limited to

lispendens, attachments, liens, charges mortgages, trusts,

debtors, reversionary rights, residuary rights, claims and

statutory prohibitions.

11.1.4Other Rights: Together with all sorts of easement rights over

the adjacent common passage/roads and attached to the said

land and all other rights appurtenant to the Said Flat.

12. Possession:

12.1 Delivery and Nature of Possession: Khas, vacant, peaceful,

satisfactory, acceptable and physical possession of the Said

Flat shall be handed over by the VENDORS to the Purchasers

on execution of this Conveyance.

13. Holding Possession

13.1 Purchasers Entitled: The Vendor hereby covenant that the

Purchasers shall and may, from time to time, and at all times

hereafter, peacefully and quietly enter into, hold, possess, use

and enjoy the Said Property and every part thereof and receive

rents, issues and profits thereof and all other benefits, rights

and properties hereby granted, sold, conveyed, transferred,

assigned and assured or expressed or intended so to be unto

and to the Purchaser, without any lawful eviction, hindrance,

interruption, disturbance, claim or demand whatsoever from or

by the Vendors or any person lawfully or equitably claiming

any right or estate therein from under or in trust from the

Vendors. The Purchasers on execution of this Deed of

Conveyance become absolute owner of the Said Flat.

14. VENDOR Indemnity: The VENDOR do hereby declare and

covenant with the Purchasers that the Said Flatis free from all

encumbrances of any nature whatsoever and that the

VENDOR has full right, title and interest in the Said Flat. The

VENDOR shall at all-time indemnify and keep indemnified the

purchaser against all defects in title of the said property

whatsoever.

15. Outgoings:

15.1 The Purchaser shall be liable to pay the municipal rates and

taxes in respect of the proportionate share of land and the

constructed area of the Said Flat from the date of execution

and registration of this Deed of Conveyance.

15.2 The VENDOR shall be liable to pay all out going, the municipal

rates and taxes in respect of the Said Flat upto the date of

execution and registration of this Deed of Conveyance.

16. Conclusion of Contract: The Parties have concluded the

contract of sale in respect of the Said Property by this

Conveyance after having exhaustively and comprehensively

satisfied each other with regard to their respective rights,

duties and obligations, statutory as well as contractual.

ALL THAT piece and parcel of land measuring an area of 2 (Two)

Cottahs 3 (Three) Chiitaks 20 (twenty) Sq. Ft. more of less, lying

and/or situated in Mouza-Garfa, J.L. No.19, R.S. No.2, E/P No.28,

S.P. No.47, comprised inC.S. Dag No.s 254(P) and 255(P), under P.s.

Kasba, in the District of South 24 Parganas, being Municipal

ALL THAT Said Flat No. 1B on the first floor situated on the North-

East Side of K.M.C. Premises No. 63/1, Pratapgargh (Colony), P.S.

Kasba, Kolkata-700075, Ward No. 104, Br. No. XII, having its super

built-up area 495 Sq. Ft. (Carpet area 346.5 sq. ft.) more or less,

comprised of 1(one) Bed Room, 1 Drawing Cum Dining Room,1

Kitchen, 1 (one) Bath and privy and 1(one) Verandah, marble

flooring, without lift facility, described in the annexed map bordered

with red line, and along with undivided Proportionate share of land

and common facilities such as open spaces around the building,

roof, starir-cases, landings, lobbies, drainage water reservoir , septic

tank, boundary walls, meter space, pump and other fittings and

fixtures for common use and passage for ingress to egress from

appertaining thereto.

Schedule C

(Common Portions)

1) Entrance and Exits.

2) Staircase having lighting, fixtures and fittings including

staircase landing in all the floors of the said Building.

3) Common roof of the premises and stair roof.

4) Overhead and underground water tanks and distribution

pipes to the different Flats.

5) Boundary walls and main gate all side open spaces and

common passage.

6) All installations and common services such as drainage

and sewerage system soil pipe, waste water and rain water

pipes, septic tank etc (except those which are installed

within the flat).

7) Septic tank.

8) Meters, Electrical wiring, electrical installation, common

light and other Installation in common area.

9) Under ground and over head water reservoirs, water Pump

& other water supply equipment, Water pipe and

associated fixtures (except those which are installed within

the flat).

10) The foundations and all vertical and lateral supports.

11) Common Electric Meter Space under the Stair.

12) Common Pump space.

Schedule D

(Common expenses)

1. Cost and Expenses for maintenance, repairing decorating

etc., of the said building and the said common areas and

facilities be enjoyed and used by the purchasers in

common with the owners of the other flats / apartments.

2. Cost of cleaning and lighting of passage, landing, staircase

and other parts of the said building to be enjoyed or used

by the purchasers in common as aforesaid.

3. Electricity charges for the pump, motor and common lights

etc.

4. Cost of working and maintenance of common services,

such as line of filtered and unfiltered water, sewerage of

drains, rain water and water pipes etc.

5. Insurance of the said building.

6. Cost of consumption of water as may be charged by the

Calcutta Municipal Corporation.

7. Cost of decoration of the exterior wall of the said building

from time to time.

8. Salaries of Darwan, Electrician, Sweepers etc.

9. Common Taxes and other outgoings.

10. Such other incidental expenses as are necessary for the

maintenance and up keep of the said building and the

services thereof.

17. Execution: In Witness Whereof the Parties have executed this

Deed of Conveyance on the date mentioned above.

MEMO OF CONSIDERATION
