1. Distributor must provide true and correct Sell-Through Report every day from the opening
date of each Scheme Duration and provide the whole Sell-Through Report within the 5th
day of the next month. If Distributor fails to provide Sell-Through Report sufficiently or
provide Sell-Through Report incorrectly within foresaid period herein, it will be assumed that
Distributor and/or Customer does not wish to receive this support, and Xiaomi reserves the
right to refuse payment under any circumstances.
Applicable 2. Unless otherwise agreed by Xiaomi, each equipment's IMEI may only be applied to one
Conditions
support program (it cannot be reused with other support program). Xiaomi reserves the
right, without prior notice, to consider, deploy, or apply the IMEI of each equipment to each
support program.
3. Xiaomi reserves the right to cancel the payment at Xiaomi's discretion if any false,
fraudulent, abnormal information, and abnormal activity is found, and Xiaomi's decisions are
final.

Calculation Incentive Amount = Unit Incentive * Sell-Through Quantity

Formula

Supporting Sell-Through Report includes but not limited to invoice date, invoice no, state, equipment
Documents specification, IMEI number, CRM code, price and quantities, etc.

Kindly note that:

1.The Rebate/Incentive Amount here in is exclusive of the indirect tax (including value added tax, sales tax, etc.). If
other levies or taxes are applicable, it will be separately charged in the related credit note or invoice.
2.Distributor and/or Customer shall confirm the pre-settlement within 14 calendar days after date sent by Xiaomi. It
will be deemed as acceptance of the pre-settlement if Distributor and/or Customer has no response during said
period.

3.This Offer is adhered and subject to the terms and conditions in the Channel Offering Cooperation Agreement
and/or the sales frame agreement between Distributor and Xiaomi.
