Service Agreement

This Agreement is executed on this day of …………… July 2011 as part of the Memorandum of
Understanding for Coach Inventory and Reservation System entered on 16 th March 2011 by and
between:

Bird Information Systems Private Limited ( BIS ) company having its registered office at E-9
Connaught House, Connaught Place, New Delhi – 110 001. Hereinafter referred to as “BIS”.

And

Blue Hill Logistics (P) Ltd having its registered office at Sri Gayatri Complex, L- 165, 6th
Sector, Outer Ring Road, H.S.R. Layout, and Bangalore 560 102, INDIA, herein referred to as
the “Customer”.

Collectively both referred to as “Parties“and individual as ‘Party’.

WITNESSETH:

WHEREAS Bird Information System Private Limited (BIS), is an Information Technology,

Software Development and Infrastructure company engaged in providing Software and IT
services, hereinafter referred to as “BIS”.

AND WHEREAS “Blue Hill Logistics (P) Ltd” is a travel and transportation company, providing
Luxury Bus service and Inter City Transportation;

AND WHEREAS “Blue Hill Logistics (P) Ltd” wishes to procure Coach Inventory and
Reservation System;

NOW THEREFORE, in consideration of the mutual covenants hereinafter set forth, and other
good and valuable considerations, the parties hereby agree as follows:

1. Scope of agreement & Service Levels:

1.1 The scope of the Agreement is limited to “Application Hosting” for Coach Inventory and
Reservation System

1.2 Service Levels:

a) 24x7x365 Support
b) Network Uptime: 99.5 % computed Monthly.
c) Hardware Uptime: 99% computed annually.

2. Service charges:
The below mentioned charges shall be applicable and to be paid by the “BIS” to
“Customer”:

2.1 Initial Setup Fee (one time) of “Application Hosting”:

 Initial One-time fees towards Hosting, Maintenance, management & administration of
Server, Network components, setup and Internet Bandwidth shall be INR Fifteen
Thousand (INR 15,000) net of taxes, hereinafter referred to as the “Initial Contract Value”
Payable in advance on signature of this agreement.

2.2 Annual Recurring Charges

Annual Recurring fees towards Application Hosting would be Indian Rupees Four lac
Forty Thousand (INR 440,000), net of taxes to be paid to “BIS” by the “Customer” in four
quarterly instalments, in advance, at the beginning of the quarter against Maintenance,
management & administration of Server, Network components, setup and Bandwidth.

3. Invoicing and payment

a. The “Customer” shall pay to “BIS” the annual recurring fee as per the charges
mentioned above (2.2) towards the quarterly advance.

b. “BIS” shall raise invoices for other Fees and charges as and when accrued on monthly
basis.

c. The “Customer” shall pay all invoices within thirty (30) days from the date of invoice
through wire transfer or bank cheque to ‘BIS” account details of which shall be
provided by “BIS”.

d. Any taxes or levies as per applicable government rules and regulations would be extra
and would be borne and payable by the “Customer”.

e. In case of Non-Payment by the “Customer” to BIS”, SLA shall not be applicable.

f. Incase of due payment for two (2) or more Quarters, “BIS” has full authority to stop the
services without any prior notice to the “Customer”.

4. Term of the agreement:

The Agreement shall be for an initial minimum period of One (01) year. Thereafter, it shall
be extended automatically for a period of One (01) years on similar terms and conditions
(except for charges to be mutually agreed) unless prior written notice of Three (03) months
for termination is received from either party.

5. Termination of the contract:

The Agreement may be terminated at any given time by the “Customer” by serving written
notice to “BIS” at least 3 months prior to the proposed date of termination or payment of
an amount equal to 3 months quarterly payment.
“BIS” may terminate the Agreement with the “Customer” in the event of failure of making
the payments for “BIS” invoices or any material breach of Agreement.
In witness thereof, the parties hereto have executed this Agreement as of the day and year
first above written.
