AGREEMENT OF SALE

THIS AGREEMENT OF SALE dated the …....day of April 2024

entered into by and between Mr. V. Ravi Santhil Kumar ( PAN AENPR5172D)

son of late K. Veerappan residing at N.N.Patti, Chinnakampatti (Post )

Oddanchatram Taluk, Dindigul District 624712, hereinafter called the VENDOR

(which expression shall hold and include his heirs, legal representatives,

administrators, executors, successors and assigns)

AND

Mr. J. ASHTY DAVID ( PAN ACGPD9331D) son of M. John Zachariah residing

at 131 – F1, Chinnammal Street, K.K. Pudur, Coimbatore – 641038 , hereinafter

called the PURCHASER (which expression shall hold and include his heirs, legal

representatives, administrators, executors, successors and assigns) witnesseth:

WHEREAS the property morefully setout and described in the schedule

hereunder, which is a residential apartment with UDS land, belongs to the

VENDOR herein, the UDS land having been purchased by him under the sale

deed dated 27.04.2011 (Doc No. 1339 of 2011) and the apartment constructed

pursuant to the construction agreement dated 05.03.2008 .

WHEREAS the VENDOR represents that the property morefully setout and

described in the schedule hereunder presently stands mortgaged to ICICI Bank

limited and that a sum of about Rs 28,00,000/- is presently outstanding.


WHEREAS the VENDOR has decided to sell the property setout in the schedule

hereunder with the view to discharge the mortgage.

WHEREAS the VENDOR represents that he is the absolute owner and having

right to sell and convey the property more fully set out in the Schedule hereunder

and that except the mortgage aforesaid the property is absolutely free from any

charge, claim, lien, arrears of taxes, attachment, acquisition proceedings,

mortgage, litigation, decree, restrain orders, destrain proceedings, subsisting

agreement of sale or any other encumbrance whatsoever.

WHEREAS acting on the above express representation of the VENDOR, the

PURCHASER has come forward to purchase the property setout in the schedule

hereunder free of any encumbrance whatsoever and for a total and agreed sale

consideration of Rs. 49,00,000/- (Rupees Forty Nine Lakhs Only ) on the terms

and conditions agreed to between the VENDOR and the PURCHASER and which

are reduced to writing as follows:

NOW THIS AGREEMENT OF SALE WITNESSETH:

1. The VENDOR shall sell and the PURCHASER shall purchase the property more

fully setout in the schedule hereunder at an agreed and total sale consideration

of Rs. 49,00,000/- (Rupees Forty Nine Lakhs Only) without any encumbrance.

2. The PURCHASER has paid to the VENDOR an advance of Rs. 99,000/- (

Rupees Ninety Nine Thousand Only ) by GPAY transfer on 13.02.2024 and the
VENDOR hereby acknowledges the receipt of the advance as above and it is

hereby agreed that the PURCHASER shall pay the balance sale consideration

at the time of execution and registration of the sale by D.D./ RTGS/bank loan

take over, after deducting TDS as applicable.

3. It is agreed that the balance sale consideration shall be paid by the

PURCHASER and the Sale shall be completed within the agreed period of ONE

MONTH from the date of this Agreement. The cost of registration namely

stamp duty and registration charges shall be borne and paid by the PURCHASER.

The VENDOR deliver vacant possession of the property to the PURCHASER at

the time of registration of the sale.

4. The VENDOR shall produce for scrutiny of the PURCHASER all documents

of title, encumbrance certificate, T.S.L.R and such other document/s and

records as required by the PURCHASER to satisfy themselves regarding the

legal and marketable title of the VENDOR over the property setout in the

schedule hereunder.

5. The PURCHASER shall take the sale deed at their expense and shall be

entitled to take the sale under one or two sale deeds. The VENDOR shall ensure

availability of the original documents at the time of payment of balance sale

consideration simultaneous with the registration of the sale deed.

6. It is hereby further agreed that during the currency of this agreement, the

VENDOR shall not be entitled to deal with or in any way encumber the property

setout hereunder.
SCHEDULE OF PROPERTY

In Coimbatore Registration District, Peelamedu Sub Registration District,

Coimbatore Taluk, Sowripalayam Village, within the Coimbatore Corporation Limits, all

the piece and parcel of land measuring 5 acres and 19 cents, bearing S.F.No. 349/1,

350 and 351 ( Presently Sub-Divided as S.F.No. 351/2B1) of Sowripalayam Village,

Coimbatore and bounded by :-

On the East by : Lands in S.F.No. 359

On the West by : Lands in S.F.No. 332 and 333

On the North by : Remaining lands in S.F.No. 351

On the South by : East West Road

And pathways and all easementary and appurtenancy rights.

In the above land , in the residential complex constructed therein called “SHRIRAM

VIJAYA HYYDE PARK” , the Apartment bearing No. 406 on the Fourth Floor of

‘ B’ - Block having a super built up area of about 1290 Sq.Ft. and an undivided

share of land 723.69 Sq.ft. along with One Covered Car Parking (Slot No. CB 406

S) and also door, windows, frames, Electric connections and its deposits and right to

use the amenities like Party hall, Gym, Play Area, Genset for common area and Allotted

power backup, common water, Lift, Bore well, Staircase, all other common amenities

etc., compound walls, gates and all the built up area which is common to all the co

owners and all this common rights attached in the residential complex.

IN WITNESS WHEREOF THE VENDOR AND THE PURCHASER

HAVE SIGNED THIS AGREEMENT OF SALE ON THE DATE MENTIONED

CORRESPONDING TO THEIR SIGNATURES IN THE PRESENCE OF THE

WITNESSES WHO HAVE SIGNED HEREINBELOW.
