 Fee Schedule:

Advance of 75% shall be processed before we start the assignment and remaining 25% payment will be after the training.

Invoice for monthly fees shall be raised on monthly intervals in the beginning of the month.

Add on - Any application to be add on will be extra cost if Zoho do not have required features available.

Invoices will be payable within 5 days from the date of invoice or interest payable at 18% p.a. If assignment remains incomplete due to any reason, fees shall be paid for the
completed milestones.

Government taxes extra for Strateworks and Zoho Subscription plan (GST @ 18% is applicable at present).

In case of physical presence is required, all the cost for travelling from Navsari office to any other location (Partners – Flight/2nd AC train, Team members - 3rd AC train, Bus,
Cab), Stay & Food arrangement in a hotel/ Guest house with decent amenities, Local conveyance within the city etc. shall be Borne by Client. Need to process Advance
towards expenses separately.

Zoho Subscriptions to be taken by the client as per there requirements.

Zoho account of company shall be tagged under our Partner code.

Access to all information, all reports & transactions’ authorization, email and Zoho software access.

Outside our Scope of Services: Technical part – System Programming/ Customizations. Customizations if any required shall be done using Zoho technical team
Project will be carried out in an onsite/offshore basis.
For any critical discussion/workshop project onsite location will be at client office. For any onsite travel to client office from any location, Client will arrange for travel,
guest house accommodation, local travel, food and out of pocket expenses.
If there are any circumstances that reasonably restrict travel or physical presence of our personnel at your office/location, then without prejudice to your payment
obligations, you shall allow such personnel to work from home or other remote location till the time such reasonable restrictions exist. Any delay/ default in performing our
obligations arising from such restrictions, shall not be attributable to us and shall not be considered a breach of contract on our part and no consequent damages/penalties
etc. arising therefrom would be imposed on us under the Contract
Credit Period for the payment would be 10 days

The proposal is valid till 30 days

Monthly support services : Remote support for queries on call, video call, screen session, mails and Resolution time can go up to 48 hours in case of critical points.

Exclusion: We will not import backup data into the system and Initially, training will be provided to 10 persons, and afterward, it will be chargeable.

Anything beyond the scope of services including the points covered in ‘Outside our scope’ section will be charged extra.

 Terms and Conditions
1. By engaging StrateWorks Solutions as your Zoho implementation partner, you agree to comply with and be bound
by these Terms and Conditions.
2. The scope of work for Zoho implementation will be defined in a separate agreement or project proposal. It will
outline the specific Zoho applications and services to be provided and the associated costs.
3. Payment terms, rates, and invoicing details will be defined in the project agreement. The client is responsible for
making payments as per the agreed-upon schedule.
4. Clear project timelines and milestones will be established for each project. Both parties will work diligently to meet
these timelines, and any delays will be communicated promptly.
5. Any changes in project scope, requirements, or deliverables must be documented and approved by both parties.
Additional costs resulting from change requests will be discussed and agreed upon.
6. The client retains ownership of all data, documents, and information provided during the project. StrateWorks
Solutions will not use, access, or share this data without the client's explicit consent.
7. StrateWorks Solutions may offer post-implementation support and maintenance services as agreed upon in a
separate service contract.
8. StrateWorks Solutions agrees to maintain strict confidentiality regarding the client's business information,
processes, and data shared during the implementation project.
9. StrateWorks Solutions will conduct quality assurance and testing to ensure the Zoho applications are functioning
correctly and meeting the client's requirements.
10. The client is responsible for providing necessary information, access, and cooperation to facilitate the
implementation process. Failure to do so may result in project delays.
11. Both parties have the right to terminate the contract in accordance with the agreed-upon termination clauses.
Any outstanding fees and responsibilities will be settled during the termination process.
12. StrateWorks Solutions may develop customizations, scripts, or code as part of the implementation. The
ownership and usage rights of these assets will be determined in the project agreement.
13. These Terms and Conditions are governed by the laws of the jurisdiction agreed upon in the contract.
14. In case of disputes, both parties will work in good faith to resolve the issues through negotiation and mediation.
Legal action will be a last resort. The processes shared by us for defined tasks will be executed, and any tasks
deemed impracticable from a development standpoint will need to be abandoned. Furthermore, unachievable tasks
or those pending due to missing data from your end will be executed once the necessary information is shared with
us.

15. In case a workflow or a part of it becomes unworkable, it may be excluded or modified based on feasibility. Feasibility will be
assessed to accomplish the task within the scope of Zoho's subscription.
16. Any additional requirements for automation, customization, or enhancements, if needed, will incur additional charges and will
depend on your specific requirements and Zoho product subscription.
17. All Zoho applications are integrated. We will only implement the applications specified in the Estimate and Scope of Work.
Integrated applications like Payroll, CRM, People, etc., are not within the scope of our services.
18. Reports included in the Zoho Subscription are within the Scope of Work. Custom reports will be generated after you subscribe
to Zoho Analytics, and there may be an additional cost for custom reports created through Zoho Analytics.
19. Mobile App: This is an additional feature provided by Zoho, and it will offer the same features as Zoho provides. We cannot
make any amendments or additions to it.
20. Other value-added services such as SMS, emails, Payment Gateway, etc., will incur additional charges according to the service
provider's plans and packages.
21. A limit is set for each task/service or execution, such as print templates, email templates, reports, canvas designs, and visits.
Any additional requirements will result in extra charges.
22. Providing API-related or other support and services to a third party will incur additional costs. Zoho's API must be purchased
separately if the API limit exceeds the allocated threshold.
23. Features in the Zoho subscription mentioned above are subject to Zoho's policy rules.
24. Any cancellation of a Zoho subscription or payment refund will be subject to Zoho's policy rules.
25. As a standard procedure outlined by Zoho Corporation, you must acknowledge us as a Zoho Partner.
26. Payments are non-returnable and non-transferable at any time.
27. These terms and conditions, along with the project agreement, constitute the entire agreement between the client and
StrateWorks Solutions, superseding any prior understandings or agreements.
28. The Zoho implementation will adhere to Zoho's guidelines and best practices, ensuring the efficient and effective utilization of
Zoho applications.
29. All data, reports, and customizations created within Zoho applications during the implementation will be owned by the client,
and StrateWorks Solutions will not access or share this data without explicit consent.
By engaging StrateWorks Solutions as your Zoho implementation partner, you agree to these Terms and Conditions, including the
Zoho implementation-specific terms. Please read them carefully and ensure that you understand and accept them.
TERMINATION
Agreement may be terminated by either party, by 30 days’ notice in writing to the regular correspondence address of the other party marked to the
appropriate contact person. In the event of termination, fees and expenses incurred to the date of termination shall be payable.

ACCEPTANCE
Following your acceptance of our proposal & clearance of advance payment, we shall commence the assignment.
