10. Insurance
Party A shall insure the Goods supplied under the Contract for one hundred (100%) of the
total shipment value in accordance with Lloyd's Institute Cargo Clause A payable in the
currency stated in this contract in favour of party B with reputable company who will appoint
Vietnam Insurance Company in HCMC as their agent in settlement of the claims, if any
In case of loss, defects or damage caused to the Goods during sea transport, based on the
Survey Report by the independent inspection company of Vietnam or Vietnam Insurance
Company if the claim is proved to be due to the Seller's fault, the Buyer shall be entitled to
request the Seller to remedy and/or to replace for the loss, defect or damage on the basis of
Cat Lai quay at the port regulated under this Contract.

11. Force Majeure

Neither Party shall be liable for failure of or delay in performing obligations set forth in this
Agreement, and neither shall be deemed in breach of its obligations, if such failure or delay
is due to natural disasters or any causes beyond the reasonable control of either Party. In the
event of such force majeure, the Party affected thereby shall use reasonable efforts to cure or
overcome the same and resume performance of its obligations hereunder.

12. Claim
Quality inspection relies on the Certificate of Analysis provided by the manufacturer. The
results of quality inspections conducted on cargo at the destination port or the Buyer's
location, as certified by Vinacontrol or SGS as a third-party public surveyor, shall be deemed
final.
Any discrepancies in quantity must be formally claimed in writing to the Seller within 60
days from the date of discharge. The results of quality inspections conducted on cargo at the
destination port or the Buyer's location, certified by Vinacontrol or SGS as a third-party
public surveyor, shall be deemed final.
Seller must settle such claims within 45 days upon receiving the Buyer's formal claim.
 All imported goods must adhere to local laws, regulations, and pass the quality inspections
conducted by Vietnamese authorities during customs clearance. If the result of the quality
inspection is unsatisfactory, the Seller must accept the returned goods and bear all associated
costs and charges, including testing costs, taxes, re-exporting costs, and penalties imposed by
the authorities.

13. Penalty: : Neither Party shall be liable for failure of or delay in performing obligations set

14. Arbitration: Any disputes in connection with contract to be not settled amicably shall we
referred to VietNam International Arbitration Center (VIAC) at the VietNam Chamber of
Commerce and Industry in Ho Chi Minh City. The arbitration fee and other relating charges
shall be born by the losing party unless otherwise agreed.
15. Other Terms and Conditions: Seller is fully responsible for supplying the contracted
products with quantity and quality as stated in the contract. Buyer is not responsible if Seller,
intentionally or not, by his own decision, ships any goods other than contracted products. By
signing this contract, previous correspondences and negotiation connected herewith shall be
null and void. Any amendments to these conditions shall be valid only if made in written form
and duly signed by both parties. This contract is made into 4 originals, each party keeps 2 and
shall come into effect from signing date. Two parties agree that the signed contract via fax or
email is legal.
