Vendor Obligations
General
◊ The merchant is responsible for providing genuine and new products, sale of which is not illegal in India. Any legal liability arising due to
shortcomings like defects or Intellectual property rights related conflicts with third party, are to be borne by the vendor.

Changes in Pricing and others

◊ The Merchant shall be responsible for providing accurate information about the product (thru the seller panel) and its pricing. Any changes
related to pricing/discount, MOQ/Product Discontinuation or warehouse address related changes can be informed 7 days in advance .The
Merchant would be liable in case of any discrepancy in the above mentioned details. IB Monotaro will bear Logistics costs.

Product Availability
◊ The Merchant shall accept/confirm the purchase order reflecting in the seller panel within 4 hours, failing which the merchant will be required to
accept returns from the customer in case there is a cancellation on account of delay.

◊ Warranty and After-Sales Service

The Merchant shall be responsible for after sales service for the product and to handle any customer complaint regarding product quality and
warranties. IB Monotaro shall not be liable for the same in any manner whatsoever and the Merchant agrees to keep IB Monotaro harmless and
indemnified in this regard. The merchant should provide product in IB Monotaro suitable packaging, and bear cost of any damage due to poor
packaging.

Payment Policy
◊ Payment shall be made to the merchant 07 days from the date of delivery of product to the customer.

Return Policy

In the following circumstances, the product shall be returned to the merchant

1. Item is physically damaged/defective
2. Wrong item delivered
3. Wrong colour
4. Wrong size - Shoes
5. Wrong quantity
6. Customer Not available
7. Missing parts/accessories
8. Delayed acceptance of PO by vendor

However, in case of disputes/discrepancies, the merchant may mark the return as disputed in the seller panel or get in touch with our seller
support team at SS@industrybuying.com. Once the return is marked as disputed, the seller support team will ensure quick resolution.

Indemnity

◊ The Merchant agrees to defend and hold IB Monotaro and its affiliates, including all stakeholders harmless from and indemnified against
anyliabilities arising out of any breach by Merchant of this MOU or the representations and warranties contained in this MOU or of any terms
and conditions and/or policies of IB Monotaro. Merchant claims to be an Authorized dealer in the goods being sold to/on IB Monotaro, and in
the event of any third party claim in relation to the products being traded by the Merchant on IB Monotaro which is caused due to default of
the Merchant, the Merchant shall, on demand, pay liquidated damages on actuals.

◊ Confidentiality: The Merchant is required to keep trade and other related details confidential. IB Monotaro may be required to make complete
disclosure about the business carried out with merchant in case of third party claims related to infringement of Intellectual Property Rights .

Governing Law and Jurisdiction

◊ This MOU shall be governed by and construed in accordance with the law of India and the parties hereto submit to the exclusive
jurisdiction of the courts at New Delhi, India.
