KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and majority of whom are
residents of the Philippines, have this day voluntarily agreed to form a non-stock
corporation under the laws of the Republic of the Philippines.

AND WE HEREBY CERTIFY:

First: That the name of said corporation shall be

Second: That the purpose or purposes for which such corporation is


incorporated are:

The purpose of our coalition of civil society organizations is to unite diverse


groups with shared values and goals to amplify our collective voice and effect
positive change in our communities and beyond. Through collaboration, advocacy,
and action, we strive to: 1. Advocate for Human Rights: We work tirelessly to uphold
and defend the fundamental rights and freedoms of all individuals, regardless of
race, gender, religion, or socio-economic status. 2. Promote Social Justice: We seek
to address systemic inequalities and injustices by advocating for policies and
practices that promote fairness, equality, and inclusivity for all members of society.
3. Advance Environmental Sustainability: Recognizing the urgent need to protect our
planet for future generations, we advocate for sustainable practices and policies that
mitigate climate change, protect biodiversity, and promote environmental
stewardship. 4. Foster Civic Engagement: We empower citizens to actively
participate in democratic processes and decision-making, fostering a culture of
accountability, transparency, and good governance. 5. Enhance Access to Education
and Healthcare: We believe that access to quality education and healthcare is
essential for individuals to reach their full potential. Therefore, we advocate for
policies that ensure equitable access to these basic human rights. 6. Support
Community Development: We work alongside local communities to identify their
needs and priorities, providing support and resources to promote sustainable
development and improve quality of life. 7. Champion Peace and Conflict Resolution:
We promote peaceful coexistence and dialogue as the means to resolve conflicts,

both domestically and internationally, and advocate for policies that address the root
causes of violence and instability. By joining forces and leveraging our collective
expertise, resources, and networks, our coalition aims to drive positive social change
and build a more just, equitable, and sustainable world for all.

Provided that the corporation shall not solicit, accept or take


investments/placements from the public neither shall it issue investment
contracts.

Third: That the principal office of the corporation is located in ILANG-ILANG


ST. COR. NIA ROAD SAN JUAN BULACAN, BALAGTAS (BIGAA), BULACAN,
REGION III (CENTRAL LUZON), 3015;

Fourth: That the corporation shall have a term of existence of fifty (50) years
from the date of issuance of the certificate of incorporation;

Seventh: That the total contribution of the corporations is Three Thousand


Pesos (P3,000).

Eighth: That ARMI CELIA AQUILLO ARQUERO has been elected by the
members as Treasurer of the corporation to act as such until his successor is duly
elected and qualified in accordance with the by-laws, and that as such Treasurer, he
has been authorized to receive for and in the name and for the benefit of the
corporation, all contributions or donations paid or given by the members.

Ninth: That no part of its income is distributable as dividends to its members,


trustees or officers subject to the provisions of the Corporation Code of the
Philippines on dissolution. Provided, that any profit obtained by the association as an
incident to its operation shall, whenever necessary or proper shall be used for the
furtherance of the purposes enumerated in Article II, subject to the provision of Title
XI of the Corporation Code of the Philippines.

Tenth: That no member of the Board of Trustees shall receive any


compensation or remuneration in cash or in kind for services rendered to the
corporation as members.

Eleventh: That the level of administrative expenses of the corporation shall not,
on an annual basis, exceed thirty percent (30%) of the total donations received and

total expenses for the taxable year.

Twelveth: That in the event of dissolution, the assets of the corporation shall be
distributed to another corporation, organization or association whose
purpose/purposes are similar to the purpose/purposes of the dissolved corporation,
or to the State for public purpose/purposes, or shall be distributed in accordance
with an Order issued by a court of competent jurisdiction.

Thirteenth: That the incorporators undertake to change the name of the


corporation, as herein provided or as amended thereafter, immediately upon receipt
of notice from the Commission that another corporation, partnership or person has
acquired a prior right to the use of such name, that the name has been declared not
distinguishable from a name already registered or reserved for the use of another
corporation, or that it is contrary to law, public morals, customs or public policy.
