CAR RENTAL CONTRACT

Based on the needs and supply capacity of the parties below.

After discussion, both Parties have agreed to sign this contract on the terms and
conditions as follows:

ACTICLE 1 : CONTENT OF CONTRACT

Party A agrees to rent from Party B a 7-seater tourist car, including the driver during
the rental period.
- Types of car : Toyota Fortuner (2021);
- Number of types: 3201
- Vehicle type: Car
- Paint Color: White
- Vehicle registration is valid until: September 28, 2030
- License plate: 59A - 026.66 according to the car registration certificate number
099369 issued by the city police Ho Chi Minh issued on December 16, 2022 and
registered for the first time on December 16, 2022.
- Inspection certificate number DB 3461362 issued by Motor Vehicle Registration
Center No. 50-04A, Vietnam Registry on December 14, 2022.
- Status of car : Used
- Driver: Huynh Tri Hieu, born in 1992, driver's license class B2 number
740118000357 valid until 02/07/2025

ARTICLE 2 : CONTRACT VALUE & PAYMENT METHOD

- Car rental price is: VND1,3 mil per day
(In words: One million three hundred thousand Vietnamese dong/day)
- Party B make a deposit before renting 30% of the contract value to Party A.
- Party B is responsible fully reporting actual schedules and expenses (if any).
- Party B is responsible to settle payment to Party A in the form of transfer payment
to Party A’s Bank within (07) seven days from the issuing date of invoice.

ARTICLE 3 : RENTAL PERIOD AND PLACE

- The car rental period is 7 days starting from March 11, 2023 to the end of March
17, 2023.

- Car rental purpose: Travel with family

- Trip itinerary: Da Nang - Hoi An - Hue tour
- Place of receiving and returning the car: No. 118 Le Loi, Ward 3, Go Vap District,
Ho Chi Minh City.

ARTICLE 4 : OTHER CHARGES

1. In the event that average monthly fuel price increase or decrease more than 10%
from the current price (23,818 VND/liter), the submitted rate may be adjusted
upon writing approval of both Parties.
2. Car rental charges include gasoline and driver's salary, driver’s daily lunch.
3. Road toll fee, parking fee, airport fee, ferry fee will be paid by Party A.
4. All costs and expenses occurred as the consequence of traffic accident will be at
Party A's account.

ARTICLE 5 : PENALTY
1. In case Party B returns the car later than the agreed date in the contract, Party B
must pay extra for that day and an additional 5% surcharge for the total bill.
2. After receiving the car, if it is discovered that the damage is completely caused by
Party B's fault, Party B must bear 70% of the repair cost.
3. In case the damage occurs through no fault of either party, the two parties will
agree at the time of damage to agree on the amount of compensation.

ARTICLE 6 : DRIVERS
1. Driver should be experienced, competent and familiar with the general Da Nang -
Hoi An - Hue area.
2. Driver should have fair English speaking skill.

ARTICLE 7 : OTHER TERMS AND CONDITIONS

1. Party A is responsible for all legal documents and formalities for transportation of
the above-mentioned vehicle.

2. Party A is responsible for the technical conditions of the vehicle. Any damaged
vehicle shall be replaced immediately by another vehicle of the same quality/ same
price.
3. Party B is not allowed to bring any illegal, flammable, or explosive materials into
the vehicle.
4. Any change and/or supplement that may arise during the implementation course of
this contract must be informed 2 days in advance and settled through mutual
agreement.
5. In case of accident, any liability and settlement of claim lodged by third Parties
will be the sole responsibility of Party A.
6. Insuring car and passengers (1.000.000 VND for each person) are the
responsibility of Party A.
7. Party A must inform in writing and get approval from Party B in case of changing
the car for any reason, except for car breaks, or the change suggested by Party B.
8. The terms of this contract are confidential. Both Parties agree not to disclose them
to any person unless applicable law requires.

The contract is made into four (04) original copies, two (02) in English and two (02)
in Vietnamese of the same validity, each party retains two (02) original copies, one
(01) in English and one (01) in Vietnamese. The contract comes into force from the
signing date.
