CONTRACT TO CARRY OUT RESTAURANT / KITCHEN AREA

CLEANING SERVICES AT
MAMAK HUB 3 BRANCHES

THIS CONTRACT is entered into this on January 17, 2024

BETWEEN

MAMAK HUB (TR0264116-M) and having its registered main office at , 2-01-09, Ivory Plaza,
Halaman Bukit Gambir, 11700 Gelugor, Pulau Pinang, Malaysia. (hereinafter referred as “MAMAK
HUB.”) of one part
also having its 2 branches registered at , No.G.05, Ground Floor, The Top’s Car Park, Komtar , Lebuh
Tek Soon, 10000 Georgetown, Pulau Pinang, Malaysia and No.28, Jalan Tun Dr Awang, 11900 Bayan
Lepas, Pulau Pinang.

AND

VARONIA VENTURES (AS0462244-T), and having its registered office and a place of business at
2-2-38 Tingkat Mahsuri 4, Bayan Baru , 11950 Bayan Lepas, Penang. (hereinafter referred as
“VARONIA VENTURES.”) of the other part.

THAT'S.:-

A. MAMAK HUB intends to obtain the Cleaning Services of the Restaurant/Kitchen Area
mentioned in Schedule 1 to this Agreement and MAMAK HUB further agrees to give permission
to the Contractor and/or its employees to enter and provide Cleaning Services in the
Restaurant/Kitchen.

B. The Contractor agrees to provide Cleaning Services in the Restaurant/Kitchen in respect of the
conditions hereinafter stipulated.

IT IS AGREED by all parties as follows:-

1. DEFINITION

In this Agreement unless its contents explain otherwise and other than what is defined in this
Agreement, the words and expressions used herein shall mean as follows:-

1.1 Building Part within and/or outside any of the buildings or places mentioned
in Schedule 1 to this Agreement include office space, all building
areas, wall floors, ceilings, windows, toilets, corridors and/or drains.
 1.2 Area Part The area or outside any of the Areas or places mentioned in
Schedule 1 of this Agreement includes the affected areas specified
in the contract.

1.3 Cleaning All cleaning service work that needs to be carried out according to
Services the specifications stated in the agreement.

1.4 Daily All cleaning work that needs to be carried out on every day (except
Cleaning general release days) according to the specifics stated in this
Agreement.

1.5 Contractor A entities or individuals referred to under Table 1 to this Agreement.

2. CONTRACT PERIOD

2.1 This service contract agreement shall remain inforce for eighteen (18) months period
commencing from 1st June 2024 – 31st December 2025.

3. PAYMENT TERM

In consideration of this Agreement MAMAK HUB, agrees to pay the Contractor a Service Fee
of RM 2,170,000.00 (Two Million One Hundred Seventy Thousand Four Hundred Ninety Only)
3.1 The term of payment shall be 7 days after the end of month of the
invoicing date (EOM 7 days)
3.2 Invoicing shall be rendered only after service is completed

4. CLEANING SERVICES

The Contractor agrees to provide Cleaning Services in the relevant Building/Area according to
the specifications stated in this agreement.

5. SERVICE FEES AND BANK GUARANTEES

5.1 The Contractor must submit a complete bill/claim within 14 days (fourteen days) from
the date the supply or service is supplied or the work is completed to enable payment
to be made promptly.

5.2 MAMAK HUB shall pay to the Contractor the Service Fee set out in Schedule 1 to this
Agreement. Provided that the Service Fee may be paid after the work of the Cleaning
Service is confirmed.
6. TERMINATION OF AGREEMENT

6.1 This Agreement may be terminated by MAMAK HUB for the following reasons:-

6.1.1 The Contractor defaults on any of the conditions set out under this
Agreement provided that MAMAK HUB shall first give notice in writing
of the default and the Contractor shall still fail to recover the default after
the expiration of the period within which the notice is given;

6.1.2 If MAMAK HUB has reason to believe that the Contractor or anyone
employed by him or acting on his behalf (whether with or outside the
knowledge of the Contractor) commits an act of corruption or commits any
act in violation of the bidding declaration signed by the Contractor.

6.2 By not affecting any of the rights under this Agreement, MAMAK HUB shall not be
liable for any loss, damage, compensation or legal costs to the Contractor against
termination. Provided that MAMAK HUB may impose any deduction on the Service
Fee or Bank Guarantee as a result of termination of the agreement.

6.3 The Contractor may terminate this Agreement by giving written notice to MAMAK
HUB not less than three (3) months. If the Contractor fails to submit a notice of
termination within the stipulated time, MAMAK HUB reserves the right not to issue a
Service Fee or impose a deduction on the Bank Guarantee as a result of termination of
the agreement.

7. WORKERS AND EQUIPMENT

7.1 The Contractor shall at any time during working hours hold at least one (1) sufficient
Supervisor and employee as prescribed to provide the necessary Cleaning Services
satisfactorily. The contractor must submit a list of names and identification card
numbers and/or employee permit numbers (for foreign workers) to the MAMAK HUB.
Any termination or change of employee shall also be notified to MAMAK HUB and
the relevant office.
7.2 The contractor shall determine that all employees wear uniforms bearing the
Contractor's company logo as well as employee passes issued by MAMAK HUB.
MAMAK HUB may for security reasons cancel the issued employee pass.

7.3 The Contractor shall provide suitable and sufficient cleaning equipment and chemicals
to enable the work of the Cleaning Service to be carried out in the Building/Area. The
chemicals used must be approved by MAMAK HUB
7.4 Contractors shall employ only employees who have undergone a medical examination
and Inspection Report issued by an authorized doctor must be submitted to the Contract
Administrator, the relevant Responsibility Centre from the date the employee
commences his duties at the Building. Provided MAMAK HUB may conduct a
medical examination on the employee concerned from time to time if required and
PROVIDED FURTHER all costs of the inspection are borne by the Contractor.

7.5 Contractors must not employ children less than fourteen (14) years old to work in the
Building/Area.

7.6 The contractor or its employees are not allowed to sleep in the Area Building at all
times except with the written permission given by MAMAK HUB.

7.7 The Contractor shall before and as an initial condition under this Agreement obtain
insurance policies or policies with the company authorized by MAMAK HUB for the
Term of this Agreement to guarantee the Contractor and MAMAK HUB of any
liability arising as a result of the claim of any Employee in compliance with the
regulations for compensation under the Workmen's Compensation Act 1952 (Act 273)
or under any pre-determined written law.

7.8 If any employee is not well behaved or causes a dispute or is negligent or neglectful in
providing the Cleaning Services, MAMAK HUB may give instructions in writing to
the Contractor to terminate such employee. Provided that MAMAK HUB is not
responsible for any claims submitted as a result of such termination.
8. INSPECTION FACILITIES

The Contractor shall at all times facilitate MAMAK HUB or its representatives or any party
directed by MAMAK HUB to enter and inspect the Area Building or any part thereof to ensure
that the work of the Cleaning Services is carried out satisfactorily and perfectly.

9. PROPERTY DAMAGE

9.1 The Contractor shall promptly submit a report to the Enforcement Officer on any
damage to any property/tool which is the property of MAMAK HUB on the
Building/Area concerned during the term of this agreement.

9.2 Any repair costs resulting from damage resulting from the act of negligence or
negligence of the Contractor or its employees shall be borne by the Contractor.

10. STAMP TAX

The stamp tax imposed for this Agreement shall be funded by the Contractor.

11. CONFIDENTIALITY

The Contractor shall not, without any prior consent of MAMAK HUB, use or cause or permit
any employee, agent to use any document, report or any information obtained or received, or
worked on by their contractor, employee or other agent from the performance of their obligations
under this agreement.
ON WITNESSING THE ABOVE all parties mentioned in this Agreement have taken down their
signatures on the day and year as written above.
