1. About NABVENTURES:
NABVENTURES

NABVENTURES Limited (“NABVENTURES”) is a wholly owned subsidiary promoted by National Bank for
Agriculture and Rural Development (NABARD) and is engaged to carry on the business of advising and
managing Alternative Investment funds.The Company is registered under the Companies Act, 2013. The
registered office of the Company is situated at Plot No. C-24, G Block, Bandra Kurla Complex, Bandra
East, Mumbai-400051.

2. Brief background:
NABVENTURES is seeking Expressions of Interest (E0I) from eligible agencies (Firms/Companies etc.) for
the following services as detailed in the table below:

5. ESG reporting and Due Annexure-I The ESG service provider should

PE/VC/AIF funds and /or reputed
companies.

The agencies must have sound domain expertise in the stated area. The shortlisting of various agencies
will be based on criteria indicated in Annexure I and screening method followed by NABVENTUERS. The
empanelment will be valid for 03 years, which can be further extended for a period of 01 year at a time
for 02 years at the sole discretion of NABVENTURES. NABVENTURES will invite Request for Quotation
(RFQ) from the shortlisted agencies separately.

In submitting their Expression of Interest, the prospective shall provide the information as per format
mentioned in Annexure-

General Terms and Conditions.

1. Mere submission of application and fulfilling of eligibility criteria does not entitle the agencies
for empanelment.
2. This EOI does not entail any commitment on the part of NABVENTURES, either financial or
otherwise.
3. NABVENTURES reserves the right to accept or reject any or all EOI without incurring any
obligation to inform the affected applicant/s.
4. The shortlist of agencies for each discipline will be based on specified parameters and at the
sole discretion of NABVENTURES.
5. NABVENTURES reserves its rights to modify/relax the eligibility criteria in case sufficient
number of eligible applications are not received.
6. NABVENTURES reserves the right to summarily reject the application for any reason without
assigning the reason thereof.
7. Engagement of the various agencies shall be at the sole discretion of the Company.
8. The decision of NABVENTURES shall be final and binding on all.

The Expression of Interest and accompanying documents must be received not later than October 23,
2019 at 4:00 P.M (Indian Standard Time) and be forwarded to the following address in one sealed

1. Legal Due Diligence (For prospective transaction)

The empaneled agencies shall undertake legal due diligence on the following:

1. Background and business overview of the target company Constitutional Documents and
Corporate Records
2. Share Capital – Clear title of shares to be acquired
3. Details of the directors, auditors and bankers
4. Corporate Governance
5. Details of Shareholders
6. Agreements and Contracts
7. Licences and Approvals
8. Properties – Owned and Leased
9. Financial and Taxation records
10. Related party transactions
11. Exchange Control (FEMA aspects)
12. Loans and Borrowings and Guarantees extended
13. Investments
14. Intellectual Properties
15. Litigations
16. Employees and Personnel
17. Insurance Coverage
18. To validate the business assumptions
19. Any other scope as determined by NABVENTURES

2. Financial Due Diligence (For prospective transaction)

The empaneled agencies shall undertake due diligence of the Investment proposals and submit the
Due Diligence Report to the Client which should cover the following

1. Company unit snapshot covering all KYC verification

2. To scrutinise audited record, MIS and other company documents from an accounting point of
view.
3. Business profile
4. Ownership & Management including Key management & organization structure
5. Financials
6. Existing banking details including security coverage and covenants
7. Auditor details
8. ROC search and MCA check
9. Details of receivables and payables including covenants thereof
10. Industry overview
11. SWOT Analysis
12. Site visit with photographs
13. Promoters KYC & Individual Liabilities check
14. Any other scope as determined by NABVENTURES

3. Taxation for NABVENTURES
1. Provide Tax advice for each investment transaction
2. Provide tax advice in general matter related to AIFs.
3. Any other scope as determined by NABVENTURES

4. Documentations for NABVENTURES

1. Drafting of Shareholders Agreement(SHA), Share Purchase Agreement(SPA) and other related
documents
2. Doing all other legal and monitoring work in relation to AIF
3. Advice on various legal terms and conditions
4. Any other scope as determined by NABVENTURES

5. HR Function for NABVENTURES

1. Manage end to end recruitment needs of the Company
2. Send CV’s of candidates suitable for the post as per requirement of the Company
3. Communicate and coordinate between the Company and the potential candidate’s matter
relating to interview.
4. Advise the employee compensation bands.
5. Experience in running hiring mandates for VC/PE Funds is essentials.
6. Any other HR related work assigned from time to time

1. Identification and mapping of ESG risks in investee companies/potential investee companies.
2. Solution to the ESG risks
