GENERAL TERMS AND CONDITIONS

* All unit prices in this quotation are exclusive of VAT and is in Philippine Peso (PHP).
* Quantities not included in this quotation will be charged at cost to the Client plus a 10% administrative fee.
* TGG will charge a standby of 500.0 per hour (per team) should the team(s) drilling works be delayed due to the fault of the Client.
* This proposal is based on re-measurement. Should the quantities be reduced to more than 5%, the unit rates will have to be increased accordingly.
* TGG will mobilize within 2 weeks after receipt of downpayment.
* It is assumed that the team will not undergo any form of quarantine unless otherwise specified in this quotation.
* NQ3 (~47cm diameter) rock samples will be recovered unless otherwise specified.
* Should the Client reduce the number of boreholes, TGG will be charing its standard rate per borehole which would be PHP 45,000.00. The rate
provided in this quotation is a discounted rate.

TERMS AND CONDITIONS

TERMS AND CONDITIONS TGG-2024-167_r2

1) No boulders or other obstructions have been taken into consideration.

2) In case of any underground obstructions, TGG will not be responsible for any delays, costs, loss or expense airing, whether directly or indirectly,
from any underground obstruction and TGG will be entitled to adjustment of the Contract Amount and the Project Schedule.
3) Should there be any aboveground or underground obstructions that are discovered prior or upon drilling, TGG will immediately call the attention of
the Client. Standby/idling rates indicated in this quotation will apply accordingly.
4) This Quotation assumes that the Team will be allowed to STAY-IN during the project duration. The Client shall be responsible for the drilling
team's board and lodging fees.
5) The working area for the equipment must immediately be available at the time that TGG's equipment arrives on site.
6) The works can immediately start on any part, and that subsequent areas are always and already prepared for succeeding works Otherwise, effect
in unit prices has to be discussed separately should there be any changes in the above condition.
7) That the access to the working locations is possible for the requirement transportation of TGG's equipment and related operations at all times
(unless otherwised cost of clearing and transfer are specified in the BOQ).
8) Drilling under restricted headroom and confined working space is not considered.
9) Client shall provide all permits, government fees, local and municipal fees, barangay clearances and fees or other fees not included in the BOQ,
traffic management and services/supplies to commence and perform the works without interruption.
10) The Client shall arrange services to be provided in a way that the drilling works can be achieved continuously, otherwise, TGG's standby/idling
rate as indicated in this quotation shall apply, also pro-rata.
11) The Client shall liaise with the local government and barangay and provide necessary fees and clearances.
12) The Client shall provide a suitable, dry, stable and safe working area. TGG reserves the right to pull out its teams should TGG feel that the safety
of its staff or equipment are comprimised.
13) The Client shall indicate/remove/divert all existing utilities, service ducts, cables and other obstructions above and below ground before
commencement of the works. TGG does not take any responsibility for damages on structures that were left in place.
14) The Client shall provide dust/dirt/noise protection, monitoring of adjacent structures and fencing/concrete barriers (if necessary).
15) The Client shall provide restoration of roads (if necessary).
16) TGG will backfill the borehole after completion with the natural or excavated ground.
17) The Client shall provide additional measures and related costs by contaminated soil or groundwater (if necessary).
18) The Client shall provide Certificate of Completion immediately after the acceptance/completion of TGG's works.
19) Standby/idling charges shall apply after Client requests TGG equipment and/or personnel to go on Standby/Idling. Standby/Idling charges shall
also apply if TGG equipment and/or personnel stay beyond the agreed time table due to work stoppage or non availability of work or for any other
reasons beyond TGG's control.
20) Standby/idling times mentioned in this quotation mean any interruption, not initiated by TGG, in the performance of works that will cause delay(s)
in TGG's work schedule. Instances of standby/idling time include but are not limited to:
i. Delayed turn-over of area;
ii. Unusable/unsafe access, crane way, and/or working platform;
iii. Revisions in design, work locations, or scope of work upon the start of works;
iv. Absence of Client's authorized representative on-site when there is a ban to perform works without his or her presence.
v. Site instruction holding the ongoing works beyond TGG's responsibility and control for any reason.
vi. Inaccessible/unworkable area due to presence of contaminated and hazardous materials; and,
viii. Failure by Client to make payment by due date in which case standby/idling chargers shall apply 15 days after receipt of written notification from
TGG of failure to pay and notification of an intention to suspend the works as a direct result.
21) It is not considered standby/idling if the reason is either TGG's equipment failure and/or TGG's inefficiency.
22) Retention is not included in this quotation or proposal, should retention be required, the percentage of retention shall be added on top of the total
cost of the project.
23) The downpayment will serve as a security deposit and will be deducted in the last invoice. Should the downpayment exceed the amount of the
last invoice, TGG will deduct the amount in the previous invoices.
