1. INFORMATION FOR TENDERERS

1.1 Introduction

PT Meares Soputan Mining (“MSM”) and PT Tambang Tondano Nusajaya (“TTN”) jointly operate the Toka
Tindung Gold Processing Plant at the Toka Tindung Mine Site is inviting tenders of the provision of Drilling
Services at the Toka Tindung Project for a period of 5 (five) years commencing 1st August 2021.

1.2 Background

MSM is a limited liability company, incorporated in 1986 under Indonesian laws as a manufacturing (i.e.,
mining and processing) company. MSM is engaged in exploring, developing and mining mineral resources,
principally gold. The Company entered into a Contract of Work (“CoW”) with the Republic of Indonesia on 2
December 1986.

TTN is a limited liability company, incorporated in 1997 under Indonesian laws as a manufacturing (i.e., mining
and processing) company. TTN is engaged in exploring, developing and mining of mineral resources,
principally gold. The Company entered a Contract of Work with the Republic of Indonesia on 28 April 1997.

Both MSM and TTN (“the Company”) are ultimately owned by PT Archi Indonesia a private Indonesian
Company.

On July 1, 2011 the Company commenced commercial operations.

1.3 Project Location

The Project Site is located in North Sulawesi in the Republic of Indonesia and is approximately one‐hour drive
from Manado. The co‐ordinates of the Site are:

Longitude 125° E
Elevation 200 m

The Toka Tindung project area is located in Northern Sulawesi, between 15 and 35km north‐east of the major
regional city of Manado. The Toka Tindung Project comprises two CoWs. MSM CoW is located in the North
Sulawesi province primarily (about 97%) within the administrative district of Minahasa Utara Regency, sub
district of Likupang Timur and within the Bitung Municipality (about 3%), North Bitung sub‐district. TTN CoW
is located in the administrative district of Minahasa Utara Regency, and the Mayoralty of Bitung.

Personnel access to Toka Tindung is via the international airport at Manado, the capital of North Sulawesi
Province. Garuda Indonesia and other domestic airlines operate daily flights to Manado from Jakarta and
other airports.

Access from Manado to Toka Tindung is initially along the Manado‐Bitung road (two lanes, 7‐meter‐wide
pavement) for 11km before turning north onto the Likupang road (two lanes, 6‐meter‐wide pavement of
lesser quality than Manado‐Bitung road). After travelling north for 29km on the Likupang road, a turn east is
made and a further 7km are travelled before arriving at Maen village. Toka Tindung is located approximately
5km south of Winuri village along an unsealed road.

Manado has a population of around 450,000 people and is the capital and major regional center in Sulawesi
Utara. It has limited industrial infrastructure, with fishing, agriculture and tourism the predominant
industries. Scuba diving is a big attraction around the Manado area. The University of Sam Ratulangi is located
in Manado.

Freight shipped to site currently comes through the deep‐water port of Bitung approximately 30km south‐
south‐east of Toka Tindung. Bitung Port is located in Bitung City, North Sulawesi. The container terminal has
dock area of 591 meters, CY of 5.5 hectares, 4 unit’s container cranes (CC), and 8 units Rubber Tyred Gantry
(RTG). Bitung port was chosen as an International Hub Port in the Eastern Region of Indonesia with the
following considerations from dynamics of logistic in the Eastern Region of Indonesia are expected to grow
exponentially according to its potential.

1.4 General Project Information

The Company staff are housed in a camp located 3 km north of the treatment plant and of the mine and
administration offices. Messing and camp service facilities including laundry and filtered water production
are operated by a Contractor for the Company.

The Company from Site can assist procurement, supply and transport and will use freight forwarder for
importing of goods unavailable in Indonesia. The head office of the Company is in Jakarta with representative
office in Manado.

1.5 Site Climatic Conditions

The Project is located slightly north of the equator and has a tropical climate. Annual rainfall averages over
3,000 mm with a short dry season from July to October and a long wet season from November to June.

1.6 Community

The Company is very sensitive to the impact of vehicular traffic on the community and the successful Supplier
will need to work with the Company to develop strategies to minimize this impact. The Company has
instigated a Drivers Code of Conduct.

1.7 OHSE (Occupational, Health, Safety & Environment)

The Contractor is expected to demonstrate a commitment to ongoing safety of its people, assets, community
and environment.

The Contractor need to meet the HSE requirements and familiarize themselves and follow all policy and
procedure in Toka Tindung site project.

Tenders are required to complete the CSMS form, referring Appendix 1 below.

Please prepare a separate folder for OHSE (a separate folder from other folder containing technical and
commercial):
1. CSMS form that has been completed and signed, and
2. along with all supporting documents
3. All Standard Operating Procedures and Company Policy related to OHSE
4. Resume of personnel as PJO (Operational Responsibility) together with a Letter of Appointment and a
photocopy of POM / POP Competency Certificate.
5. Any certificates, forms, policies and other documents may need to be included that are relevant to OHSE.

Important note: Only Tenderers who meet all CSMS requirements, and are declared to have passed by
reviewers from Toka Tindung OHSE Committee will continue the next tender process

All tools and equipment is to meet Indonesian regulatory requirements and Company regulations.

All the Contractor’s employees, including drivers, will be inducted by the Company and issued Driving Permits
and ID cards.

The Company is working toward an integrated Emergency Response with its Contractors and expects the
successful Contractor to fully participate in this Emergency Response.

2. CONDITIONS OF TENDERING

2.1 Tender Documents

The Tender Documents shall comprise the Information for Tenderers, Conditions of Tendering, Form of
Tender, Tender Schedules, Form of Agreement, Special Conditions of Contract, General Conditions of
Contract, Scope of Work and any document so referred to within these documents.

2.2 Acknowledgment of Invitation to Tender

The Tenderer shall by the due date shown at Clause 1.10 of the tender Document notify the Company of its
intention to submit a Tender by returning the Invitation to Tender Acknowledgment (Section 1.11) by
electronic mail (e‐mail).

2.3 Contents of Tenders

The Tender submitted shall be prepared in accordance with these Conditions of Tendering and include the
following:

2.3.1 Form of Tender signed by an authorized signatory with the signature witnessed.

2.3.2 An address for service of any notices necessary or required to be or which may be served on or
given to the Tenderer in connection with its Tender.

2.3.3 An address for service of any notices necessary or required to be or which may be served on or
given to the Tenderer in connection with its Tender.

2.3.4 The name and address of the Registered Office of the Tenderer.

2.3.5 A Statement of Conformance.

2.3.6 Any other document so mentioned as being required to be submitted with the Tender.

2.4 Resolution of Inconsistencies

If the Tenderer is in any doubt as to the true meaning of any part of the Tender Documents, or considers any
provision, clause, description or other matter contradicts or is inconsistent with any other provision, clause,
description or other matter then the Tenderer shall at once notify the Company in writing, or by electronic
mail (e‐mail), and obtain clarification prior to submitting the Tender. Any amendment of the Tender
Document will be made only by formal addendum to the Tender Documents. The Company shall not be
responsible for any other interpretation.

2.5 Tenderer to Inform Itself

2.5.1 The Tenderer is required to be acquainted with all Conditions relating to the Tender prior to
submitting its Tender. In submitting a Tender, the Tenderer shall be deemed to have:

(a) carefully examined the Tender Documents and any applicable reference information;

(b) made its own interpretations, deductions and conclusions as to the difficulties and cost of
carrying out the Services under the Agreement, and to have formulated an estimate of the
facilities available and needed to fulfil its obligations under the Agreement, and to have
made appropriate allowance in its Tender.

2.5.2 If the Tenderer has any doubt as to the meaning or intention of the documents issued by the
Company for the purposes of tendering or incorporated in any of such documents by reference,
or if the Tenderer requires further information it shall contact the Company. If, when submitting
its Tender, any doubts as to the meaning of any part of the aforementioned documents still
remain, the Tenderer shall include a statement of the interpretation on which it relied and upon
which its Tender has been prepared. Such statement is to be included or referred to in the
Tender document under the heading; Qualifications to Tender.

2.5.3 Any reports and information provided by the Company are made available in good faith but the
Company gives no warranties or representations and accepts no responsibility (legal or
otherwise) as to the correctness, accuracy or completeness of the reports and information
provided.

2.6 Lodgement of Tenders

The Tenderer shall submit two copies of its Tender enclosed in a sealed envelope endorsed as indicated in,
and lodged at the time, date and place stated in, “Section 1 ‐ Information for Tenderers”. The name and
address of the Tenderer should be clearly marked on the envelope. One copy of each document shall be
marked "Original" and in the event of any discrepancy between copies then the copy marked "Original" will
be deemed to be correct and will prevail over other copies.

Tender submissions received after the duly notified closing time shall be deemed invalid and shall be
pronounced void.

2.7 Schedules

The Schedules are to be prepared by the Tenderer in the below order, and be inclusive of all things required
by Section 4 – Scope of Works, Section 5 – Value Adding Services, Section 6 – Account Management, Section
7 – Operations, and any specification or document referred to therein.

The Tenderer will not be entitled for any remuneration except for that provided for in these schedules. Each
rate priced shall be inclusive of all profit and overheads and shall be priced independent of any other rate in
the schedule.

2.8 Confidential Information

Specifications, technical, commercial and any other information supplied to the Tenderers, whether mail
printed or graphic (“Information”), shall not be used for purposes other than the preparation of a Tender
without the written approval of the Company.

On receipt of notification that the Tender has been unsuccessful, the Tenderer shall immediately return the
Tender Documents and other Information and all copies thereof to the Company.

Material submitted by a Tenderer shall be regarded as confidential and shall not be disclosed to a third party
except with the prior written agreement of the Company.

The successful Tenderer may be requested to enter into a confidentiality agreement with the Company on
Award of Contract.

2.9 Addenda to Tender Documents

Addenda to the Tender Documents may be issued prior to the date of lodgement of Tenders for the purpose
of clarifying the documents or to effect modification to the Scope of Services or to Contract terms or to the
Tender closing date.

Each addendum issued will be distributed to each person or organization to whom a set of Tender Documents
has been issued and has notified the Company in accordance with Section 2.2.

The Tenderer shall specify in its Tender all addenda received and unless specifically stated otherwise all such
addenda shall be deemed to form part of the Tender Documents.

2.10 Non‐conforming Tenders

The Tenderer shall submit a conforming Tender, together with a Statement of Conformance. The conforming
Tender may be accompanied by a non‐conforming Tender, but the Tenderer must be specific in its
qualifications, comments and exceptions and must describe each, giving the reason for such, state the
suggested modification if any, and state any effect on the Tender and Tender Price if the qualification,
comment or exception is rejected by the Company.

The Company has no responsibility to discover, identify, or resolve during Tender review any deviations other
than those listed and also reserves the right to reject any or all of the Tenderer's qualifications, comments or
exceptions.

2.11 Acceptance of Tenders

The Company:

(a) shall not be bound to accept the lowest or any Tender, and

(b) reserves the right to accept any particular proposal submitted by any Tenderer even though the
price specified therein may not be as favorable as that contained in some other Tender

2.12 Withdrawal of Tenders

The Tenderer may not withdraw its Tender before the expiration of thirty days from the date of closing
Tenders.

2.13 Verbal Communications

Verbal proposals or verbal modifications to the Tender shall not be considered.

2.14 Award of Tender

2.14.1 The proposed Contract award date is expected no later than 19 March 2021.

2.14.2 A Tender shall not have been accepted by the Company unless a Notice of Award has been
delivered or sent to the Tenderer at the address appearing in the Tender (or such other address
as is subsequently notified by the Tenderer in writing to the Company).

Any Notice of Award shall be in the form of a letter signed by an authorized official of the
Company, and a copy of the letter will be emailed on the date as per 2.13.1 above.

2.14.3 The Notice of Award shall constitute the Contractor’s authorization to proceed with the Works
as from the date of the Notice of Award (unless otherwise stated in the Notice).

2.14.4 Upon dispatch of the Notice of Award to the Tenderer, the Tenderer and the Company shall be
deemed to have entered into a Formal Agreement notwithstanding.

2.15 Use of Company Logo

2.15.1 The Company logo must not be used by external organizations on Tenders or any Proposals

2.16 Tender Warranties

2.16.1 By submitting a Tender, a Tenderer warrants that:

● In lodging its Tender, it did not rely on any express or implied statement, warranty or
representation, whether verbal, written, or otherwise made by or on behalf of the
Company, its officers, employees, agents or advisers other than any statement, warranty or
representation expressly contained in the Invitation documents;
● It did not use the improper assistance of Company employees or ex‐employees, or
information unlawfully obtained from the Company in compiling its Tender;
● It is satisfied as to the correctness and sufficiency of its Tender;
● It has examined this Invitation, and any other documents referenced or referred to herein,
and any other information made available in writing by the Company to Tenderers for the
purposes of submitting a Tender;
● It has sought and examined all necessary information which is obtainable by making
reasonable enquiries relevant to the risks and other circumstances affecting its Tender;
● It has otherwise obtained all information necessary for the preparation of its Tender;
● It is responsible for all costs and expenses related to the preparation and lodgement of its
Tender; any subsequent negotiation; any other action or Tender in relation to this Invitation
or of the evaluation process; and any future process connected with or relating to the
Tendering Process;

● It otherwise accepts and will comply with the rules set out in the Invitation;
● It will provide additional information in a timely manner as requested to clarify matters
identified in your response to this Invitation, variations to the offer contained in its Tender
or may seek supplementary offers in respect of any changes the Company may make to the
originally stated requirements contained in the Scope of Works.

2.17 Successful Tenders

Selection as a successful Tenderer does not give rise to a contract between the successful Tenderer and the
Company. No legal relationship will exist between the parties until a contract is executed.

2.17.1 Pre‐Contractual Negotiations

The Company may, in its absolute discretion, decide not to enter into pre‐contractual
negotiations with a successful Tenderer.

A Tenderer is bound by its Tender and, if selected as a successful Tenderer, must be prepared
to enter into a contract on the basis of the Tender without negotiation.

2.17.2 Negation of Obligation to Enter into Contract

The Company is under no obligation to enter into a contract with a successful Tenderer or any
other person. The Company is under no obligation to appoint a successful Tenderer or
Tenderers.

2.17.3 Discussions with Tenderers and Other Persons, Outside Tendering Process

After the Tendering Process has concluded, the Company may seek from any Tenderer
supplementary offers in respect of any changes the Company may make to the originally stated
requirements contained in the Scope of Works.

The Company reserves the right to enter into any such discussions and negotiations at its
absolute discretion (which includes dealing with any Tenderer as it deems fit) without the need
to correspond with other Tenderers during this post Tendering Process period.

The Company may at any time negotiate with any person who is not a Tenderer and enter into
a Contract in relation to the services that are the subject of this Invitation with that person on
such terms as the Company in its absolute discretion considers appropriate.

2.18 Executing the Services

The Tenderer shall execute the Services set out in the Tender Documents which shall include the documents
listed therein, subject to any amendments thereto mentioned in the Notice of Award.

2.19 Currency

Indonesian domiciled companies will be required to quote in Indonesian Rupiah. The Company will not accept
USD quotations for Indonesian companies unless they can provide an exemption from the Bank of Indonesia.
Only offshore based companies may quote in currencies other than Indonesian Rupiah and must be explained
clearly in the quotation.

4. SCOPE OF WORKS

4.1 General Requirements

The Company is seeking quotations for Drilling Services Packages to support our business in Toka Tindung
Project.

4.2 Service Specifications

4.2.1 The Contractor shall provide drilling services package for blastholes inclusive presplit, horizontal
drilling – pit wall pressurization, reverse circulation – grade control

4.2.2 The Contractor shall supply all labor, expertise, maintenance of equipment and all other
resources necessary to carry out the Works

4.2.3 The execution of the Works shall require the Contractor’s absolute co‐operation with the
Company’s Representative at all times.

4.3 The Contractor’s Scope of Work

The Scope of Work to be performed shall include, but not be limited to the following:

4.3.1 To mobilize all additional resources required to provide the drilling services.

4.3.2 The drilling services package that required for the project over a 5‐years contract term.

4.3.5 Clean up and demobilize all equipment and facilities from Site at the completion of the
Contract.

4.3.6 The transport of employees to and from site (R&R) and at the site.

4.3.7 The supply and maintenance of Contractor’s plant and equipment, including supply of spare
parts.

4.3.8 Production, maintenance and presentation of regular progress reports, including but not
limited to, equipment reliability, manpower operating hours, drilled meter records.

4.3.9 Attendance of the Contractor at the site meetings together with additional site meetings as
requested by the Company’s Representative of Contractor to review progress, planning and
execution of the Works.

4.3.10 Detailed organization and management of the Works for the Drilling Services packages
generally in accordance with the Company’s Representative’s plans and work programs.

4.3.11 The Contractor warrants that any leased equipment will comply with the requirement of all
applicable National, Provincial and Local Authority Acts, Statutes and Regulations of Indonesia.
The Contractor shall remedy any noncompliance with this Clause at no cost to the Company.

4.3.12 The Contractor will be responsible to arrange and pay for delivery of the leased equipment to
site.

4.3.13 Prior to mobilization to the mine site, the Contractor shall test the equipment and shall also
ensure that sufficient tools and consumables are dispatched with the equipment to enable the
equipment to be commissioned at the mine site by the commencement date.

4.3.14 The Contractor shall provide the following facilities and services at no cost to the Company;

4.3.14.1 Provide information to Indonesia Authorities as required; and

4.3.14.2 Provide copies of equipment standard operating procedures to the Company prior
to equipment commissioning.

4.3.15 The Contractor shall maintain sufficient labor, supervision and materials to operate the leased
equipment.

4.3.16 Personnel employed by the Contractor at the mine site to operate the equipment or otherwise
for the purpose of the Agreement shall be skilled and experienced and competent by mean of
Indonesian regulation requirement at their respective trades and callings. The Company may
direct the Contractor to remove and replace any person employed by the Contractor for
misconduct, or where the person is in the Company's view incompetent or negligent in the
performance of his duties.

4.4 Services and Facilities Provided by The Company

4.4.1 Survey

The Company will provide survey requirements for setting out the permanent survey reference
marks for control of the Works. The Contractor shall give the Company timely notice of its
survey requirements. The Contractor shall preserve all permanent survey reference marks,
equipment and Works on the Site and ensure they are properly maintained. The Contractor
will be liable for the cost of repairing, replacing or re‐surveying damaged survey work.

4.4.2 Accommodation

The Company shall provide accommodation and messing in the Site camp for 2 (two) senior
staff only. No accommodation will be provided by the Company for junior staff.

4.4.3 Site

4.4.3.1 Prepared site for the Contractor's workshop facility.

4.4.3.2 Bare workshop concrete floor, with power and water reticulation termination
points adjacent the concrete floor.

4.4.3.7 Perimeter fencing for the Contractor's Facilities.

4.4.3.8 Perimeter lighting for the Contractor's Facilities.

4.4.3.9 Perimeter fire fighting for the Contractor's Facilities.

4.4.4 Electrical Power

The Company will provide electrical power to the Contractor's Facilities at no cost to the
Contractor. Power will be supplied at 380 volts to single termination points in the Facilities as
specified by the Contractor, capable of supplying up to 80Kva to the Contractor's Facilities. The
Contractor shall install and maintain the electrical power supply and reticulation required from
these termination points thereafter.

4.4.5 Water

The Company will supply sub‐potable water to the Contractor's Facilities at the quantities
indicated by the Contractor at no cost to the Contractor. The Company shall install and
maintain the sub‐potable water supply and reticulation required from these termination points
thereafter. Sub‐potable water will be supplied to Contractor's workshop for ablutions. Drinking
water will be supplied and distributed in 19 liter bottles.

4.4.6 Security

The Company will provide Security of offices, workshop and warehouses.

4.4.7 Site Induction

The Company will require attendance of all Contractor's personnel at a Company Induction
Program presentation. Any lost time cost for this attendance is deemed to be included in the
rates.

4.4.8 Telecommunications

The Company will supply one (1) dedicated external line for telecommunications to the
Contractor's Facilities at no installation cost to the Contractor. The Contractor shall be charged
for the cost of calls associated with this line. The Contractor shall install and maintain
telecommunications supply and reticulation required from these termination points
thereafter.

4.4.9 First Aid

The Company shall provide an area in its Facilities for storage of a comprehensive First Aid Kit,
for administering of first aid for minor injuries and to store a stretcher suitable for evacuation
of stretcher cases from hazardous or dangerous situations within the Contractor's Works Area.
All pharmacy issues will be back charged to the Contractor.

4.4.10 Fuel

The Company shall provide the fuel, and to be back charged to the Contractor on monthly basis
based on actual consumption.

The Contractor is required to provide fuel/services trucks to fill up at the Company’s fuel farm
for distributing to the Contractor’s equipment or vehicle.

4.5 Services and Facilities Provided by The Contractor

4.5.1 Services

The Contractor will provide drilling services package that is consisting, blastholes drilling
inclusive presplit holes, horizontal drilling for pit wall de‐pressurization and Reverse Circulation
(RC) Drilling for grade control.

Grade control rigs provided by the Contractor must be able to reach a depth of 50 meters.

The Contractor is required to provide on the grade control RC rigs rotary cyclone cone splitters
similar to the Metzke cyclone splitter (or another brand with similar specifications/capabilities)
and manual sample splitter ‐ 3 Tier Riffl.

The Contractor is required to provide two (2) helpers for sample handling on the rig.

To avoid contamination, cleaning of the cyclone must be carried out per rod (6 m length).

The Contractor is required to provide rig consumables such as grease, oil, APD, spill kit.

Quality control and specifications will be as per the Drill Hole Sample Specifications and Quality
Control table.

The use of water for injection during drilling should not be performed to avoid contamination
of ore during sampling.

If when drilling at a certain meter interval, the sample is not sufficient (NS = No Sample), then
it cannot be claimed in payment.

4.5.2 Blasthole Drilling

The Contractor will drill the blastholes for effective production, trim and pre‐spit/active split
blasting at the existing Toka Tindung pits (Toka, Araren, Kopra and Alaskar) and potential
expansion areas (Marawuwung etc.)

Production and trim shot drill holes are expected to be at a range of 140mm – 200mm drill
diameter at 10m blast benches while pre‐split is expected to be done using 127‐140mm
diameter at 20m depth.

It will be the Contractor’s responsibility to protect the integrity of the drill holes at its expense.

However, though unlikely, The Company will pay for additional costs for extra works required
in the event of extreme conditions such as hot water drilling and drilling requiring ODEX/RC
rigs for sump blasting. This will be agreed by the Company and Contractor on a case by case
basis, noting that sump blasting drilling is currently performed by another drilling contractor
on site.

4.5.3 Horizontal drilling (Pit Wall Depressurization)

Horizontal drilling is required at nominated sites on established pit floors or ramps to provide
depressurisation of pit wall slopes. As this drilling has no routine sampling requirement, these
holes may be achieved with open‐hole percussion methods. Such drilling will require
declinations of 0° ‐ 10° at a specified azimuth, to a typical depth of 60m to 100m, with a
minimum diameter of 127mm.

Horizontal drill collars must be completed to a standard that is acceptable by the Company
geotechnical group. Collars (especially in oxide) must be adequately sealed to prevent water
seeping around the collar. Collars in oxide must have a minimum depth of 6m using PVC
installed prior to the completion of the remaining hole target depth. A+B foam must be used
to seal collars. Flexi‐pipe must be attached to the PVC pipe and be long enough to be dropped
to the floor. The Company is to supply the flexi‐pipe.

4.5.4 Reverse Circulation drilling

The Contractor will provide reverse circulation drilling for grade control purposes. The rig uses
minimum +127 mm RC’s rod and a +140 mm bit diameter with face sampling hammer. Samples
will be subject to the requirements for RC sample collection and quality.

4.6 Site Specific Requirements

4.6.1 Various Ground Condition

Rock conditions at the Company area varies in every pit though bulk of the works is expected
to be conducted in transitional to fresh rock areas at normal drilling conditions.

Extreme conditions maybe encountered in Araren below RL 20 where the ground temperature
may raise up to 55 degrees Celsius. Proper sump management and sump sinking will be done
in advance to minimise ingress of hot water in production areas.

Upper benches of Toka may also present boulders embedded in soft matrix and will require
secondary drilling and blasting from time to time until the end of 2021.

4.6.2 Site Entry

4.6.2.1 The Contractor shall conduct searches the equipment, personnel, and items of
equipment in the possession of the personnel entering and leaving site.

4.6.2.2 The Contractor shall require that all of the said personnel consent to such searches.

4.6.2.3 Any person who refuses to be searched or is found to be in possession of a


prohibited item or substances shall be investigated directly and reported to
Company.

4.6.2.4 All visitors and materials movement shall be controlled. Contractor also responsible
to provide escort for community (Plantation worker) or land owner who are
registered and or permitted passing access road towards plantation area.

4.6.3 Crisis Management and Emergency Response

4.6.3.1 The Contractor shall fully comply with the requirements of the Company’s
Emergency Management Procedure.

4.6.3.2 The Contractor shall, if requested provide sufficient emergency response resources
including personnel to deal with any foreseeable emergencies in an effective
manner.

4.6.3.3 The Contractor shall ensure that all personnel on the Site, including visitors are
properly instructed in the emergency response procedures.

4.6.4 Reporting

4.6.4.1 The Contractor must be submitting a weekly activity report to Company. The report
is consisting of drill meter achieved, equipment reliability, Drill rig performance, and
Occupational Health Safety and Environment including leading indicators (hazard
ID, Take 5, Planned Task Observation) and lag indicators (hazard and incident
reports).

4.7 Performance Security

The Contractor to provide Performance Security, 5% (five per cent) of the Contract Price in the form of an
Unconditional Bank Guarantee or Insurance Bond.

5. Drill Hole Sample Specifications and Quality Control

5.1 Quality assurance

The Contractor must meet the required quality specifications that designed and agreed under these services.
Failure to meet these standards generates obligation to the Contractor to rectify the failure within a set time.
In the event the Contractor fails to rectify one failure case for two consecutive sets of time provided by the
Company, the Company will issue a warning letter of non‐conformance. In the event that there are continued
non‐conformances as a result of not implementing the required improvements within sufficient time the
Company has the right to terminate the Contract without any compensation to the Contractor by issuing 30
calendar days’ termination notice.

The Contractor to provide:

● Drilling services packages (inclusive Blastholes drilling, Horizontal drilling and RC drilling)
● Blastholes and presplit drilling inclusive holes protection and any re‐drill required with ±30 cm
variation tolerance
● Maintaining industry standard drilling rigs reliability
Best Occupational Health Safety and Environment achievement during operations

5.2 Sample Quality – Reverse Circulation (RC) Drilling

Sample quality shall be of paramount importance. The Contractor and the Company are jointly responsible
for carrying out their own quality assurance programs to ensure sample quality is maintained to the required
standards. Ongoing sample quality issues are to be resolved with the Company Technical Services Manager
and the Contractors Project Manager.

The sample quality to be provided by the Contractor to the Company are detailed in the Tables below.
Planned deviations from specifications below must be provided to the Contractor in writing before drilling
commences.

If, through the fault of the Contractor, duplicate samples do not meet Sample Mass specifications listed in
Table 5.2 or as per agreed deviation, then the Company shall be entitled to stop, without penalty, the Services
until such time as agreed remedial actions are implemented. If, through to the fault of the Contractor,
samples do not meet the remaining specifications in Table 5.2 or as per agreed deviation, holes shall be re‐
drilled at the Contractors cost.

RC sample specifications to be met by the Supplier to the Company are detailed in the tables below.

• Excessive dust generation at the hole collar is to be controlled with a heavy rubber
mat (or similar) covering the hole and surrounding collar, with a close‐fitting
perforation permitting the hammer and rods to pass through.
• Excessive dust generation at the cyclone overflow is to be controlled with a
suitable cyclone vortex chamber (expansion chamber). Where cyclone size
requirements are impractical, limited water injection is permitted in line with
moisture requirements.
• Sample recovery may be subject to local ground conditions and will be regularly
reviewed by the Contractor and the Company with active participation in
periodical density and mass balance activities at a period of no less than once per
week. Mass balance activities are defined as the collection of all material returned
through the cyclone underflow.
• Total sample mass (kg) can be calculated as: (πr2h * SG)/1000:
Where r = drill bit radius (cm), h = sample interval (cm), and SG is rock type density

Sample Mass Nominally 12.5% ±2.5% of the recovered sample mass.

• Sample Mass requirements will be stipulated by written agreement in


consideration of material SG.
• Duplicate samples are to conform to primary sample mass requirements with
90% of duplicate sample mass to be within ±10% mass variance against the
primary sample.
• Where ports on cone‐splitter apertures are used, they must be equally spaced;
riffle splitters must have an even number of apertures.
• Sample mass will be regularly reviewed by the Contractor and the Company with
active participation in periodical density and mass balance activities at a period
of no less than once per week.

Sample Interval ±100mm

Depth markers (or gauges) are to be installed and visible at all times. Where depth
markers are present they must be aligned to the prescribed sampling intervals.

Contamination None ‐ Where contamination is defined as foreign particles introduced into the Sample
Mass from outside the sample interval.

• The Contractor shall be compliant to Sample Interval specifications.


• Upon completing each specified sampling interval drilling is stopped; the hammer
withdrawn from the face; air blown through to clear rods, hose and cyclone of
sample material from that interval.
• Gates or valves may be used if the trap mechanism does not introduce
contamination from other sample intervals.
• Return air/sample hoses must be free of obstruction.
• Cyclone and splitter must be cleaned prior to any sampling at a minimum rate of
once per drill rod (on rod change). Wet sampling will dictate cleaning once per
sample interval.
• Where moisture is encountered, the Contractor is encouraged to ensure the
return sample does not stick to sampling equipment between each Sample
Interval by tapping the cyclone and/or splitter equipment.
• Hole collars cleared of debris to prevent dust and rocks falling into the hole.
• The Contractor is to ensure adequate resources to allow the equipment to be
inspected each rod change and contamination to be cleaned.

Representativeness Representative ‐ Sampling so there is no loss, bias or contamination in the sample.

• All rock mass drilled must pass through either sample capture or sample reject
ports under gravity.
• The splitting device must allow each particle to have an equal chance of being
selected into the sample.
• The vortex finder (cyclone overflow) must report to atmosphere conditions and
must not be restricted or reduced.
• The Supplier will ensure that negative or excessively positive air pressure within
the cyclone vortex chamber is regulated or counteracted to permit cyclone‐sizer
principles of operation.
• Cyclone underflow properties must minimise mechanical segregation ‐ gates or
valves may be used if the release mechanism does not introduce bias at the
splitter stage.
• Cyclone and splitting device must be level, and the cyclone underflow aperture
must not restrict gravity flow onto the splitting device.

Moisture Dry

• If high ground water flow conditions dictate that only wet samples are possible,
continuation of drilling will only occur by agreement of Company geologists.
• Moisture introduced by the Contractor to reduce dust and fines in cyclone
overflow and maximise recovery must be kept to a minimum ‐ wet or overly damp
samples will be subject to rejection.

5.3 Samples ‐ Horizontal

The Company requires chip samples for lithological logging. The Company may also request the driller to stop
to take water flow measurements. All intersections of water during horizontal drilling must be recorded by
the driller in the PLODS.

5.4 Sampling General

If there is an issue that reduces the production rate of samples, the Contractor will immediately inform the
supervising geologist, and specify the issue. This includes but is not limited to:

• Stuck rods;
• Broken rods;
• Hole collapse or partial collapse;
• Blocked sampling system; or
• Rig performance issues.

In the event that any drill hole samples are compromised in quality or accuracy due to the Contractors action
or inaction, the Contractor will redrill the relevant holes to the relevant depths, as directed by the Company
at the Contractors expense, at the discretion of the Company. Should a driller or offsider be deemed
incompetent or unsuitable by the Company, the Contractor will remove him from all rig‐related duties
immediately and returned only with the permission of the Company.

5.5 Specific Requirements of Drilling Activities

• All RC Rigs must have automatic rod handlers fitted.


• Stilsons are to be used on all drills that don't have the capability of making and breaking their own
Drill Rods, this will include all drills on site except the RC drills.

• R/C Drills should not have Stilson Break‐out tools mounted on drills.
• Hose socks and whip checks are required on all high pressure hoses.
• The Contractor will take appropriate measures to minimise the production of dust or other airborne
contaminants from its activities.
• All compressor receiver tanks are inspected and certified to schedule.

6. ACCOUNT MANAGEMENT

6.1 Experience and past record in the industry

The Contractor to demonstrate a proven track record of successfully implemented similar projects.

6.2 Expertise of key personnel

6.2.1 Supply technical support as requested by the Company to ensure optimum drill holes quality
and optimum rig performance.

6.2.2 The Contractor must provide sufficient personnel to ensure the safe and effective operation of
their equipment.

6.2.3 The Contractor shall ensure appropriate levels of supervision of the drilling program are
maintained at all times. This will be achieved through correct rostering of competent
personnel. Drilling services must cease immediately should circumstances arise where
competent personnel are not available for any reason.

6.2.4 The Company’s supervising Engineers (Blast Hole) and Supervisors (Geotechnical Drilling) and
Hydrogeological Geologists and Supervisors (Hydro and Depressurisation Drilling) will monitor
progress to ensure the absolute accuracy of the drilling program, including hole set up,
sampling accuracy, preparation, record keeping, sample dispatch, assay results recording and
interpretation / modelling.

6.2.5 The Contractor to submit the proposal of expertise of key personnel. Appointment of
Superintendent, Manager and Project Manager level positions must be reviewed and agreed
together with the Company prior to the hiring of the person.

6.2.6 Required Minimum 5 years’ relevant mine drilling experience for Supervision level.

6.2.7 If the Company has reason to object to any of the Contractors personnel, the Contractor must
at its own cost immediately remove that person from the worksite.

6.2.8 The Company is able to revoke the site access of any of the Contractors personal for breach of
any of Company’s rules or regulations. The Contractor is within its rights to continue to employ
such personnel but will be unable for them to access the Company work site.

7. OPERATIONS

7.1 Delivery performance

The Contractor to fully responsible for the adequacy, and professional services to the Company.

8. MANPOWER

PROPOSED DEVIATION TO THE SCOPE OF WORKS

The Tenderer shall complete this Appendix 2 by submitting details of any proposed deviations to the scope of
services set out in Point 4 – Scope of Works (or as may be stated in, or inferred from, any other part of the Tender
Documents).

Tenderers shall note that the Company does not encourage deviations to the scope of services, except in
circumstances where those deviations are absolutely required/necessary, or will produce greater efficiencies or
"value‐adds" for the Company.

To the extent that no deviations are proposed by the proponent in this Appendix 2, the proponent will be deemed
to have accepted the scope of services without any further amendment.
