Directors of the DAVAO ACCELERATED FAST LENDING CORPORATION held on

majority of the directors were personally present, the following Board
Resolution was unanimously approved:

“WHEREAS, the Toyota Fortuner vehicle which is currently

registered in the name of Leila O. Magdamo, with Plate Number
UIG797, Engine No. 2KDU055621 and Chassis No.
MHFZR69G003044079 is to be retained by Leila O. Magdamo, upon
full cash reimbursement of the downpayment, travel expenses,
amortizations, preventive maintenance costs and comprehensive
insurance costs, advanced by DAFLC from July 9, 2012 up to April
28, 2014;

RESOLVE, AS IT IS HEREBY RESOLVED, that the Board of Directors

hereby approves and ratifies the termination of the lease and/or
assumption of mortgage of the above vehicle, and all other
pertinent provisions pursuant to the Memorandum of Agreement
between the parties dated ___________.”

WE further certify that this Resolution remains effective and subsisting

and has not been amended, revoked or superseded.
