 Terms and Conditions

The relation between Zamindar Paradise Pvt. Ltd. and the Channel Partner shall be based on the following:

 The commitment of the Channel Partner to sell the products & services delivered by Zamindar Paradise Pvt. Ltd.

 Channel Partner prohibited from competing with the Builders and Companies
1) Whilst the contract is in force, the Channel Partner is prohibited from selling or arranging the sale or services by
any other firms, which are identical or similar to the services of Zamindar Paradise Pvt. Ltd.
2) Whilst the contract is in force, the Channel Partner is prohibited from selling or arranging the sale or services by
any associates, which are identical or similar to the services of the Zamindar Paradise Pvt. Ltd.
3) The Channel Partner will also abstain from competing in any other way, directly or indirectly, with Zamindar
Paradise Pvt. Ltd. without obtaining the prior approval of Zamindar Paradise Pvt. Ltd.

 Duration

The contract shall have duration of 1 year and shall be automatically renewed for successive period of 1 year without
any communication in writing, provided both parties deliver the duties as per the clauses mentioned in the agreement.

This MOU can be discharged at any time before the expiry of aforementioned duration as mutually decided between the
parties.

 Discharge

The contract shall be discharged:

1) When one of the parties so decides in the case of a serious breach of contract on the part of the other.

2) If there are significant changes in the legal structure or the financial situation of either of the parties, which could
seriously alter the outcome of the contract.

3) Zamindar Paradise Pvt. Ltd. shall have the right to suspend or discontinue Channel Partnership for any of the following
acts.

a. Insubordination or disobedience.
b. Activity involving moral turpitude
c. Neglect of duty or incompetence
d. Corruption, fraud, dishonesty in connection with company’s business
e. Injuring the company’s reputation in any manner whatsoever

Over Riding Commission (ORC):

1. The Channel Partner shall be entitled for commission on projects undertaken by it, which will vary from project to
project and will be decided between the parties in writing before taking any new project by the Channel Partner for
marketing.
2. The Channel Partner shall not collect any amount in Cash/Cheque from clients or parties on behalf of Zamindar
Paradise Pvt. Ltd. either in its own name or in the name of Zamindar Paradise Pvt. Ltd. The entire amount collected by
the Channel Partner shall be in the form of DD/Cheque/Cash in favor of The Zamindar Paradise Pvt. Ltd. executing the
particular project for which the amount has been received.
3. New Channel Partners are, as per the above criteria, not entitled to any credit i.e., not before the 1st sale and the
commissions shall be paid only for the business done and given to Zamindar Paradise Pvt. Ltd.
