Allow me to introduce my law office, where we prioritize professionalism, effectiveness, and
providing comprehensive solutions to our clients as the core pillars of our service. We take great
care to stay updated with the legal landscape in Ethiopia, utilizing both domestic and
international resources. Through my experience in legal practice since 2013, active participation
in seminars, and engagement in publication activities, I continuously foster connections with
local and international knowledge, positioning myself as experts in legal consultancy.
My policy is to offer advice and representation that enables your company to achieve its goals
while minimizing legal risks. This objective necessitates a legal team capable of delivering
practical solutions based on their experience in specific legal areas. I offer our clients legal
services in areas where I have demonstrated essential knowledge and expertise. My aim is to
provide my clients with the necessary legal support to carry out their activities, relying on my
expertise and guidance.
In my approach to practicing law, i specialize in providing complex solutions. To facilitate this, i
collaborate with prominent tax, business, and accounting advisors, as well as other specialists in
areas that require specific qualifications and knowledge. I’m capable of swiftly assembling a
team of advisors who can act promptly and adjacently to cater to my clients' unique needs.
Furthermore, I hold membership in the Ethiopian Lawyers Association, the Ethiopian Young
Lawyers Association, and other professional associations, cementing my dedication to
professionalism and adherence to ethical standards.
Having considered the points mentioned above, I am writing this letter to formally offer my legal
services to your company. As we discussed during our previous meeting, you have expressed
interest in utilizing my expertise to obtain general legal advice for your company. Therefore, I
would like to suggest the following terms and conditions. If we agree upon them, I will proceed
to prepare a detailed lawyer's retention agreement for further processing.

1. Relationship between Parties: The Agreement does not establish an employer-employee
relationship, and both parties intend for the lawyer to be an independent contractor at all times
2. Term: The Agreement will be in effect starting from the date mentioned and will continue until
terminated as per the terms of this agreement or the law.
3. Compensation: The lawyer will receive a monthly payment of 50,000 ETB, plus ten percent
turnover tax, for the services provided. The lawyer will only be entitled to payment or
reimbursement for authorized travel expenses, food, lodging, per Diem allowance, equipment,
supplies, or similar items. The lawyer will represent the client in court for claims up to 2,000,000
ETB without any additional payment. If the claim amount exceeds this limit, a new
compensation arrangement will be negotiated. The newly negotiated rate of payment will be
less from the standard rate in the industry.
4. Information Disclosure: The lawyer agrees not to disclose any Proprietary and Confidential
Information of the Client, its subsidiaries or affiliates, obtained during the term of the
Agreement, at any time during or after the Agreement. Proprietary and Confidential Information
refers to non-public information solely known to the Client, its subsidiaries, affiliates, and
employees. This includes documents, records, financial or other information related to the
Client's business, such as financial information, client and patient identities, policies and
procedures, fee structures, trade secrets, proprietary knowledge, account information, and
other business-related information.
The lawyer further commits to promptly return or destroy any documents containing
Proprietary and Confidential Information of the Client or others upon termination of the legal
services, regardless of their format, whether they were provided to or developed by the lawyer.
5. Proprietary and Confidential Information of Others: The lawyer acknowledges that the Client
engages in business with clients who provide confidential information, and that the Client has
contractual obligations to maintain the confidentiality of such information. The lawyer agrees to
treat any information received from the Client's clients as confidential, similar to the Client's
Proprietary and Confidential Information.
6. Termination: Either party may terminate this Agreement, with or without cause, by providing
the other party with written notice at least thirty (30) days in advance, unless agreed otherwise
between the parties.
