Hereinafter, the Disclosing Party and the Receiving Party shall be collectively referred to as the
"Parties" or individually as a "Party."

WHEREAS, the Disclosing Party possesses certain confidential information regarding its
business operations, including, but not limited to, financial data, business plans, investment
strategies, and proprietary information (the "Confidential Information").

WHEREAS, the Receiving Party wishes to review and evaluate the Confidential Information for
the purpose of a potential business relationship with the Disclosing Party.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties
agree as follows:

1. Confidential Information: The Disclosing Party agrees to provide the Receiving Party with
access to certain Confidential Information during the term of this Agreement.

2. Non-Disclosure: The Receiving Party shall not disclose, directly or indirectly, any of the
Confidential Information to any third party without the prior written consent of the Disclosing
Party. The Receiving Party shall take all reasonable precautions to protect the confidentiality of
the Confidential Information.

3. Use of Information: The Receiving Party shall use the Confidential Information solely for the
purpose of evaluating and discussing a potential business relationship between the Parties.
4. Duration: This Agreement shall remain in effect for a period of [X] years from the Effective
Date, and the Receiving Party's obligations under this Agreement shall survive any termination
of discussions or negotiations between the Parties.

5. Return of Information: At the request of the Disclosing Party, or upon the termination of this
Agreement, the Receiving Party shall promptly return or destroy all Confidential Information and
any copies, summaries, or extracts thereof.

6. Exceptions: The obligations of non-disclosure and non-use set forth in this Agreement shall
not apply to any information that the Receiving Party can demonstrate was (a) already known to
the Receiving Party prior to the disclosure, (b) independently developed by the Receiving Party,
(c) publicly known at the time of disclosure, or (d) rightfully received from a third party without
any obligation of confidentiality.

7. Remedies: The Parties acknowledge that the unauthorized disclosure of Confidential

Information may cause irreparable harm to the Disclosing Party. In addition to any other
remedies available at law or in equity, the Disclosing Party shall be entitled to seek injunctive
relief to prevent the unauthorized disclosure of Confidential Information.

8. Governing Law: This Agreement shall be governed by and construed in accordance with the
laws of the jurisdiction of the Disclosing Party.

9. Entire Agreement: This Agreement constitutes the entire agreement between the Parties and
supersedes all prior and contemporaneous agreements, representations, and understandings of
the Parties.

10. Amendment: This Agreement may only be amended in writing and signed by both Parties.

11. Severability: If any provision of this Agreement is held to be invalid or unenforceable, such
provision shall be stricken, and the remaining provisions shall remain in full force and effect.
