Subject: Maintenance handover from Turqouise Constructors Pvt Ltd to Plumeria Garden Apartment
Owners Association (PGAOA).

Dear Sirs,

Further to offer made by Turqouise Constructors Pvt Ltd for handing over maintenance services of
Plumeria Garden Estate, which as per the triparty agreement (signed between UP Township Pvt Ltd -first
party, Turqouise Constructors Pvt Ltd - second party and Individual Apartment Owner -third party) been
handled by them till date, to Plumeria Garden Apartment Owners Association (PGAOA) with mutual
agreement and fulfillment of below terms and conditions.
1. With effect from 01st July 2021 onwards Turqouise Constructors Pvt Ltd will not raise any maintenance
and electricity bills directly to apartment and shop owners of Plumeria Garden Estate and collect payments
for the same.
2. Before 01st July 2021, Turqouise Constructors Pvt Ltd is solely responsible for raising all the
maintenance and electricity bills and any other legitimate dues directly to apartment and shop owners of
Plumeria Garden Estate and collecting the due payments from them directly. Through this handover
PGAOA does not take any liability or Receivable that was the sole responsibility of Turqouise Constructors
Pvt Ltd as their duties.
3. Turqouise Constructors Pvt Ltd will generate the electricity consumption bill and share the last meter
reading units for each apartment with PGAOA for their records. Turqouise Constructors Pvt Ltd will also
ensure that NPCL note down the meter reading units of the main meter and generate the bill up to 30th
June 2021 for smooth transition of maintenance handover.
4. Turqouise Constructors Pvt Ltd will be liable to pay off the electricity bill raised by NPCL for units
consumed up to 30th June 2021.
5. Up to 30th June 2021, all the water charges collected from residents by Turqouise Constructors Pvt Ltd
should be further deposited with the authority. Since the water bill matter is subject to
clarification/dispute and in future, if this is resolved in favour of residents, then Turqouise Constructors Pvt
Ltd will be responsible for taking the refund from authority and settling the amount with beneficiary
residents directly. PGAOA will limit itself to facilitate the settlement.
6. PGAOA will not be involved, directly or indirectly, in collecting the dues from apartment owners against
bills raised for maintenance and electricity by Turqouise Constructors Pvt Ltd up to 01st July 2021 until
and unless explicitly discussed and agreed upon by both parties.
7. Turqouise Constructors Pvt Ltd will settle all statutory, compliance and tax liabilities due and payable to
respective authorities up to 30th June 2021 and provide No Dues Certificate to PGAOA.
8. Turqouise Constructors Pvt Ltd will provide user manual documents, asset inventory details and last
servicing/AMC done for upkeeping of all maintenance equipment including Lifts, STP, firefighting, electrical
sub-stations, DG Sets, pumps/motors, air conditioners etc. They will also provide the insurance documents

of complex/building structure and common equipment used in Plumeria Garden Estate.
9. Turqouise Constructors Pvt Ltd will also provide PGAOA certified and approved diagrams/drawings of
society structure, electrical panel, water supply, drainage line, sewer line, electricity load and distribution
of Grid & DG power.
10. PGAOA will get the rightful ownership rights of all the physical office assets like computers, printers,
laptops, software etc. along with maintenance equipment been used for maintenance services in Plumeria
Garden Estate which includes DG Sets, electrical, water, firefighting, sewage, housekeeping, horticulture
and all moveable and immovable equipment owned currently either by Turqouise Constructors Pvt Ltd or U
P Township Pvt Ltd.
11. Handing over maintenance activity from Turqouise Constructors Pvt Ltd does not absolve them
(Turqouise Constructors Pvt Ltd) from satisfying their duty towards any Authority/ Statutory/ contractual
Payment. All damages / inquiries/ notices pertaining to the period Turqouise Constructors Pvt Ltd was
responsible for, will be handled solely by them and in no way PGAOA should be made party to their
decisions and actions.
12. Turqouise Constructors Pvt Ltd and UP Township Pvt Ltd are jointly responsible for providing a
complete database of all flat and shop owners. This includes their contact numbers (Mobile and Landline),
email addresses and registered addresses in your records which is in addition to the address of the flat
located in Plumeria Garden Estate.
13. With effect from 01 July 2021, No Objection Certificate will be required from PGAOA towards buying
and selling of apartments and shops situated in Plumeria Garden Estate.

In case you do not agree to any of the above-mentioned terms and conditions then kindly inform us in
next 7 working days else these are deemed to be agreed upon.

We hope you and your family along with other residents are safe during these unprecedented and uncertain
times. This intimation is in response to your letter dated 09.06.2021 with regard to handing over of
maintenance from Turqouise Constructors. Pvt. Ltd. to Plumeria Garden Apartment Owner Association.
Turqouise is purely a maintenance agency and has been engaged in the business of maintaining the society
for a smooth and undisrupted living. Para wise response to the contentions of your letter is produced
hereunder for your reference:

Para 1 – The contents of para 1 are accepted as after handover of maintenance, the responsibility of
Turqouise Constructors will cease to exist. The company will transfer the residents outstanding to AOA.

Para 2 – The contents of para 2 are denied as after the maintenance is handed over, it will solely be the
AOA’s responsibility to upkeep and maintain the society and all liabilities or receivables of Turqouise
Constructors will end thereon and taken by AOA.

Para 3 – It is reiterated here that once the maintenance has been handed over, Turqouise will not be
responsible for the same for any purpose whatsoever. It is important to note here that all the maintenance
related work and obligations will be handed over to the Apartment Owner Association by 30.06.2021.

Para 4 – It is significant to mention here that Turqouise Constructors will clear the outstanding dues till
30.06.2021 subject to collection of charges from residents with the aid of AOA. The company will transfer
all the liability and assets in their books to AOA after 30.06.2021.

Para 5 – The amount deposited with the authority against water charges is Rs 41,64,000/- till date. Turqouise
will not be responsible for any purpose whatsoever relating to the same any further. It is important to note
here that all the maintenance related work and obligations will be handed over to the Apartment Owner
Association by 30.06.2021.

Para 6 – It is pertinent to mention here that as per the law, once AOA is formed, it is the AOA which shall
directly/indirectly be responsible for collecting dues from the Apartment Owners.

Para 7 – Turqouise Constructors Pvt Ltd is a company incorporated under The Companies Act and has
adhered to all requisite statutory compliances. However, the company is in no way liable to provide a No
Dues Certificate with respect to the grievances as raised by the AOA.

Para 8 – The user manuals/details of all assets like DG Set, Lifts, STP, firefighting, motor pumps at site are
with the site staff. The site staff already working according to AOA for the last 4 months.

Para 9 – The contents of para 9 are accepted. Turqouise will provide the available copies of drawings of the
society to the Apartment Owners Association.

Para 10 – The contents of Para 10 are accepted and the AOA will take over the maintenance equipment
including DG sets, electrical, water, firefighting, sewage, housekeeping, horticulture and all moveable and
immoveable equipment and the upkeep of such equipment shall further be the responsibility of the AOA.

Para 11 – It is reiterated here that Turqouise Constructors shall not be liable for any maintenance or other
matters connected therewith after the handover of maintenance functions to the Apartment Owner

Association. It shall thereon be the sole responsibility of the AOA and all matters connected thereto shall be
dealt with by the AOA in its own capacity.

Para 12 – The Turqouise Constructors have already provided the complete data of customers to AOA as per
company records.

Para 13 – Any sales with regard to the apartments and shops will solely be in compliance with the Uttar
Pradesh Apartment Act, 2011.

Kindly write to us for further clarification over the above stated.
