CONSULTING SERVICES

Through this particular instrument, the parties:

legally agree in celebrating this present CONTRACT for Consulting Services which
terms and conditions follow as:

1. OBJECT

The scope of this contract is the rendering of Consulting Services by the

______________ to CONTRACTOR, comprising product registration support.

2. SERVICE PRICE

For those consulting services, the CONTRACTOR will pay:

2.1 Consulting Services

The total amount is EUR 77.767,11 (seventy-seven thousand and seven hundred and

4. TERM AND TERMINATION

4.1. The term of the present contract shall commence retroactively to __/__/_____ and
corresponds to __ years counted from such date.

4.2. This contract can be terminated at any time, without cause, by any of the Parties,
upon previous notification within 30 (thirty) days counted from notification date.
4.3. This contract can be immediately terminated for cause, in case of breach, by any of
the Parties, of the obligations set forth herein, not cured within 15 (fifteen) days counted
from receipt of notification in this sense.

5. TREATMENT OF CONFIDENTIAL INFORMATION

5.1 Ownership of Confidential Information. All Confidential Information is proprietary

to the disclosing Party and will remain the sole property of the disclosing party.

5.2 Mutual Confidentiality Obligations. Both Parties will (i) use Confidential
Information only for the purposes described herein; (ii) hold in confidence and protect
Confidential Information from dissemination to, and use by, any third party; (iii) restrict
access to Confidential Information to such personnel, agents, and consultants who need
to have access and who have been advised of and have agreed in writing to treat such
information in accordance with the terms of this Agreement; and (iii) return or destroy
all Confidential Information of the other party, in its possession or control on
termination or expiration of this Agreement. Neither party will (i) create any derivative
work from Confidential Information disclosed by one to the other nor (ii) reproduce
Confidential Information.

This Agreement may be executed in any number of counterparts, signed by the Parties´
representatives and 02 witnessess hereof.
