AGREEMENT TO SELL

THIS AGREEMENT TO SELL is made at Delhi on this 9 th day of 2023: BETWEEN: SHRI
KANWAL DEV BANOTA S/O SHRI BRAHMA NAND BANOTA RESIDENT OF
FLAT NO.103, OLYMPIA TOWER-2, ELDECO UTOPIA, NOIDA, GREATER
NOIDA, SECTOR-93-A, UID-931675971070) PAN-AAIPB8246P, hereinafter called the
FIRST PARTY.

SHRI VIPIN PAL SINGH S/O SHRI MAHIPAL SINGH RESIDENT OF B-10, GALI
NO.7, SHASHI GARDEN, MAYUR VIHAR PHASE-I, DELHI-110091, UID-
631282628095, PAN-BFHPS2238R, hereinafter called the SECOND PARTY.
The expressions of both parties shall mean and include their heirs, successors, administrators,
representative’s executors, assigns, etc. respectively.
And whereas the First Party is the absolute owner and possession of ONE BUILT-UP
DUPLEX FLAT BEARING NO.149-B, ON SECOND FLOOR & THIRD FLOOR
COMPRISING OF THREE BEDROOM SET, HAVING ITS PLINTH/COVERED
AREA MEASURING 97.55 SQ. MTRS., SITUATED IN THE LAYOUT PLAN OF UNA
ENCLAVE, PLOT NO.11, MAYUR VIHAR PHASE-I, DELHI-110091,
And whereas the first party has agreed to sell the above said property for a sum of
Rs.1,07,00,000/- (Rs. ONE CRORE SEVEN LACS ONLY) unto the second party and the
second party has agreed to purchase the same out of which a sum of a Total of Rs. 2,00,000/-
(Rs. TWO LACS ONLY) is now received by the first party from the second party as earnest
money before the marginal witnesses, and the balance of Rs.1,05,00,000/- (Rs. ONE CRORE
FIVE LACS ONLY) shall be paid by the second party to the first party within the fixed
period up till 09.11.2023 at the time of delivering the vacant possession execution of other
documents such as sale deed, agreement to sell, etc., whatsoever in favor of second party or
his/her/their nominee(s) in full final settlement The other terms and conditions of this
agreement deed settled are as under: -
OUT OF THE BALANCE AMOUNT OF RS. ONE CRORE FIVE LAKH, THE
BUYER SHALL PAY TO THE SELLER ANOTHER EIGHT L FIFTY THOUSAND
ON OR BEFORE 31.08.2023.
THE SECOND PARTY SHALL BE RESPONSIBLE FOR DEDUCTING AND
DEPOSITING (1%) TAX AT THE SOURCE ON THE AGREED SALE
CONSIDERATION, THE BUYER SHALL PROVIDE THE TDS CERTIFICATE TO
THE SELLER BEFORE THE REGISTRY OF THE PROPERTY BY THE SELLER IN
FAVOUR OF THE BUYER.

NOW THIS AGREEMENT TO SELL WITNESSETH AS UNDER: -


1. If the first party shall fail to comply with the terms and conditions of this agreement deed
then the first party shall be liable to repay the double amount of the above said received
earnest money to the second party, or the second party shall have also full right to take the
possession of the above said property and execution of sale concerning documents through
Court of Law. BY MAKING BALANCE PAYMENT TO THE FIRST PARTY AS PER THIS
AGREEMENT TO SELL.
2. If the Second party shall fail to pay the above-said balance consideration amount within the
above-said fixed period, then the paid-up earnest money shall be forfeited by the first party
and the above-said Sale transaction shall be treated as canceled.
3. That all the prior liabilities, bills, house tax, etc. whatsoever up till the delivering vacant
possession shall be paid and borne by the first party and afterward the same shall be paid and
borne by the second party.
4. That the first party hereby assures the second party that said property under sale is free
from all sorts of encumbrances, such as sale, transfer, mortgage, gift, loan, lien, writ, charges,
etc. whatsoever and there is no kind of legal defect in the title of the above said property.
5. That this Sale transaction is made by M/s. ARADHYA PROPERTIES THROUGH its
proprietor SH. DEEPAK KUMAR SINGH and both parties shall pay commission at the rate
of @ 1% of the said entire consideration, as commission to the said property dealer (SH.
DEEPAK KUMAR SINGH). And the defaulter party will pay a 1% commission to the above-
said dealer (SH. DEEPAK KUMAR SINGH).

IN WITNESSES whereof the parties have signed this deed on the date, month, and year first
above written.
