It is with great pleasure that I offer you the position of Project/Promotion Supervisor at MARKCELENZ
MARKETING AGENCY. Consequently, this offer demands that the company would ask for your commitment to
deliver outstanding service by ensuring all company set-goals are met. In return, the Management of
MARKCELEZ is committed to providing you with opportunities and resources considered necessary to
effectively perform in your new role.

You will be expected to learn and carry out the duties and responsibilities described in the enclosed job
description which is periodically updated to reflect any updated technical service needs.

We are offering you a monthly salary of N100,000 monthly which will be subject to deductions for taxes and
other with-holdings as required by law or the policies of the company. The following points outline additional
terms associated with this offer:

Employee Benefit: 0.25% of company in restricted stock
Vesting Period:Graduallyover4 years Cliff: 1 year
This offer will be reflected in the group stock options when it is established.
Reporting relationship: Report directly to Marketing Manager

You shall be entitled to the current standard company benefits package which includes pension coverage per
company policy. Your eligibility for other benefits, including out-of-station allowance and bonus potential will
be determined per company policy.

If you choose to accept this job offer, please countersign the second copy of this letter and return it to us at your
earliest convenience. Similarly, please sign the attached Non- Disclosure Agreement.

Other Terms and Conditions

1. Annual Leave: you shall be entitled to 20 working days paid leave for every 12 calendar months of
employment. An annual leave may not be carried forward from one year to another.

2. Hours of Work: office hours of work are from 9am to 5pm, Mondays to Fridays. However, you may be
required to work extra hours as and when required or dictated by the nature
and requirements of the department or business especially as you will be heading a unit.

3. Review Process: This appointment is subject to (3) months' probation period commencing from the
date of your resumption. After the said period, our performance evaluation shall be conducted by the
Management of the Company, if satisfactory, your appointment will be confirmed in writing and your
request for salary increase will be implemented.

4. Intellectual Property: All designs, ideas, suggestions, plans developed by you whilst in the employ of
MARKCELENZ MARKETING AGENCY or in connection with any MARKCELENZ MARKETING AGENCY
project which conflicts with MARKCELENZ MARKETING AGENCY interests, shall be and remain the
intellectual property of MARKCELENZ MARKETING AGENCY. In the event that your employment is
terminated by either party you shall return all such works as mentioned above in your possession
whether in soft or physical copies and shall have no right to keep any soft or hard copies thereof.

5. Confidentiality: All projects you work on shall be treated as strictly confidential. Any breach of
confidentiality shall be grounds for termination and any sums of money outstanding to you at the time a
breach of confidentiality is established, shall be forfeited.

6. Full Time Services: Whilst under a contract of employment with MARKCELENZ MARKETING AGENCY,
you shall provide full time services to the Company and shall not engage in any other paid activities
that hampers your productivity within the company without the prior written consent of the Company.

7. Determination of employment: Either party may give the other one (2) weeks’ notice to terminate
the employment or one month salary in lieu of notice.

8. Misconduct: The Company shall be entitled to exercise its power of summary dismissal if at any time you
refuse to comply with orders/instructions, disclose confidential information, be convicted of a criminal
offense, conduct yourself in such a manner as to bring the Company’s name into disrepute or engage in
other misconduct that may damage the image of the Company. Upon dismissal you shall not be entitled to
any emoluments.
9. Outstanding loans: Any outstanding loans or financial obligations to the Company shall immediately
become due and payable upon the termination, dismissal or resignation of employment of any staff availed
of any loan by the Company. Such loans shall also attract commercial interest rates until full liquidation of
such loans.

By signing a copy of this letter you agree to be bound by the terms of the Company Manual (as amended
from time to time).
