1. The Property is subject to a prior right of first refusal (“Right of First Refusal”). 5

2. Seller may receive an offer which may result in the holder of the Right of First Refusal exercising its right. 6

3. In the event the Right of First Refusal is exercised by the holder thereof during the term of the Agreement or any 7
applicable extended term or “tail” period, Seller shall pay the compensation set forth in the Agreement as though 8
the offer triggering the Right of First Refusal was accepted and closed in accordance with its terms. A real estate 9
firm representing a buyer whose offer triggered the Right of First Refusal shall be considered the Buyer 10
Brokerage Firm under the compensation section of the Agreement. 11
