UPL SAS Business Policy for Essentials Category products 2024-25

Dear UPL Family Members,

The purpose of this communication is to apprise you on the specific business policy of Essential category
products for the FY 2024-25 which will be applicable from April 1, 2024.

1. CREDIT & PAYMENT TERMS

• Credit period is 60 days from the date of invoice for Essentials category products (List of products
enclosed in Annexure 1).
• In case of outstanding above 60 days for Essential category products, (61 days onward) orders will not
be executed for any category of products till the time overdue payments are made by the distributor
and billing will be blocked at UPL level.
• Payments will be adjusted against first due invoice and no preferential treatment will be given to any
invoice / category.
• Separate VAN account will be created for Essentials and will be communicated by sales team associated
with your region.
• Customers will have to make payment in the Essentials VAN for billing done for Essential category of
products.
• Customers will have to clear the opening outstanding as at April 1, 2024 first by making payments in
the existing VAN and then start making separate payments for Essential products.
• Until the opening outstanding is cleared, concept of FIFO will apply, and first invoice will be adjusted
against the payment irrespective of VAN account.
• Overdue will be adjusted off first irrespective of the account in which collection is made by the
customer.
• All payment should be made on the Virtual Account Number (VAN) only.
• Inter business transfer of balances due to collection or credit notes will not be allowed.
• Company at its discretion reserves the right to change credit period for certain products from time to
time.

2. PRICING & CASH INCENTIVE

• Competitive pricing will be offered for the Essential category of products and all discounts will be on-
invoice except slab level incentives and cash discount.
• There will be no retrospective pricing decisions in case of Essential products.
• Prices & Schemes will be communicated by UPL Sales Excellence team from time to time. Verbal
commitment given by any employee of UPL is not valid and the Company will not entertain such claims.
• A standard cash discount policy will be applicable throughout the year and ACC will be not applicable
as net price will be offered in the market for these products.
• Cash incentive will be an earning opportunity for customers making payments within the due date of
invoice.

• A standard cash discount policy will be applicable throughout the year and ACC will be not applicable
as net price will be offered in the market for these products.
• Cash discount will not be applicable if the customer is in overdue in either Essential or Non-Essential
business at the time of payment in either of the businesses.
• Cash discount would be offered to all Channel Partners for the amount realized in our bank account as
per the above policy or defined schemes announced from time to time.
• No other benefits like TOD/ year end benefit would apply unless explicitly stated by means of a circular
communicated via sales excellence.
• Cash discount will be settled on quarterly basis.

3. INTEREST ON OUTSTANDINGS

From 15 days to 30 days from due date 1.5% per month
Beyond 30 days from due date 2% per month
* Interest charged will not be reversed in any circumstances.

4. Sales return policy

• Refer annexure 2 for details on sales return policy.
• Sales return will be adjusted against the original invoice billed and will be adjusted accordingly in the
open outstanding.
• Sales return will be allowed only to the extent of 5% of the gross sales. Financial implications will be
applicable in case the above limit of sales return is exceeded. Financial implications will be separately
circulated and communicated.
• Company at its discretion reserves the right to enlist products under no sales return policy.

5. ISSUANCE OF CREDIT NOTES

• SLD or any other discount if announced will be settled after 3 months from closure of scheme period.

• Channel partners have to pay the actual value of the bill in full within timelines so as to be eligible for
schemes announced.

This Business Policy will be subject to periodic review by UPL and Company has the right to change the terms
and conditions in the above policy from time to time and the Channel partner shall be bound by these changes.

Other points not covered here will be applicable as per standard business policy of UPL SAS.
