Complete battery, designed for 1500 work cycles. Battery tray is covered with polyethylene by fluidization method; high
corrosion resistance; tested for short circuit with high voltage (7kV).
Additional ballast is not included in the price. If additional ballast is required please sent an info about minimum battery weight.

 GENERAL CONDITIONS OF SALE APPLICABLE TO CUSTOMERS ESTABLISHED IN AND OUT OF
POLAND
(hereinafter called: “General Conditions”)

§1.
The following conditions of sale shall apply to all contracts of sale concluded with Bater Sp. z o. o. with its registered office
in Warsaw, Dźwigowa 63, entered into the register of entrepreneurs under the number 0000084581 (hereinafter called: “The
Seller”).
Provisions of these General Conditions does not apply if the Buyer is a natural person who buys goods for purposes unrelated
to his business or profession.
Alterations or amendments of these terms and conditions must be accepted by the Seller in writing otherwise they should be
null and void. In the case of incompatibility or difference between these conditions and the specific conditions appearing on
any other Seller’s document addressed to the Buyer (i.e. sales contracts) the latter shall expressly prevail.
§2.
PLACING AND CONFIRMATION OF ORDERS
No order shall be binding unless confirmed by the Seller in writing by an e-mail (“Confirmation of Order”); faxes and
e-mails being accepted by mutual agreement as a proof of the commercial transaction.
Orders can be placed via e-mail sent to the address of the Seller and they will be recorded in the computerized system.
Lack of the acceptance and confirmation of the order by the Seller does not constitute implied consent of the Seller for the
conclusion of the contract and does not constitute a breach of the provisions of any other agreements concluded between the
Seller and the Buyer.
Any other information than those contained in the offer directed to the Buyer or in the Confirmation of Order concerning
particularly prices, availability of the products and the dates of realization of order are for information only and do not
constitute an offer within the meaning of the Civil Code.
Orders must be placed by the authorized persons (as indicated in the relevant register or have a relevant power of attorney).
Buyer placing an order agrees to accept General Conditions.
In the case of the abroad customers or for any orders of the special kind of products the Seller prior to processing the order
may require a payment of the determined sum of money in the amount of the percentage value of the order which shall be paid
by the Buyer prior to processing the order. This amount will constitute an earnest money within the meaning of the Civil
Code.
In the case of occurring of the obstacle difficult to remove in the realization of the order after the Confirmation of Order
caused by the force majeure Seller may without liability cancel or suspend its obligations in part or whole. Force majeure is
understood as an event which action could not been anticipated despite of exercising due diligence.
§3.
DELIVERY AND TRANSPORT
Seller delivers specified products by himself, by carriers or Buyer takes the products directly from the Seller, depending on
individual arrangements made between the parties.
In the case of the international transactions the delivery method, including the moment of the transfer of risk from the Seller to
the Buyer will be specified in the Confirmation of Order, in e-mails or in a contract between the parties on the basis of the
rules Incoterms 2010.
In the case of the home transactions all risks relating to the goods sold, including those as a result of force majeure, are
transferred to the Buyer in the moment of delivering of the goods to the carrier or handing them over to the Buyer.
The Buyer have the obligation to verify upon reception the quality, quantity, condition, weight of the goods and their
conformity to the shipping documents, to make all reservations and to transmit any claims to the carrier, and take appropriate
action against the latter within the legal period if necessary. The Buyer shall also communicate any such claims to the Seller
for information.
The period for delivery shall commence on the date on which the Confirmation of Order is given. The delivery date is
indicated in the Confirmation of Order.
The Seller shall have no liability in respect of any failure to deliver by such date, unless through deliberate
negligence on the part of the Seller.
Buyer bears the transportation costs, including the costs resulting from specific wishes concerning the type of the transport
(e.g. express delivery, air, etc.).
§ 4.
PRICE AND PAYMENT
Price for the ordered goods and payment dates are specified in the Confirmation or Order or in the contract between the Seller
and the Buyer.
Price does not include additional costs associated with the sale or delivery of the goods. These costs, in particular the costs of
transport, shall be borne by the Buyer.
Payments shall be made by the bank transfer to the bank account indicated by the Seller. The payment date shall be the date
when the bank account of the Seller will credited with the appropriate sum of money.
No discount will be applicable for the anticipated payment unless with the prior written acceptation of the Seller.
The Buyer is not entitled to set-off claims, unless those claims have been finally adjudicated.
Both the Seller and the Buyer may individually by contract or by e-mail correspondence, specify terms of payment and
delivery of goods other than those arising from these General Conditions.
§ 5.
FAILURE TO PAY
In the case of the payment prior to the delivery of the goods the Seller is entitled in the event of the late payment to refrain
from performing the contract until the payment of the due amounts by the Buyer. In such case the failure to perform the
contract by the Seller until the payment of the due amounts by the Buyer does not create the liability of the Seller, and the
terms for the performance of the contract on the part of the Seller will be suspended for the time period in which the Buyer
will pay the due amounts to the Seller.
In the case of the sale with respite for payment the Seller retains the title and the ownership of the goods sold and delivered to
the Buyer until the payment of the due amounts including the incidental dues.
In the case when the Buyer is behind with the payments under the other contracts between the Seller and the Buyer until the
back payments will be made the Seller may suspend the performance of all or the part of the contract without falling in this
respect in the delay or default.
In case of the delay or non-payment, the Seller may claim - among other rights provided by law and these General Conditions
- the statutory interest for the delay.
§ 6.
FAILURE TO TAKE DELIVERY
If the Buyer fails to take delivery of the goods delivered in conformity with the order, the Buyer shall be liable
for any corresponding costs incurred by the Seller, in particular costs of storage and warehousing .
§ 7.
IMPLIED WARRANTY FOR DEFECTS, QUALITY WARRANTY

The Seller warrants the sold goods in the form of the warranty card which lays down the detailed terms of the quality
warranty. Warranty is not granted in the case of the sale of the individual elements.
The liability of the Seller under implied warranty for the physical and legal defects is excluded.
§ 8.
FINAL PROVISIONS
Orders placed with the Seller shall be governed by and interpreted in accordance with the laws of Poland (in particular Polish
Civil Code); the United Nations Convention on Contracts for the International Sale of Goods, of April 11, 1980 shall not
apply.
Seller has the right to change these General Conditions at any time, while to the contracts already entered the existing
provisions of the OWS will be used.
All disputes arising in connection with the sale and/or interpretation of these conditions of sale shall be exclusively
submitted to the Polish court competent for the registered office of the Seller.
