DECLARATION OF TRUST AND UNDERTAKING

KNOW ALL MEN BY THESE PRESENTS:

___________________, being the registered owner assets as described in detail in the
attachment designated as Schedule I (the “Assets”), do hereby acknowledge, declare and
undertake:

1. In connection with the shares of stock and cash deposits, they are registered in my
name as TRUSTEE of ___________ (the “Trustor”)

2. I acknowledge that I am holding the Assets as nominee of the Trustor.

3. I undertake to vote in the board meetings and in the stockholders meetings in

support of the legal and valid vote or decision of the Trustor.

4. I undertake to duly account for, and pay to the Trustor, all dividends and other
moneys or rights received, paid or accruing, by reason of my holding the Assets;

5. I undertake to assign, transfer and convey the Assets, as I do hereby assign,

transfer and convey the Assets, in favor of the Trustor, immediately upon demand
by the latter.
