Supply Agreement

Parties

This Supply Agreement (the "Agreement"), dated [AGREEMENT DATE], is made by and
between [SUPPLIER NAME] of [SUPPLIER COMPANY NAME] (the "Supplier") and [CLIENT
NAME] of [CLIENT COMPANY NAME] (the "Client").

The Parties agree to the following terms in addition to the mutual promises and covenants in this
Agreement:

Supply and Purchase

The Supplier will provide the Client with the following "Products" in a timely, efficient, and
professional manner:

(Describe the exact products to be supplied along with any delivery schedule that applies i.e. 100
tins of mushroom soup at $1 each delivered on the first Friday of each month, etc.)

Terms and Conditions

Term & Termination

This Agreement shall commence on the date listed at the beginning of this document and shall
remain in effect for [ENTER TIME PERIOD] unless this Agreement is terminated sooner in
accordance with this provision or any other provision within this Agreement.

Each party has the right to end this agreement for good cause, which includes but is not limited to
any severe breaches of this agreement, bankruptcy or insolvency, crime related to business
operation, material misrepresentation in connection to this agreement, behaviour that negatively
impacts the other party's reputation, or failure to make payments. Termination notice must be
given in writing.

Orders

Every transaction between the Supplier and the Purchaser shall be evidenced by an invoice. A
purchase order shall be made by the Purchaser to the Supplier in writing, containing the specific
product orders and desired quantity. The purchase order will be deemed accepted if the Supplier
fails to reject the order within 5 days after its receipt.

Payment

Both Parties agree that each delivery and purchase order will be paid for through electronic bank
transfer. Furthermore, it is agreed that every purchase order should be paid for in full at least one
week before its scheduled delivery.

Delivery

The Supplier agrees to notify the Client of any impending deliveries for each purchase order.
Furthermore, the Supplier agrees and recognises the Client's right to inspect the Products for
defects upon arrival, as well as the Client's right to refusal for any substandard Products. The
Products will be delivered to the Client's address at [DELIVERY ADDRESS].

Pricing & Quantity

The Parties agree that the Purchase Price of the Products will not be less favourable than the prices
extended to any other customers of the Supplier. The Parties furthermore agree that there will be
no minimum purchase requirements when purchasing the Products.

Ownership and Risk

Ownership of the goods sold will only transfer to the Purchaser once the Supplier has delivered
them. The Supplier will be responsible for any damage that occurs to the goods during delivery.

Warranty

The Supplier assures that it has the authority to pass ownership of the Products to the Purchaser.
The Supplier assures that the products sold and delivered to the Purchaser will meet the required
standard technical and quality specifications and will be free of defects.

If the Purchaser is not responsible for any damage or defect that may occur to the Products, the
Supplier will replace the products within 7 days from the date that the Purchaser notifies the
Supplier of such damage or defect. If the damage or defect is repairable, the Supplier will repair
the Products at their expense. Finally, the Purchaser could be reimbursed for the cost of the
Products found to be defective or damaged, but this will be at the Supplier's discretion.

Governing Law

This entire Agreement is governed by the [COUNTRY OR STATE] law and shall bind the Parties
throughout its Term.
