1. GENERAL
Bidder is requested to submit to the Contractor a proposal based on the Inquiry Documents for
the Subcontract Works and Services as detailed in the Scope of Works and Supplies attached
hereto.
The Bidder’s proposal must strictly comply with all Inquiry Documents in all respects. Any
deviations and/or clarifications shall be clearly and specifically stated according to Clause 8.
Deviation from Inquiry Documents may be reason for disqualification of the Bidder. No
award will be made until all deviations and clarifications are resolved to the satisfaction of
Contractor.
The Bidder is requested to confirm that all applicable documents listed above are in his
possession, and if any of them proven to be missing, to inform Contractor promptly, who will
forward replacement copies.
The Contractor may issue addenda to the Inquiry Documents. The Bidder shall acknowledge
receipt of the addenda in accordance with the procedure for acknowledgement of the Inquiry
Documents as described in Clause 2 below.
2. INQUIRY ACKNOWLEDGEMENT
(1) Within three (3) working days from the Bidder’s receipt of the Inquiry Documents, the
Bidder is requested to send an e-mail or facsimile acknowledging their receipt to the
addressee given in Clause 4.
The Inquiry number and subject must appear on all correspondence and documents
without fail.
(2) Should the Bidder not wish to submit a proposal, he is requested to send an e-mail or
facsimile to the addressee given in Clause 4 within Three (3) working days after receipt
of the Inquiry Documents, expressing such unwillingness, and promptly return all
documents received from the Contractor.
3. SUBMISSION OF PROPOSAL
Especially, the Bidder shall submit the native files of Annex 3 (Price table) to the e-mail
address given in Clause 4.
Bidder’s proposal, duly signed by an officer of the Bidder’s company who is authorized to
commit, shall be submitted to the addressee given in Clause 4 below.
Any proposal submitted by the Bidder to the Contractor after the bid closing date shall
not be effective and shall be returned unopened unless an extension of the bid closing
date is granted by the Contractor.
(4) Language
The proposal and all related documents, including such items as reports, studies,
correspondence, and drawings, shall be in the English language.
4. COMMUNICATION

5. VALIDITY OF PROPOSAL
Bids shall be valid for one hundred and eighty days (180 days) consecutive days from the Bid
Closing Date and will not be rejected or withdrawn during this period for any reason.
A bid being valid for a shorter period may be rejected by the Contractor as non-responsive.
The Bidder will not be allowed to modify any part of the submitted proposal, unless agreed by
the Contractor.
The Bidder shall make his own arrangements and inquiries, if necessary with regard to the
loading, unloading and transport of all construction equipment and material required for the
Subcontract Works. The Bidder shall make all necessary investigations as to the heaviest
loads that can be handled at ports or transported to the work site by road, railway or river, in
particular with regard to the weight-bearing capacity of all bridges and culverts, and the Bidder
shall comply with all relevant regulations of the government authorities in this connection.
7. CLARIFICATION
Bidders shall carefully examine and fully inform themselves of the complete inquiry package.
Should a bidder find discrepancies in or omissions from the Inquiry Documents and Addenda
(if any), or there be any ambiguity as to the provisions, the bidder shall notify and obtain
clarification thereof from the Contractor as soon as possible. Without such notification, it will
be deemed that no such discrepancy or omission or ambiguity exits in the Inquiry Documents.
For clarification or answer to any query in respect of any part of the Inquiry Documents, the
Bidder may contact the Contractor by facsimile or e-mail. Any clarification or reply by the
Contractor will be advised to all Bidders and shall not be valid or binding unless made in
writing. (See Attachment 6)
(1) In the event that the Bidder wishes to submit an alternative proposal, the Bidder shall
first prepare his basic proposal strictly in accordance with the requirements and
conditions of the Inquiry documents.
In addition to the basic proposal, the Bidder may prepare an alternative proposal clearly
indicating (1) technical reasons (2) effects on price and (3) effects on the time schedule
of the Works, if this is different from the time schedule for the basic proposal.
The Contractor reserves the right to accept either the basic proposal or the alternative
proposal but in the event that the basic proposal is accepted, the requirements and
conditions of the Inquiry Documents shall be deemed to have accepted by the Bidder.
In the event of submission of an alternative proposal by the Bidder, the requirements and
conditions of the Inquiry Documents to which no amendments and
alternatives/deviations have been proposed by the Bidder shall be deemed to have been
accepted fully by the Bidder.
(2) Any deviation and/or alterations from the Inquiry conditions (commercial and technical)
must be clearly and specifically stated in one section. The Contractor has no obligation
to search for any deviations in parts other than the section indicated in the Bidder’s
proposal index. In the event that the Bidder is awarded the Subcontract, it will be on the
basis only of the deviations and alterations included and accepted by the Contractor.
9. SITE VISIT
The site is located in [Romania, Cernavoda Nuclear Power Plant Unit 1].
The Contractor will decide to hold a site visit as Contractor’s sole discretion. If Contractor will
hold as site visit, the date will be informed later.
The Contractor will decide to hold a pre-tender meeting as Contractor’s sole discretion. If
Contractor will hold a pre-tender meeting, the date and place will be informed later.
The Bidder shall propose the fixed unit rates on re-measured contract basis by filling in the
blanks of all tables contained.
The Contractor reserves its right to award the contract among the Bidders either in full or in
part of the quantities covered under this Inquiry.
(3) Currencies
Of all the other contents of the Bidder’s submitted proposal, only those parts which will be
agreed in writing shall be considered as forming a part of any subsequent agreements.
The contents of the Bidder’s proposal should be explicit so that the Contractor can fully
analyze the essence of the technical and commercial aspects. The Bidder’s proposal shall
include, without limitation, the data and information set out hereunder. Failure to enclose the
requested information/documents will be the reason of disqualification.
The Bidder shall submit the following documents for contractor’s evaluation.
A. Commercial Proposal
B. Technical Proposal
(3) CONSTRUCTION
The total number of company’s permanent staff and contract staff stating job category.
The scheduled duration of assignment to site of all key personnel shown in the Bidder’s
proposed organization chart shall be shown in bar chart form. This bar chart shall
indicate the nationality of each individual.
The numbers of personnel, up to and including foreman level, which will be employed
monthly (including subcontractors, if any) shall be shown in graphical form. Direct and
indirect labors are to be shown separately.
The Bidder shall also provide a manpower histogram showing the numbers of personnel
of each nationality who will be working at the Site in each month of the contract period.
As a minimum, the histogram shall indicate the nationality of personnel to be deployed.
The Bidder shall note that visas for importation of the foreign workers from certain
countries are difficult to be obtained.
In addition, the Bidder shall submit camp facilities plan and overall layout drawings and
detailed layout drawings including required area, descriptions and capacities (inclusive of
camp location, accommodation capacity, catering, camp management, camp HSE and
securities, etc) to be constructed by the Bidder and his subcontractors completely at
Bidder’s charge including all relevant burdens such as lease, taxes, etc.
Apart from new construction of temporary construction facilities (TCF) and camps
described above, if the Bidder intends to utilize Bidder’s own existing facilities, the Bidder
shall provide detailed information on the location, capacity and how to operate the
existing facilities for this Project, that is, TCF and camps facilities.
On top of the above, The Bidder shall also provide summary information for TCF and
camps by filling out the format attached herewith Attachment 3.
However, Contractor may provide such temporary facilities in accordance with temporary
facilities’ Overall Plan for Project to Bidder. In such case, the relevant costs and
expenses shall be at the Bidder’s account.
The Bidder shall state in detail the construction method or mode of work execution the
Bidder proposes to employ for execution of the work.
(4) SCHEDULE
The time schedule is attached in Annex 3 as a guideline for Bidder’s estimation related to
mobilization plan of manpower, construction equipment and the other resources
planning. In this regard, the Bidder shall submit detailed schedule in the form of a bar
chart for the entire Subcontract Works indicating clearly all the detailed work items
described in the Inquiry Documents.
The Bidder shall propose his best shortened construction schedule referring to time
schedule indicated in the Inquiry.
The Bidder shall submit schedule control procedure to be used for this project.
(5) EXPERIENCE
Details of direct experience of similar jobs in the last five years including name of the
project, ultimate client, Contractor name, Subcontractor’s scope and value, contract
period shall be submitted based on the following categories.
The Contractor will evaluate proposals in response to this Inquiry to assess the proposal and
the Bidder’s ability to perform the prospective contract successfully. Evaluation shall be
conducted solely on the factors and subfactors submitted by the bidder. It is, therefore,
critically important that all the information specified in Clause 13. Contents of Proposal are
contained in the proposal.
The evaluation of the Bidder’s proposal will not be limited to price but will also take into
account technical capability, working experience in the related field, time schedule of the
Works, reliability of execution plan, etc. It is therefore essential that all the information
requested in Paragraph. 14 “Contents of Proposal” shall be contained in the Bidder’s proposal.
The Contractor will evaluate Bidder’s technical proposal according to the Contractor’s
own score card and will not evaluate commercial proposal of technically not acceptable
Bidder.
Following completion of the evaluation, the Contractor will advise the Bidder of the success or
failure of his proposal without explanation. The Contractor reserves the right to reject any or all
of the bid proposals without providing any reasons, and the Contractor shall not be obliged to
disclose the details about the evaluation to any Bidder.
The Bidder should note that the proposal may in the Contractor’s judgment be disqualified
from bid evaluation in the event that there are any deviations from the requirements of these
Inquiry Documents including, but not be limited to, the following:
(1) Where a quotation by e-mail, cable or facsimile has been submitted but the formal
proposal confirming the absence of or the extent and nature of any deviations has not been
submitted by the Bid Closing Date :
(2) Where an original or basic proposal has been submitted after the Bid Closing Date ;
(3) Where an alternative proposal has been submitted after the Bid Closing Date :
(4) Where the Bidder submits an alternative proposal but does not submit a basic proposal in
conformance with these Inquiry Documents ; or
(5) Where the Bidder submits a proposal containing significant deviations from any of the
conditions stipulated in the form of agreement or the General Terms and Conditions.
After evaluation based on an integrated assessment of bidder’s competence for the contract,
award will be made to the responsible bidder whose proposal, conforming to the Inquiry,
represents the best value.
The Contractor intends to award the contract without discussions with bidders. Therefore, the
bidder’s initial proposal should contain the bidder’s best terms from a cost or price and
technical standpoint.
The Contractor may reject any or all bids inclusive of the lowest, and waive any informalities or
minor irregularities in bids received. In such case, the Contractor shall not be liable for any
claims of whatsoever nature arisen therefrom, if any, attached to the bid.
The successful bidder will be notified of the contract award with reasonable promptness.
The Bidder shall bear all costs and expenses required for or in connection with the preparation
of his proposal and for all subsequent actions to be taken by the Bidder up to signature of any
contract including, site visits, clarifications of the proposal and negotiations of the contract.
(1) The Inquiry Documents are and shall remain as an exclusive property of the Contractor
and are transmitted to bidders solely for preparation and submission of their bids in
accordance therewith. Therefore, bidders shall keep such information confidential at all
times and distribute it only to personnel who are directly concerned with the bid
preparation.
(2) Immediately after receipt of the Inquiry Documents, the Bidder shall submit to the
Contractor the Secrecy Declaration attached. (See Attachment 6)
The Bidder and any subcontractors will be required to fully comply with local tax laws and
regulations. To that end the Bidder is deemed to be fully familiar with the relevant laws and
regulations relating to the importation of materials and equipment for permanent work and
corporate and personal income taxes, and the like.
If the Bidder’s proposal is based upon a joint venture or other association, a statement
specifying:
• Joint and several responsibilities between the participants,
• Split of work and responsibilities between the participants,
• Representation of the joint venture or association.
