The Bartlesville Development Authority voted Wednesday to expand an employee relocation

incentive program to acyber security company planning to establish alocal headquarters.
Pending Bartlesville City Council approval, the program will offer relocating employees of
distributed cloud company HeraSoft cash assistance for purchasing or building ahome in
Bartlesville, rather than living in another city and commuting.
The company has established an of ce in the former Washington County Courthouse, where
it currently has lo employees. In the next two years, the company expects to transfer an
additional 50 employees to the of ce.
“HeraSoft represents what could be adream opportunity for Bartlesville: agrowing need and
market in cybersecurity and inbound young, bright and diverse global talent, as well as a
substantial nancial investment in the community with the purchase of the former county
courthouse building by principles with Bartlesville roots who have consciously chosen our
communityfortheirpermanenthomeandglobalheadquarters,”BDAPresidentDavidWood
said.

BDA Trustee Chris Batchelder said this is exactly the

opportunity they want to target when it comes to
recruiting new companies to Bartlesville. Batchelder
says having ahigh-quality company such as HeraSoft
come to town is adream come true.
Batchelder says the BDA is excited to partner with

HeraSoft and its leadership to recruit employees to the community. He said they want to do whatever
they can to support the technology sector and_the_cvber-security industry

HeraSoft applies distributed cloud, ransomware-proof software to meet today's cyber and enterprise
security, nance, gami cation and logistics challenges, helping enterprise and government organizations

In March of 2021 HeraSoft announced receipt of $5 million in Series A nancing led by United Capital
Management of Kansas, using the funding to scale the company, add to its sales and marketing and

During the examination, GrayKey identi ed the following email addresses:

During the SIM card extraction, amessage was displayed that the SIM had aPIN/PUK. The PIN/PUK was not
known so the protected data was skipped and the remainder of the SIM card was processed.
The extractions were pai-sed using Cellebrite Physical Analyzer software and acombined Cellebrite report was
produced. The Cellebrite report and aGrayKey Progress Report were copied to aUSB thumb drive (Item 3) for
later review by the requestor.
Item 2A: The Apple iPhone 8Plus was locked with a4-digit PIN code. The PIN code was not known. The GrayKey PIN
code determination client was installed on the iPhone on February 08. 2022. The iPhone was e>amined and the

RE: Recent Developments

Dear Shareholder and Friend:
We felt it was important to update you regarding Michael Eric Nelson, a

disgruntledformeremployeeofthecompanywhoweknowhasbeencontacting
many of our constituents over the last several weeks since his employment and
relationships with all of our companies were terminated on February 24, 2019.
On the evening of February 24, 2019, Mr. Nelson was on aphone call with one of
our directors. During the conversation, when it became clear to Mr. Nelson that
the director was not agreeing with his arguments, Mr. Nelson got aggressive and
told him “You had better get abodyguard because Iam going to come to your
house and shoot you" then hung up. This conversation is documented in apolice
report given by the director to the Santa Barbara Sheriff’s Of ce on February 25,
2019. Upon hearing of this, Anthem Blanchard, our CEO, Immediately red him,

individuals who have relationships with our companies in an attempt to create

doubt and dissatisfaction by making many false allegations and spreading
disparaging misinformation against the companies and its directors and of cers.
In the four weeks since Mr. Nelson’s termination, the company’s directors,
executives and advisors have received over 600 pages of aggressive and
threatening texts and e-mails.
Mr. Nelson has apparently also teamed up with Tom Wingert, aformer
disgruntled contractor, current shareholder and former director, whom the
company has successfully fended off against aggressive and threatening actions
by him in the past, and who has had his own police report led against him In
Oklahoma for making threats against company personnel back in December
2017.
Mr. Nelson and/or Mr. Wingert very recently sent an e-mail to an important
business associate of the company who is not known to the public, or to any
other person In our companies. We believe that Mr. Nelson and/or Mr. Wingert or
both may have illegally hacked our CEO’s communications In order to obtain this
kind of information. On March 13, 2019, Mr. Blanchard’s SIM was hacked for
approximately 11 hours, and his Google account associated with his
p.rMi,em@an nemgo!d con’ email was also hacked on that same day. The
information about this business associate was only in this one email account and
would have been accessible during these breaches, so we believe this
information was obtained during this hack.
Mr. Nelson has also embarked on aharassment campaign against the

company's executives, board of directors, and General Counsel, all of whom over
the course of three days last week, received dozens of telephone calls from
spoof numbers, all made to look like numbers of Company personnel. The
company’s General Counsel also received one made to look like the phone
number of acompany unrelated to our companies, but with which the General
Counsel has an independent relationship. Mr. Nelson also reached out to the
CEO of that Company by e-mail.
Mr. Nelson has speci cally targeted two higher wealth associates of ours,
including sending one of them eleven e-mails in one day making various false
claims of nefarious activities being committed by the companies, and sending
over 100 texts to another one within a24-hour period. According to one of these
Individuals who informed us of atelephone conversation with Mr. Wingert, Mr.
Wingert tried to extort alarge amount of money supposedly to “fund" alawsuit

against the company.
More recently, we have learned that Mr. Nelson is now contacting many
Individuals in the community of our companies’ advisors and executives and is
sending them aggressive and false information. We believe he anonymously left
amessage with avery important client alleging securities fraud. Our
investigation into the origins of that message is airnost complete.
In reference to Mr. Wingert, the Company received asubpoena duces tecum in

Mr. Wingerl’s divorce proceeding late in 2018 regarding his stock ownership and
has also received information from other shareholders in the past that he pledged
his stock to them in exchange for aloan which was past due at that time.
All of the individuals who have been impacted by the actions of these two people
already have or are currently reaching out to their local authorities to report these
harassing, aggressive, and criminal activities, which have obviously been
extremely disturbing to them, and several of them have submitted their electronic
devices for forensic investigation. In addition, the Federal Bureau of
Investigation has been provided afull report and is currently making inquiries
regarding the criminal activities that we believe Mr. Nelson and Mr. Wingert have
been conducting.
Our President, our CEO, and our Boards of Directors felt it was important to
inform our constituents of these recent activities and to let you know that the
claims and allegations of this former disgruntled employee are completely false
and have no merit whatsoever. The Boards of Directors are fully supportive of
the President, the CEO and the direction of the companies. We are fully

The call commenced with pleasantries and ashort discussion about where Iwas headed to

which appeared to raise asubstantial amount of money while at the same time he and other
employeesoftheCompanywerebeingaskedtotakesubstantialcutsinsalarybecausethe
Company did not have suf cient cash ow to continue at the current levels. Iadvised him that I
hadnopersonalknowledgeofthetransactionhewasreferencingandtriedtogettothe
substance of his concerns. After listening for some time to his take on what tiie transaction
wasabout,Iaskedhimwhyhethoughttherewasaproblemfromalegalperspective.He
becameevenmoreagitatedclaimingtiiatpeoplewouldbegoingtojail.[Apparentlywhile w e
werespeakinghetextedtheCEOoftheCompanyanddemandedtoknowsomethingaboutthe
transactioninathreateningmanner.TheCEOthenapparentlyrespondedthathisservices
werenolongerrequiredattheCompany-inessence ringhimonthespot]Mr.Nelsonthen

Subsequent Events:
IimmediatelyphonedtheCEOtoadvise/warnhimaboutMr.Nelson'sthreatandsuggested
that he inform our General Counsel and the other Board members which has been done.
Further,Mr.Nelsonwassentaletterterminatinghisemploymentforcause(copyattached)
and all Board members have been advised.
Sometime after the Call, Mr. Nelson apparently realized thathehad made acriminal threat
againstatleastmeanddependinguponhowoneinterpretshis"You"statementotherswithin
ourCompany.Totrytocoveruphiscriminalact.helatercreatedatextmessagesuggesting
thatItwasmewhohadthreatenedhimandhisfamilyandthathewasgoingtotakelegal
action,etc.Irespondedbydenyinganythreattohimorhisfamilybymeandrepeatingwhat

This letter is to con rm the termination of your employment with Anthem Vault, Inc.
In addition, this letter serves to term inal eany and ail relationships you may have with
AnthemGoid, Inc., AG HERC, Inc Hercules SEZC, Anthem Hayek LLC and Anthem Vault
Bunker, LLC, and any other entities that may have any alTtliation with any of the above,
it came to our understanding last night, February 24, 2019, that during atelephone
conversation with Mark Heatwole, adirector for Anthem Vault, you directly threatened
pot entially fatal violence against Mr. Heatwole, also implying that other people associated
with the companies should also feel threatened. Mr. Heatwole was extremely disturbed by
this, and is providing the evidence to the proper authorities today. Obviously, such behavior
makes your position with our companies untenable, and thus you are terminated with cause
effective immediately from Anthem Vault, its subsidiaries and our other family of companies,
Including ail of those listed in the rst paragraph above.
You also made additional communication with our board of directors via several e-
mails in which you raised false and unsubstantiated claims of malfeasance and criminal
activity conducted by our executive team. Please be advised that such communication with
our board and our advisory board members making such claims constitutes defamation. We
Intend to be aggressive in our pursuit of these claims as they damage the reputation of our

tollowing ttie Consent Judgment. RenzeUo also alleges Nelson has detamed him in the comments section ot an onUne "Popular Science" article devoted
to his products and oh numerous other websites, including awebsite titled "Ripoff Report." RenzeUo testi ed that he has lost business due to Nelson's
comments. Customers hdve contacted him about his products, and often seek explanation for Nelson's online postings. Based on Renzello's testimony,
ithe Court found Nelson, who failed to appear, had \dolated the Consent Judgment by posting defamatory comments concerning RenzeUo online. (Doc.

On July 23, 2015, aU written communications and notices mailed by the aerlds Of ce to Nelson between November 2014 and May 2015 were
isimultaneously returned as undeliverable. (Docs. 180-83.) On August 19,2015, RenzeUo alleged Nelson has posted additional defamatory comments on
the internet, and moved the Court to hold Nelson in contempt and to award danmges. (Doc. 184.) RenzeUo maUed copies of his motion not to Nelson, as
ihe had all previous notices, but to LesUe M. and Peter E. Nelson of Rhode Island (Doc. 184, at 9), presumably Defendant's relatives. On August 31,2015,
INelson opposed Renzello's motion (Doc. 188) and led his own motions to enforce the Consent Judgment against RenzeUo on the basis that RenzeUo
contacted and defamed him (Docs. 186,187).
M. Diseussioo
:A. Reniello's Motion for Contempt Sanctions (Doo. 184)
The Federal Rules of CivU Procedure require motions be served on "every party." Fed. R. Qv. P. 5(a)(1)(D). RenzeUo served his motion for contempt
’sanctions on apparent relatives of Nelson, not on Nelson himself, and therefore service was invalid. Accordingly, the Court dismisses RenzeUo's motion
i(Doc. 184) without prejudice to renew for improper service.

!B. Vacating the Order Enforcing the Consent judgment (Does. 175, 179)
iNelson's Ung indicates he received neither notice that RenzeUo beUeved he had violated the Consent Agreement nor notice of the hearing before the
!Court. (Doc. 188.) This Is consistent with the return of his maU to the Cleric's Of ce as undeUverable. The Court takes notice Nelson no longer receives
'mail at the address listed in Court records, P.O. Box 761, Wake eld, RI02880-076L
In opposition to Renzello's motion for contempt, Nelson contends the judgment against him (Doc. 179) is void because he never received notice of the
●May 7,2015 hearing.' Rule 60(b)(4) allows for the vacatur of ajudgment where "the judgment is void." Fed. R. Civ. P. 60(b)(4). In assessing whether to
vacate adefault judgment, a"court must consider (1) whether the default was willful, (2) whether setting aside the default would prejudice the plaintiff,
\and (3) whether the defendant has presented ameritorious defense to the actioa" IX.G.W.U. Nat Ret Fund v. Meredith Grey, Inc., 086 F.Supp. 816.823
(S.D.N.Y. 1997). Here, the Court concludes Nelson did not wiU illy refuse to respond because the record Indicates he never received notice, RenzeUo wiU
not be prejudiced if the Court sets aside the judgment because he may still seek aheating, and that Nelson may argue he did not post the content in
question. The Court may vacate its judgment (Doc. 179) sua sponte, see Int'l Controls Corp. v, Vesco, *;»t6 F.zd 66*;. 668 n.2 (2d Cir. 1977) ( nding “the
Idistrict court... had power to decide sua sponte vdiether its judgment should be vacated, provided aU parties had notice, as they did here."}, and now
does so. The Court also denies RenzeUo's motion for hearing on enforcement (Doc. 175) vdthout prejudice.
C. Nelson's Motions to Enforce the Consent Judgment and Cease Contact (Does. 186, 187)
Nelson also moves the Court to nd RenzeUo violated tiie Consent Judgment and to order RenzeUo to cease contact. ^He fails to follow the procedures
required to seek relief through the Consent Judgment, however, because he has not provided RenzeUo with notice and thirty days to cure any defect He
has in fact provided RenzeUo no notice at all. Accordingly, the Court denies his motions without prejudice. (Doc. 186,187.)
D. Further Proceedings
The Clerk's Of ce shall mail copies of Nelson's lings to RenzeUo. The Clerk's Of ce shaU maU to Nelson copies of the docket sheet and aU pleadings
^docketed between September 2014 and August 2015. J
iIf either RenzeUo or Nelson wishes to enforce Che Consent Judgment, they must follow the procedures set out therein: provide the other party notice of
!any violation and thirty days to cure. Upon afaiUng to cure the non-compliance, the aggrieved party may seek ahearing before this Court to enforce the
Agreement. (Doc. 167-1.)
111. Conclusion
Based on the foregoing:

Dear Mr. Nelson:
Immediately prior to and since your termination on February 24, 2019, you have sent
communications to directors and of cers of the companies, advisory board members and
consultants of the companies, among other things. Your communications make claims that
the companies and certain of its of cers are committing crimes, defrauding the public and
stealing from the companies.
Generally, defamation entails the following:
1.
Afalse and defamatory statement,
2.
Unprivileged publication to athird party, and
3. Negligence or willfulness in the communication.
Communication suggesting that someone has been involved In aserious crime

involving moral turpitude or felony obviously and easily falls under number 1above. Almost
everything you have said about the companies and certain of its of cers falls under this
category. We have proof that you have sent such communications to, among other people,
advisoryboardmembersandconsultants,whichwascertainlypublicationtoathirdparty.And
your communication was more than negligent. It was malicious and designed to generate
negativereactionsagainstthepersonsyouwroteabout.Thisistextbookdefamation,andhas
seriouslydamagedthereputationsoftheindividualsandcompaniesyouhavewroteabout.
In our termination letter to you, we said that we would be aggressive in pursuing such

claims. This letter serves as our nal attempt to demand that you immediately cease and
desist all communications until the of cers, directors, employees and shareholders of
Anthem Vault, Inc., AnthemGold, Inc., AG HERC, Inc. and Hercules SEZC and any public social
media posts that are defamatory to the companies or their of cers or directors.
Iunderstand that you are ashareholder of Anthem Vault, AnthemGold and AG HERC
and as aresult have certain rights as such. However, you have also threatened litigation
against the companies to various directors and of cers and as aresult, we have the right to
demand that all communication with the companies go through me, as General Counsel of
each of the companies. If you are willing to retract your statements regarding litigation in
writing, we can reassess whether you are legally permitted to communicate with certain
constituents.
In addition, it has recently come to our attention that you are communicating with,
among others, certain consultants using an e-mail address that appears to indicate It is an
aothemvault.com address. As eformer employee, you must immediately cease and desist
from holding yourself out as an employee, of cer or any agent of any of the companies
whatsoever,eitherbyusinge-mailaddresseswithanyofthecompanies'namesorholding
yourself out as any type of agent of any of the companies. This constitutes fraudulent activity
and also falsely implies that you have acurrent relationship with the companies, which you do
