Flint–Nurse Agreement
Welcome to Flint! We’re honored
to work with you.
Choosing the right company to meet your goal of
becoming a nurse in the United States is a serious
decision. Flint understands that you may be uncertain
about what’s involved. This agreement explains
expectations for both sides — being upfront and
honest is the best way to begin our relationship. Let’s
get comfortable with the process and commitments
before signing.

About this Agreement


Flint’s Obligations–How will Flint Help Me?

Flint will prepare you for success as a registered nurse


in the US. Flint’s philosophy is that we don’t succeed
if you don’t. Our Partners aren’t just looking for any
nurse. They’re looking for the right nurse. The one
who is skilled, passionate, and committed to becoming
a longtime member of their local community. We hope
that’s you. To make this work for everyone, we
commit to seek the permanent residence for you (a
green card) when you have completed 24 months of
employment at a Flint Partner. You will get
educational preparation for needed exams and Flint
will pay for these exams. Flint will get you licensed for
employment. Flint will carefully consider your skills
and needs when finding you the right employment fit
for you. Flint will get you a visa to begin employment
as fast as possible, and will seek a green card for you.
The green card allows you to stay in the United States
long–term and provides a path to becoming an
American citizen. Be assured that wage and working
conditions will be the same as offered to other US
nurses on location; you will be treated as a respected
member of the team.

Your Obligations–What is Expected from


Me?

We need you to dedicate adequate preparation time to


pass educational exams and actively engage in our
English and NCLEX preparation courses, where
required. You’ll help Flint by providing biographical
and employment information required to get your
green card. You must follow our instructions about the
visa process. We expect you to work at least 36 months
at a Partner location. We always encourage you to stay
longer with our Partners. That’s because our Partners
are looking for employees who will put down roots in
their communities and advance in their organizations.

What Makes Flint Different?

Our success depends on you! We’re looking for you to


be a partner in success by placing you for long term
employment and we will assist you with your
transition to living in the States. Flint works with you
to find the best fit for your skills and goals.

Termination

If you do not meet the obligations of this agreement,


there may be costs to you. Flint can seek repayment of
expenses that have been invested in your process. This
can include the cost of licensing, exam fees,
immigration, or other fees that Flint has paid for you.
If you decide to terminate this agreement, you should
first check with us to see what obligations you may
still have. Flint’s goal is not to penalize you, but we do
need to recover costs that we have honestly invested in
your preparation.

This Agreement is made between FLINT


HEALTHCARE, INC., a Delaware corporation,
(“Flint”) located at 2261 Market Street #4749, San
Francisco, CA 94114, an (“You”).

Section 1. Your obligations to


Flint.
You agree that:

1.1. You hold a valid passport and will keep the


passport valid while under contract with Flint;

1.2. You graduated from an approved school of nursing


and you possess at the minimum a 4 year degree from
this program;

1.3. You have at least one year of experience practicing


as a nurse;

1.4. You have an active nursing license and are in good


standing with the relevant nurse licensing body;

1.5. You are currently practicing as a nurse or have


been actively practicing as a nurse within the last two
years;

1.6. You are not currently under contract with another


recruiter or nurse placement agency and shall not sign
a contract with any other employer or recruiting
company while this contract is in effect;

1.7. You have not been convicted or plead guilty to any


crime that would make you ineligible for a nursing
license in any US state;

1.8. You have not agreed to voluntary departure or


been removed (also known as deported) from the
United States at any time;

1.9. You do not have immigration violations in the US


(including working without employment authorization)
that would make you inadmissible by US immigration
authorities;

1.10. You will not seek employment at a secondary


employer (also called “moonlighting”) during your 36
month contract period without first obtaining Flint’s
written permission;

1.11. You will not have direct communications with


Partners, Employers, or opportunities presented by
Flint without Flint’s involvement and permission;

1.12. You shall promptly respond to Flint’s requests


and work with Flint to acquire all necessary
documentation (including biographical data such as
birth certificates, marriage certificates, divorce
certificates, credentials or transcripts, and related
materials) necessary to become a Registered Nurse
(RN) in the United States;

1.13. You shall make ongoing progress in preparation


for all needed examinations. You will put forth
dedicated efforts to study, prepare, and meet
educational milestones at the direction of Flint’s course
director. Flint will advise you of course requirements
and will test you to determine course progress;

1.14. You shall continue maintaining high standards of


clinical practice prior to relocation to the United
States. You are expected to continue your current
employment as a registered nurse (except for periods
of annual leave) until You have received relocation
instructions from Flint.

1.15. You understand that Flint will make every effort


to accommodate your personal needs and requests
when matching you with a Partner. Flint’s goal is a
successful placement in all respects. However, Flint
does not guarantee placement in a specific location or
with a specific Partner;

1.16. You shall travel to the United States to meet your


employment Placement Date when advised by Flint or
its agents;

1.17. You agree that you may be directly employed by


a Flint Partner (such as a hospital or clinic) and you
will be solely under the direction of this Partner, not
Flint. It is Your sole responsibility to meet professional
and patient care standards set by Partner;

1.18. You agree to an employment obligation period of


36 months, beginning on your Placement Date. You
will continue to be under contract with Flint for the 36
month contract period, even if a Partner terminates
your employment.

1.19. You shall immediately contact Flint during the 36


month contract period if a serious issue arrises at the
Partner. You must contact Flint within a ten (10) day
period to report any serious issues;

1.20. You shall hold Flint harmless for any claims,


actions, suits, charges and judgments that arise out of
the excercise or nonexcercise of this agreement.

1.21. You shall be truthful in your communications


with Flint and all prospective employers/Partners.

1.22. You grant Flint permission to use your name,


endorsement, and likeness on Flint’s promotional
materials, including but not limited to Flint’s website.

Section 2. Flint’s Obligations to


You.
Flint agrees that:

2.1. Flint will pay for and obtain a H1–B visa on your
behalf so that you may begin employment as promptly
as possible;

2.2. Flint will seek permanent residency (green card


status) for you once you have completed 24 months of
satisfactory employment with Flint or a Flint Partner;

2.3. Flint will make prompt efforts to get You licensed


as a Registered Nurse;

2.4. Flint will provide You with adequate preparation


for required English and NCLEX examinations,
including study materials, resources, ongoing tests and
assessments, and a support network to assure Your
educational success;

2.5. Flint will provide a relocation adviser to assist you


with moving to and navigating life in the United
States. Flint may provide you with transportation to the
US (this does not include the cost of transportation for
any immediate family members). Flint may provide
you with reasonable accommodations in the United
States for up to 30 days after your arrival.

2.6. Flint will reimburse You or directly provide the


following costs incurred after you have signed this
agreement and become a Flint Nurse Candidate (Flint
will not reimburse for any costs incurred prior to
signing this agreement):

Immigration related expenses including filing


fees and legal services
English language test preparation and testing
fees
NCLEX preparation and study materials
NCLEX registration fees
Costs of transportation to the designated testing
site and accommodation during NCLEX
examination
Costs for required credentials evaluation
services
Costs for state licensing processing in any state
where we deem you employable

You must submit proof of payment and a request for


reimbursement for any fees within thirty (30) days of
original payment or reimbursement may be declined
by Flint.

2.7. Flint will be truthful with you and provide you


with prompt, courteous and professional
communication;

3. Other Terms and Conditions


3.1. Should you refuse an employment or placement
that Flint has offered to you, Flint may terminate this
agreement for cause and invoice you for repayment of
all related costs, including visa fees, examination
expenses, and licensing related fees. Reimbursement
of costs will be due within thirty (30) days of
presenting you with an itemized list of expenses;

3.2. Flint may, at any time and in its sole discretion,


terminate You for “Cause.” Cause is defined as: (1)
Your material breach of this Agreement or any related
policy of Flint or a Partner healthcare facility; or (2)
Your inability to perform the requirements stated under
this Agreement (with or without reasonable
accommodation) because of sickness, physical or
mental disability, or another incapacity; or (3) multiple
failures by You to perform according to professional
standards (including, but not limited to showing up to
scheduled meetings on time, attending all scheduled
meetings for the full time that is required, notifying
Flint within a reasonable time frame of any changes or
cancellations to booked appointments); or (4) Failure
to meet any obligations listed in Section 1; or (5) Your
refusal to accept employment terms with an Employer
that Flint has recommended; (6) Your failure to make
yourself available at the agreed Placement Date for
purposes of beginning employment. If this agreement
is deemed terminated for Cause, You will be invoiced
for damages which will include recovery for the costs
Flint has invested in you;

3.3. Flint reserves the right to terminate this agreement


without cause at any time and will provide you with at
least ten (10) days notice of such termination;

3.4. Flint may assign or delegate any of its rights or


obligations under this Agreement without prior written
consent or notice;

3.5. You shall immediately notify Flint of any medical


condition or any changes in Your state of health,
personal circumstances, criminal acts, loss of license,
claim of malpractice, or other legal matters that could
impact Your ability to follow through with the Flint
process. Failure to notify Flint within ten (10) days of
such event may result in termination of this
Agreement;

3.6. Any dispute or claim arising out of or relating to


this Agreement shall be determined by arbitration in
Delaware before one arbitrator. The arbitration shall be
administered pursuant to JAMS' Streamlined
Arbitration Rules and Procedures. Judgment on the
Award may be entered in any court having jurisdiction.
This clause shall not preclude parties from seeking
provisional remedies in aid of arbitration from a court
of appropriate jurisdiction;

3.7. This Agreement may not be amended or modified


except by a written agreement signed by You and Flint
or its agents;

3.8. If one or more of the provisions contained in this


Agreement will, for any reason, be held to be invalid,
illegal or unenforceable in any respect, such invalidity,
illegality or unenforceability will not affect the other
provisions of this Agreement, and the invalid, illegal
or unenforceable provision will be enforced to the
extent permitted by law to conform as closely as
possible to the intent of the parties.

3.9. The following sections of this agreement shall


survive termination: 1.20, 3.1, 3.6, and 3.8.

The parties have entered into this agreement, effective


as of the date both parties sign below.

AUTHORIZATION FOR
RELEASE OF PERSONAL
INFORMATION
I Adediwura Adedayo Adelekan, authorize Flint
Healthcare, Inc. (Flint) and its agents to acquire and
provide my personal information to third parties,
including but not limited to, credentialing
organizations, NCLEX admissions, Boards of Nursing,
US Immigration and Citizenship, and other agencies
and organizations.

I give Flint access to my private data to apply for a


state nursing license, US immigration benefits, or to
obtain background information necessary to complete
an employment fitness review.

Anyone who provides or holds information concerning


me shall not be held accountable for giving this
information; and I release these individuals from
liability regarding my data. I further release Flint
Healthcare, Inc. from any and all liability that may be
incurred as a result of collecting such information.

Flint has my permission to use my image, likeness,


voice, video, name, and endorsement on its
promotional materials including, but not limited to, its
website. Flint will not release private information,
including my contact information, in promotional
materials, unless I specifically authorize this
information release.

A PHOTOCOPY OF THIS RELEASE IS VALID


AS AN ORIGINAL

I have read and understand the contents of this


Authorization document and consent to the use of my
personal data.
