PSW of Arizona LLC ("ProSource") thanks you for your order and appreciates your business!
ProSource is pleased to have formed partnerships with suppliers that allow us to provide our
customers with a wide selection of products to meet their exact needs. Accordingly, You, the
purchaser ("Purchaser"), acknowledge that the merchandise sold to Purchaser by ProSource (the
"Merchandise") is ordered specifically for Purchaser's use and/or resale and that Purchaser has
confirmed the accuracy of the order including, but not limited to, quantity, color, size and style of
Merchandise. Purchaser acknowledges that because the Merchandise is specifically ordered for
Purchaser, the Merchandise cannot be changed, cancelled, exchanged or returned without the
express written consent of ProSource, which consent may be withheld in ProSource's sole and
absolute discretion. Purchaser agrees that in the event a request for any change, cancellation,
exchange or return is denied by ProSource, the Deposit (defined below) shall be applied to the
entire purchase price and paid to ProSource. Purchaser acknowledges and agrees that
ProSource is a material supplier only and is not responsible for any aspect of the installation of
the Merchandise. It is the sole responsibility of Purchaser to select and validate all qualifications
of installer including licenses, insurance coverage, references and installation methods.
Purchaser further agrees that the installation of any Merchandise constitutes acceptance of the
Merchandise in its "as-is" condition, and requests for any change, cancellation, exchange or
return for installed Merchandise will not be approved or accepted by ProSource.

ORDERING, DEPOSITS & PAYMENTS:

1. Purchaser acknowledges that a deposit of one hundred percent (100%) of total costs
(including taxes, freight, and other fees [if applicable]) (the "Deposit") is due prior to ProSource
ordering the Merchandise. Payment shall be made by approved payment method. The Deposit
must be made in person for any orders over five thousand dollars ($5,000.00). Checks must be
issued in name of Purchaser. All purchases are subject to applicable taxes (including out of
state taxes should they apply) unless valid tax exemption certificates are provided. Merchandise
must be paid in full prior to release to Purchaser.
2. Purchaser acknowledges that dye lots can vary from samples, that ProSource is not
responsible for any such variation, and that changes, cancellations, exchanges and returns based
on such variations will be made at ProSource's sole and absolute discretion.
3. Purchaser shall be liable for any debt, costs and fees arising from or related to Purchaser's
order of the Merchandise, including, without limitation, any check that is dishonored for any
reason or credit card chargebacks. If any legal action is brought by ProSource to collect any
debt, credit card chargebacks or dishonored checks, Purchaser agrees to pay interest thereon at
eighteen percent (18%) per annum, and reasonable attorney's fees in addition to all other fees,
costs, and expenses of collection. In addition to the above, for each check returned there shall be
a service charge of the greater of 12% of the amount of the check or $25.
4. Purchaser should retain all invoices. In the event of a future claim, or request for any change,
cancellation, exchange or return of Merchandise, a copy of every applicable invoice will be
required to document proof of purchase from ProSource. If Purchaser fails to produce an invoice,
ProSource will not consider the claim or request for change, cancellation, exchange or return of
Merchandise.

ACCEPTANCE AND INSPECTION OF MERCHANDISE: Purchaser agrees to claim and inspect its
Merchandise for accuracy (amount, color, style, size) no later than the timeframes specified
below. If no discrepancies are reported within the specified timeframe, Merchandise is deemed
accepted.

MERCHANDISE SHIPPED TO PROSOUCE LOCATION: Purchaser agrees to claim and inspect its
Merchandise for accuracy (amount, color, style, size) within fourteen (14) days of delivery of the
Merchandise to ProSource. In the event Merchandise is incorrect or appears damaged,
Purchaser must report discrepancies in writing to their Account Manager at the time of
inspection.

MERCHANDISE WILL CALLED AT SUPPLIER: Purchaser agrees to claim and inspect its
Merchandise for accuracy (amount, color, style, size) PRIOR to accepting delivery and leaving will
call location. In the event Merchandise is incorrect or appears damaged upon inspection,
Purchaser agrees to refuse delivery and report discrepancies in writing to their Account Manager.

MERCHANDISE SHIPPED TO JOBSITE: Purchaser agrees to claim and inspect its Merchandise
for accuracy and damage (amount, color, style, size) immediately upon delivery to job site. In the
event Merchandise is incorrect or appears damaged, Purchaser must report discrepancies in
writing to their Account Manager at the time of inspection but no later than seven (7) days from
time of delivery.
PICK UP OF MERCHANDISE: Purchaser is responsible for pick up of Merchandise shipped to a
ProSource location or will called at a supplier. Purchaser's responsibility includes ensuring that
the vehicle used to pick up Merchandise is adequate to accommodate the load of the
Merchandise and that the Merchandise is safely secured for transport prior to leaving the pickup
location. Purchaser acknowledges that more than one pick up may be required to accommodate
load restrictions of Purchaser's vehicle. ProSource relies solely on the Purchaser's assessment
that the vehicle used by Purchaser for pick up of Merchandise is adequate and assumes no
liability for damage caused as a result of loading or transporting the Merchandise. Purchaser
releases ProSource from any and all liability for damage caused to either the Merchandise or the
Purchaser's vehicle as a result of loading or transporting the Merchandise.

STORAGE OF MERCHANDISE: ProSource is pleased to offer complimentary storage for fourteen

(14) days for product delivered to a ProSource location. After the conclusion of the fourteen (14)
day period, ProSource shall have no liability or obligation to Purchaser for any issues in any way
related to the Merchandise. Merchandise not claimed by Purchaser within fourteen (14) days
may be assessed a storage fee of ten dollars ($10.00) per day, per item (pallet, roll, box,
etcetera). Assessed storage fees must be paid in full before material will be released. The
parties acknowledge and agree that in the event Purchaser fails to take delivery of the
Merchandise within sixty (60) days after the Merchandise is delivered to ProSource, ProSource
will suffer harm from which the damages to ProSource are difficult to calculate, and Purchaser
agrees to the following as liquidated damages, and not a penalty: (a) Purchaser's title and
ownership interest in the Merchandise shall automatically be transferred and assigned to
ProSource, and (b) ProSource shall retain the Deposit (defined below), which Deposit shall be
paid to ProSource.

RETURNS: Returns of Merchandise are subject to consent of ProSource and its suppliers. Return
requests must be received by ProSource within 20 days of the material being available for
pickup. Approved return materials must be delivered to ProSource within fourteen (14) days of
approval in resaleable condition. ProSource will not accept any return of Merchandise unless its
value is over $500, and consists of at least the greater of 250 square feet or ten (10) bags,
cartons, and/or boxes of same product. No returns are accepted on cut carpet, trim pieces,
loose tiles, open cartons, clearance items and/or special orders. Unless the Merchandise is
warehoused by ProSource, a restocking fee of thirty five percent (35%) plus the cost of material
handling will be deducted from the approved return amount.

DAMAGES, DEFECTS & OTHER CLAIMS: Damaged or defective Merchandise discovered before
installation will be processed under the manufacturer's warranty and/or claim guidelines only. It
is Purchaser's responsibility to verify the accuracy of the Merchandise prior to installation. Once
Merchandise is installed, it is deemed accepted in its "as-is" condition, and requests for any
change, cancellation, exchange or return for installed Merchandise will not be approved or
accepted by ProSource. ProSource is not responsible for product defects or any claim, property
damage, or loss due to installation.

MANUFACTURING DELAYS: ProSource does not manufacture any Merchandise and is subject to
the manufacturer's production and delivery schedules. Therefore, ProSource cannot assume
responsibility for manufacturing delays, shipping delays, or lack of product and cannot guarantee
a delivery date for any Merchandise. Any delivery date provided to Purchaser is an estimated
delivery date provided to ProSource by its Supplier.

WARRANTY: The only warranty for the Merchandise is the manufacturer's warranty, if any.
Purchaser will abide and be bound by manufacturer's policies and procedures regarding any
warranty claims for the Merchandise. A failure to follow the manufacturer's guidelines, policies
and procedures for making a warranty claim for the Merchandise may result in such warranties
being voided. Purchaser acknowledges and agrees that it is solely responsible for complying
with the manufacturer's policies and procedures for making a warranty claim for the
Merchandise, and that ProSource has no obligation to Purchaser to notify, report or otherwise
assist Purchaser in the warranty claim process.

PROSOURCE'S WAIVER OF WARRANTIES: The Merchandise sold in its "as is" and present
condition, and without any warranty of any kind from ProSource. ProSource expressly disclaims
any and all warranties of any nature, whether express or implied, oral or written, relating to the
Merchandise including, but not limited to (i) the warranties of merchantability, suitability, or
fitness of the products for Purchaser's business or any other purpose, (ii) the warranty of any
product being free from any hidden, latent, or apparent redhibitory or other defects or
deficiencies, and (iii) all warranties implied under any applicable state statute, or any other
provision of applicable law. Under no circumstances shall ProSource be responsible and/or liable
for any damages (including consequential damages), loss of profits, losses, expenses, claims,
actions, lawsuits, attorney's fees, or any other loss or damage arising directly and/or indirectly
from the Merchandise.

PURCHASER'S WAIVER OF WARRANTIES: Purchaser hereby expressly waives and disclaims any
and all warranties of any nature, whether express or implied, oral or written, relating to the
Merchandise including, but not limited to, (i) the warranties of merchantability, suitability, or
fitness of the products for purchaser's business or any other purpose, (ii) the warranty of any
product being free from any hidden, latent, or apparent redhibitory or other defects or
deficiencies, and (iii) all warranties implied under any applicable state statute, or any other
provision of applicable law.
